A RESOLUTZON AtITHOR2ZING AND DIRECTING THh MAYOR TO SIGN
THE PETITION IN SUPPORT OF THE CAPE LA CROIX CREEK-WALF�ER
CREEK LEVEE AND DRAINAGE DISTRICTS
WHEREAS, Certain landowner� within the propo�ed Levee
and Drainage District desire to form the Cape LaCroix Creek-
Walker Creek Levee and Drainage Districts, and
WHEREAS, the City of Cape Girardeau, Missouri, own�
park�c and has street right-of-way within the proposed District,
and
WHEREAS, Said Levee and Drainage Districts will take
appropriate steps to protect the lands within the nistrict
from damage by flood, and
WHEREAS, the City desires to support said District,
NOW, THEREFORE, BE IT RESOLVED BY THE COUt�1CII, OF
TIi� CITY OF CAPE GIRARDEAU, MISSOURI, AS F�LLOW5:
1. The Mayor of the City of Cape Girardeau, Miasouri,
ia hereby authorized and directed to sign the Petition, a

AND
PETITION TO INCORPORATE DISTRICT
The undersigned, constituting the owners of a majority
of the area or acreage of a contiguous body of overflowed
land and property, hereinafter described and now subject to
overflow and damage by waters of Cape LaCroix Creek and
Walker Creek and other sources, desiring to form a drainage
or special improvement district for the purpose of having
such lands and other property reclaimed and protected from
the damaging effects of said flood waters and thereby better
the public health, convenience, and welfare of the State and
also to render a special benefit to the lands and property
hereinafter described, have signed the following Articles of
Association and Petition To Incorporate such a District.
I
The name of the District or Special Improvement District
shall be "CAPE LACROIX CREEK - WALKER CREEK LEVEE AND DRAINAGE
DISTRICT. °
II
The said �"Cape LaCroix Creek - Walker Creek Levee and
Drainage District" shall be of perpetual existence. ��

The exterior boundary lines and limits of said Cape
LaCroix Creek - Walker Creek Levee and Drainage District
shall be and are as follows :

Francisco Railroad, which point bears Northeasterly along said
west line, 250 feet from the south line of U.S.P. Survey 2199;

2000 feet more or less to the low water level of the Mississippi
River; thence Northerly with said low water level to a point
which is 400 feet northeasterly, measured normal to the first

Missouri Utilities Company, a Missouri corporation, renders
electric, natural gas and water service to its customers in the City
of Cape Girardeau, Missouri, and its environs. Such public service
company owns and operates an electric generating unit, electric substations,
underground and above-ground transmission and distribution lines, anc� other
equipment required for the rendition of electric service; natural gas regu-
lator stations, propane peak shaving plants, transmission and distribution
mains, � service lines and other equipment required for the rendition of
natural gas service; and water plants, water mains, water pipes, and
other equipment required for the rendition of water service; that some of
said plants, substations, regulator stations, transmission and distribution
lines, cables, mains, pipes, conduits and other apparatus are located on,
in, or across public highways, streets and alleys of the City of Cape

Girardeau, Missouri, and environs, within the proposed district; that
all such property and facilities will be benefited by the works and
improvements of the district.
Southwestern Bell Tele hone Company, a Missouri corporation,
renders telephone service to its customers in the City of Cape
Girardeau and its environs. Such public service corporation owns
and operates certain plants, switching stations , underground and
. overhead cables, wires and other equipment required for the
rendition of its telephone service. Some portion of Southwestern
Bell Telephone Company's property and equipment is located on, in,
or across the public highways, streets and alleys of the City of
Cape Girardeau, Missouri, and environs within the proposed district
and will be benefited by the works and improvements of the district.
Missouri Pacific Railroad Company, a Missouri corporation,
owns and operates branch railroad lines from the City of Cape
Girardeau, Missouri, to Illmo-Scott City, together with spurs
and sidings, a part of which is constructed on right-of-way located
within the City of Cape Girardeau, Missouri, and within the
boundaries of the proposed district and will be benefited by the
works and improvements of the district.
Part of the right-of-way hereinbefore mentioned is owned by
said railroad company in fee simple and a part of said right-of-way
is constructed on a right-of-way easement, with reverter to diverse
owners to the undersigned unknown on any abandonment thereof.
St. Louis - Southwestern Railway Company, a Alissouri corporation, owns
and operates a main line railroad operating, among other places,
between St. Louis, Missouri, and Memphis, Tennessee, together with ��
passing tracks, spurs and sidings, a part of which is constructed
on right-vf-way located in the City of Cape Girardeau, Missouri, and
a small part of which, to-wit: a railroad bridge and approaches
thereto over Cape LaCroix Creek, is within the proposed drainage
district.
All of said railroad property hereinabove mentioned is within
the proposed district and will be benefited by the works and
improvements of the district.

That all or some part of each of said parcels of land above-
described, the streets and alleys on which they are located, and
all of the property owned and operated by the public service corpor-
ations located within said proposed district are now subject to
damage or overflow by Cape LaCroix Creek and Walker Creek during �
flood stages of said creeks, and will be benefited by the organi-
zation and functioning of the proposed district.

That it is the purpose and intent of those signing these
Articles of Association and Petition for the formation of Cape LaCroix
Creek -Walker Creek Levee and Drainage District to cooperate with the
United States of America, acting by and through the Department of the
Army and its Corps of Engineers, and with Regional, and other State and
Federal authorities and agencies, in securing adequate protection from
the disastrous and damaging effects of said flood waters. That the
undersigned are relying, in part, upon the United States of America
to aid in achieving said result by constructing such flood protection
works and other works and improvements as may be necessary and required
to protect the lands and other property within said district. That
among other acts of cooperation, the proposed Levee and Drainage Improve-
ment District intends and expects to obtain the necessary and required
right-of-way for the construction of said works and improvements and
pay any damages resulting from the taking or damaging of such property,
and to maintain and operate said protective works and improvements
under their construction.

That the owners of real estate and other property within ��
said district, whose names are subscribed to these Articles, are
willing to and do hereby obligate themselves to pay all special
assessments or taxes which may be lawfully assessed against their
respective lands or other property to pay the cost and expense of

organizing the proposed district, to make and maintain the improve-
ments that may be necessary to effect the reclamation and protection
of said lands and other property so formed into the levee and drainage
district. That the organization and operation of said proposed
district will be and is conducive to the public health, convenience
and general welfare of the community and state and also for the
special and direct benefit of all of said land and other property
hereinabove described and will be of indirect and incidental benefit
to the City of Cape Girardeau, its environs, and to the inhabitants
thereof.

WHEREFORE, the undersigned, constituting the ownership
of a large majority of the lands and property in said proposed
Cape LaCroix Creek - Walker Creek Levee and Drainage District,
as above described, respectfully pray that the parcels of
land and other property embraced within said above-described
boundary lines, be incorporated under the name and style of
"Cape LaCroix Creek -Walker Creek Levee and Drainage District, "
as is provided in Chapter 242 of the Revised Statutes of
Missouri, 1969, and all subsequently enacted amendments
thereto; and that notice of the filing of this petition and
Articles of Association be published as required by Section
242 .030, Revised Statutes of Missouri, 1969 , and for such
other, different and subsequent orders as may be necessary
or appropriate for the creation, organization and functioning
of said district'and its subsequent administration, as
authorized by law.

CAPE LACROIX - WALKER CREEK
LEVEE AND DRAINAGE DISTRICT
A. FORMATION:
1) Articles Of Association and Petition - To form the
district, Articles of Association and a petition must be
prepared and signed. The owners of a majority of the
acreage within the boundaries of the district must sign.
For computation purposes , a platted subdivision lot is
equal to one acre.
2) The land within the district must be wet or over
flowed lands , or lands subject to overflow.
3) After filing of the petition, notice is given once
� a week for four weeks.
4) Provision is made for objections. Anyone who has
not signed may object to the incorporation of the district.
The objections are limited to the denials of the facts
stated in the petition for incorporation. As a practical
matter, this means the contests available are whether or
not the lands are wet or overflowed lands and whether or
not a majority of the acreage has signed. If objections
are filed, they are heard by the court without a jury,
summarily and appeal rights do follow.
5) After objections , if any, have been heard and over- LL
ruled, the association is incorporated as a public corpora-
tion of the state and the clerk, thereafter, notifies the
Secretary of State and a copy of the decree is filed in the
local recorder' s office.
6) It should be noted that once the articles are signed,
a person cannot withdraw his signature without the explicit
� written consent of the majority of those who have also signed
the articles.
7) It should be also noted that the articles can be _ �
amended with leave of court, if necessary.
B. DRAINAGE DISTRICT STRUCTURE:
1) Basic structure consists of a Board of Supervisors ,
of five in number, organized with a president, vice president
secretary and treasurer.

2) Board of Supervisors is elected. The first election
takes place thirty days after the incorporation, pursuant
to notice. There is a meeting, at which the land owners
first elect a chairman and secretary, nominate supervisors
and then a vote is held. The five people receiving the
highest number of votes are elected supervisor. Each acre
or each subdivided lot has one vote. Votes may be cast by
proxy.
3) The supervisors draw lots and their terms are 1,2 ,3,
4 , and 5 years. Thereafter, there is an annual election with
one supervisor being elected each year, for a term of five
years.
4) Supervisors serve without pay, unless the pay is
specifically voted by the land owners at the original or
some subsequent annual meeting.
5) There are two basic officers, president and secretary.
The secretary is also the treasurer.
6) The president must be a member of the Board of
Supervisors. The secretary must only be a resident of the
county and need not be a member of the board.
a) The secretary keeps all of the records of the
board and attests documents.
b) Treasurer; the secretary is the treasurer. The
primary responsibility of the treasurer is to receive taxes
collected by the county collector and dispurse funds at the
direction of the Board of Supervisors. Checks can only be
signed by the president and attested by the secretary.
c) The secretary/treasurer is paid. The board must
furnish in addition to salary, necessary office equipment and
office space. •
It should be noted that the books are audited annually
he audits must be published and reported at the annual meeting.
C. OTHER EMPLOYEES:
1) Chief Engineer - Within sixty days after organization,
the board must appoint a registered civil engineer as chief
engineer.
a) Primary original obligation of engineer is to
prepare the plan of reclamation.

b) Corollary duties - Make all necessary surveys;
report in writing to the board with maps and profiles;
generally deal with the existance of and solutions for
drainage problems.
2) Attorney - Within sixty days , the Board of Super-
visors must also appoint an attorney. The Contract with
the attorney must be in writing.
D. OPERATION OF THE BOARD OF SUPERVISORS - I,NITIAL;
1) After the original organization and appointment of
employees , except for the levying of organizational taxes ,
as herein after explained, the primary job of the Board of
Supervisors if to adopt a final report and plan of reclama-
� tion, as filed by the chief engineer. The board may mofify
the chief engineer' s plan and the engineer must then approve
. the modifications. On final adoption, the plan is then filed.
2) Within twenty days after the plan is adopted, the
secretary must file a copy, thereafter within the same time
the board must petition for the appointment of commissioners
to appraise the land and to assess benefits and damages.
E. COSTS AND TAXATION:
1) Organizational Tax - After incorporation, the board
must levy an organizational tax. The organizational tax is
a maximum of one dollar per acre (One dollar per platted
subdivision lot) . The money is used soley for the purpose
of paying organizational expenses.
2) Maintenance Tax - In addition to the other taxes
herein referred to, the board must levy an annual maintenance
tax. The tax is levied to (a) pay current expenses ; (b) main-
tain and preserve the improvements.
a) The maintenance tax is apportioned on the basis of
assessed benefits but cannot exceed ten (10%) per cent of
assessed benefits in any one year.
3) Annual Installment Of Tax - The annual tax has three
components. The components are: (1) Section 450 Tax, which
is levied in proportion to the benefits assessed. This tax
is that percentage necessary to pay for the cost of completing
the plan of reclamation during that year, plus 10� of the total
plan to reclamation for emergencies. After the initial year,
this tax is levied annually but may be changed and it is intended
to fund the current year' s portion of the plan of reclamation.

(2) Section 480 Tax - If bonds are issued to finance
the plan of reclamation, a common way of providing for
expedited construction over cash flow, •then the annual
tax must be sufficient to pay the interest on the bonds
and provide for pro rata retirement, thereof. (3) The
third component of this tax m� be provided by the Board
of Supervisors, under Section 470 , which provides for the
levy of "an additional drainage tax" to pay for additions
to the plan of reclamation or in the event that the other
components of the tax have been found to be inadequate.
It must be noted, that in no event can this annual or
initial tax levy in toto, exceed the total amount of
benefits assessed.
� F. ASSESSMENT OF BENEFITS - THE PLAN OF RECLAMATION:
.� 1) As previously outlined, the ultimate aim of the
organized district is to adopt a plan of reclamation.
a) The plan is prepared by the chief engineer and
reviewed by the Board of Supervisors. The Board of Super-
visors may modify the same but any modifications must be
approved by the chief engineer.
b) Once finally adopted, the plan is filed with
the clerk of the circuit court. The board must then
petition for the appointment of commissioners.
c) The Commissioners must be freeholders , that is
landholders, who are citizens of the State of Missouri.
They may not be landowners in the district not may they be
related, that is they cannot be a third cousin or better to
anyone owning land in the district. The Commision acts by
a majority.
d) The Commissioners receive five dollars a day
plus expenses , by statute. In practice as with condemnation
commissioners, they petition the court for an award of fees.
e) The Commissioners job is extensive and selection
of Commissioners is of critical importance to the entire plan.
f) The Commissioners must actually view each tract.
They must determine the fair market value of each tract.
They must assess the benefit that will flow to or the damage
that will be caused by each tract within the district,
occassioned by the completion of the plan of reclamation.
g) The secretary of the board functions with the
Commissioners , as does the attorney. The chief engineer or
his assistant is required to accompany the Commissioners at
. all times �nd provide his engineering opinions to them.

h) With respect to damaged land or lands which
must be taken to complete the plan of reclamation, the
Board of Supervisors is granted the power of condemnation.
The board may not use or enter upon that land until the
damages found have been paid.
2) Benefits - The benefits assessed constitute the
basis for the tax levies.
a) When the commissioners have completed the
assessment portion of their job, they tabulate their find-
ings. At this point, the Commissioners must estimate the
cost of the completion of the plan of reclamation and also
include that in their findings. Cost must be estimated with
the help of the chief engineer.
b) It must be noted that it is critical that this
.� cost be determined, at least in general by the board, prior
to the final adoption of a plan for reclamation.
c) The Commissioners ' report is then prepared by
the board' s attorney, signed by the Commissioners, filed
with the clerk of the circuit court and notice thereof is
published.
3) Continuation of the district - If the total assessed
benefits found by the Commissioners is less than the cost
of carrying out the plan of reclamation, the circuit court
is required to dissolve the district. If this occurs , the
district assesses a uniform tax in order to complete paying
the cost of organization and to complete payment of the
cost of the operation of the district through point in time
when the district is dissolved.
a) It is this fact which makes cost in relationship
to the prospective benefits of importance, prior to the
appointment of the Commissioners.
4) If the assessed benefits are equal to or greater
than the cost of constructing the plan of improvement, the
Commissioners report is confirmed.
5) Objections to the Commissioners ' report - Before the
decision is made set forth in the preceeding two paragraphs ,
both the district and the land owners have the right to
object, i.e. , file exceptions to the report. Exceptions are
filed within ten days after the last date of publication.
The land owners may object that the benefits assessed are too
high. The district may object that the benefits assessed are
too low. These objections are heard by the court, summarily
and rights of appeal are provided. The analogy here is to
the ordinary condemnation proceedings.

a) It is after the hearing of all exceptions
that the total to cost to total benefits is viewed and
the decision made as to whether or not the district is
confirmed or dissolved.
G. GENERAL POWERS, DUTIES AND OPERATIONS :
1) It should be noted that the period between
organization and final approval of the Commissioners '
report is often a long one. During that interim, the
drainage district continues to operate.
2) The Board of Supervisors has a basic power to do
all works and perform all acts necessary to drain, protect
� and reclaim lands within the district. They may clean out,
straighten, widen and change the course of natural and
. artificial drains; they may construct dikes , levys , ditches ,
pumping stations , siphons , holding basins , bridges and the
like. They can build roads and bridges, pumping stations
and holding basins.
3) In summary, the Board of Supervisors has explicit
statutory powers to do almost anything necessary to effect
the purpose of the district.
4) The board' s meetings are open to the public.
5) The board is also subject to Missouri Statutes on
budget laws and must hold annual budget and tax hearings
in addition to the annual meeting, at which an annual status
_re�port must be made by the board and chief engineers to the
land owners.
It should also be advised that the board is empowered
and authorized to purchase insurance to cover any liability
incurred by the drainage district and drainage district
employees , including the board.
