If Frisco shall ac any time change the grade of said cight of way oc tracks,or change che location of any tracks, improvements, fadlitics, struetures or appurteaances now or hereaftec located upon said right of way, or conscruct or cause oc allow to be conscructed aay addicioaal uacks, improvements, facilities, sttuctures or appucceaaaces upon said cight of way, and shall noc terminate chis agreement on accouat thereof, Licensee shall theceupon, at Licensee's sote cost and expense, change the grade ar location of and reconstrucc said pipe line in a manner prescribed by Frisco's Chief Engiaeer or other authorized representative. 5• Licensee shall pay to Frisco, promptly upon rendition of bill �herefor, all costs and expenses of every kind and chacactec in- curred by Frisco, incidental to any work done, or [o be done, by Licensee (or Licensee's contractoc) under the terms of this agreemeat or which, under the tecros hereof, are co be borae by Liceasee. Such costs aad expenses shall include, but not be limi[ed to, costs of labor, traveling expenses, material, freight charges on material, applicable percentages foc vacacion allowances and paid holidays, health and wel- Eare beaefits, and payroll and sales taxes, plus ten per cent (10%) to cover accounting, use oftools and general overhead. 6. Licensee, as a further consideration for the aforesaid grant, heceby agrees co indemnify and save harmless Frisco from any and all claims,demands, causes of action, damages, judjments, costs, attorney's fees and expenses(a) [hac Frisco may sustain, incur ot become liable for on account of loss oc destcuction of or damage to property whatsoever and death of or injury to pezsons whomsoever and(b)all loss or destruction of or damage to said pipe line and all othec pro�erty of Licensee, growing out of excavacing for, laying, constructtng,recon- struccing, maincaining, opetacing, repairing or removing of said pipe line, or the failure of Licensee (or Licensee's contractor)to comply fully with Licensee's obligations heceunder, and whethec caused by negligence of Frisco, its agents, servants or employes, or otherwise. 7. If either paccy hereto shall violate, continuously oz ocherwise, any of the tecros of this agceement binding upon it, the other par[y hereto shall theteby be deemed neither to have waived nor relinquished any such term of this agceemeac noc to have acquiesced in such vio- laciou thereof, unless [he other party shall expressly consent thereco in writing. 8. Eit6ec party may terminate this agreement by giving to the other party thirty(30)days' wri[ten nocice of intention so to do. Upoa a�y caminatioa of this agreemenc, Licensee shall, at its sole cost and expcnse, within ten(10)days thereaf.cer remove said pipe line hom ,•*�c said right of way and cracks and restote the same to a condition satisfactory co Frisco, aad if Licensee shall fail so to do, Fcisco shall hav- �- :ight to make such cemoval aad cestoration at the expense of Licensee. No termination of this agreement shall release Licensee �om �._??iability or obligation that may have been incutred by or that may have accrued against Licensee hereundet during the term hereof.
