BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU, MISSOURI, AS FOLLOWS: SECTION 1 . The City Manager on behalf of the City of Cape Girardeau, Missouri , is hereby authorized to join Southeast Missouri State University in entering into a contract with Shannon and Wilson, Inc, for soils investigation work at the Multi-Use Center site . A copy of this agreement is attached to this resolution and made a part hereof . PASSED AND ADOPTED THIS _1� DAY OF , 1984. � � � � MAYOR ATTEST � ITY CLERK AGREEMENT This agreement made and entered into this day of , 1984, by and between Southeast Missouri State University and the City of Cape Girardeau, hereinafter referred to as "Owner" and Shannon and Wilson, Inc. , hereinafter referred to as "Engineer" . WITNESSETH: 1 . DESCRIPTION OF WORK. Engineer shall provide subsurface and seismic investigation services for the Multi-Use Center to be located on the campus of Southeast Missouri State University. Engineer shall investigate conditions at the site by drilling ten ( 10) borings down to bedrock and then coring into bedrock a distance of ten ( 10) feet in two to three of the ten (1 ) borings. Standard penitration tests will be performed at five ( 5) foot intervals in the over burden and representative samples of the material obtained will be retained in glass jars for further inspection . The underlying bedrock will be cored to determine the competence of the bearing material . Borings will be made with a truck-mounted rotary drill operated by a reputable subcontractor . A geologists from engineer 's staff will provide quality control during the drilling operations by observing the work, obtaining samples and preparing descriptive field logs of the borings . He will also make a geologic evaluation of the site. The project surveyor will locate the borings in the field. All soil samples and rock cores will be brought to engineer ' s laboratory in appropriate containers for classification and testing as may be necessary. A detailed descriptive log of the soil, rock cores , and photographs of selected rock samples will be included in the report as documentation of the soil and rock conditions encountered in the borings . The result of the field and laboratory investigations will be analyzed by licensed geotechnical engineers, and recommendations will be made relative to alternative types of foundations , specific building locations , and possible grading problems. Engineer shall evaluate significant fault zones and probable ground motion . Recommendations will be given for the type of foundation that would be appropriate for a large and heavy building located in an active seismic zone. Engineer shall begin field work within approximately one (1 ) week after notice to proceed. Drilling operations will require approximately three ( 3) days . The result of engineer 's field investigations, laboratory tests and engineering and seismatic analyses will be submitted in a written engineering report. Five ( 5) copies of the report will be furnished and the final report will be issued three to four weeks after completion of drilling. Prior to the completion of the report, preliminary information will be transmitted verbally as it becomes available . 2. PAYMENT. Payment for engineer 's services shall be at the unit prices set forth in engineer 's cost estimate which is attached to this contract and made a part hereof. Engineer shall not exceed the estimate cost without owner 's prior authorization. 3. REIMBURSEABLE EXP�NSES. Expenses other than salary costs that are directly attributable to engineer 's professional services shall be invoiced at engineer ' s cost plus five per cent ( 5� ) . Examples of these expenses include but are not limited to out of town travel expenses, long distance telephone charges, use of personal and rental cars, job related supplies such as explosives on geophysical surveys, piezometers, and other instruments', special fees and permits , premiums for additional or special insurance when required. Engineer shall not exceed the estimated cost without Owner 's prior authorization . 4. SERVICES BY OTHERS. When considered necessary, other firms or consultants may be utilized with Owner 's approval . The cost of services of other consultants or firms will be marked up five per cent ( 5$ ) . Payment for the drilling subcontractor shall be made at the unit price set forth in the cost estimate plus the twelve per cent ( 12$ ) indicated in the cost estimate. Engineer shall not exceed the estimated cost without Owner 's prior authorization. 5. LABORATORY TESTS. Payment for laboratory tests shall be made on the basis of employees ' salaries charged to the project plus twenty-nine per cent ( 29$) . Engineer shall not exceed the estimated cost without Owner 's prior authorization. 6. RIGHT OF ENTRY. Unless otherwise agreed, Owner will furnish Engineer right of entry on the land and be responsible for the propriety of -2- the time, place and manner of Engineer 's entry upon the land where Engineer is to make borings, surveys and other explorations . Engineer will take reasonable precautions to minimize damage to the land from use of equipment, but has not included in its fee the cost of restoration of the land. 7. BURIED UTILITIES. If there are buried utilities on the land, Owner will provide Engineer with the location plan showing existing utilities on the site where exploration is to be made . Engineer and its subcontractors will use reasonable care and diligence to avoid contact with utilities as shown . Owner will hold Engineer and its subcontractors harmless from any loss resulting from inaccuracy of the plans , or lack of plans, relating to the location of underground utilities . 8. SAMPLES. All samples of soil and rock will be discarded thirty ( 30) days after submission of Engineer 's final report unless Owner advises Engineer to deliver the samples to Owner, charges collect, or to store them for an agreed storage charge. 9. GENERAL LIABILITY. Engineer agrees to hold Owner harmless and to indemnify and defend Owner on account of any liability due to bodily injury or property damage arising out of Engineer 's negligent operational acts . 10. MISCELLANEOUS. Neither party shall hold the other responsible for damages or delay in performance caused by Acts of God, strike, lockouts , accidents, or other events beyond the control of the other or the other 's employees and agents. One or more waivers by either party of any provision, term, condition, or covenant shall not be construed by the other party as a waiver of a subsequent breach of the same by the other party. It is understood and agreed that Engineer has not been retained or compensated to provide design and construction review services relating to the safety precautions of any -3- contractor or subcontractor who may work on the project and that Engineer will not be providing such services . Where tests are performed within a borehole (such as bore hole logger , Goodman jack, seismic compression and shear waive) , it is possible that damage to or loss of the borehole may occur . In such event, Owner agrees to release Engineer from all liability for loss of borehole from any cause while or after Engineer ' s services are performed. Engineer agrees to accept the risk of loss or damage to its equipment while inserted in a borehole. OWNER ENGINEER SOUTHEAST MISSOURI STATE UNIVERSITY SHANNON AND WILSON, INC.
