ENTER INTO AN AGREEMENT WITFi BOOKER
ASSOCIATES, INC . FOR ENGINEERING AND
TECHPIICAL SERVICES FOR IMPROVEMENTS AT THE
CAPE GIRARDEAU MUNICIPAL AIRPORT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI , AS FOLLOWS:
SECTION 1 . The City Manager on behalf of the City of Cape
Girardeau, Missouri , is hereby authorized to enter into an
Agreement with Booker Associates , Inc . for engineering and
technical services for improvements at the Cape Girardeau
Municipal Airport . A copy of this agreement is attached to
this resolution and made a part hereof.

Oear Mr. Eide:
In accordance with your phone call of September 25, 1986, Booker Associates,
Inc. (Booker) is pleased to submit the following proposal for furnishing
� engineering and technical services in connection with a Federal Aviation
Administration AIP Grant for proposed improvements to the facilities at the
Cape uirardeau Municipal Airport.
I . SCOPE OF SERVICES
Booker will prepare a set of construction plans and specifications for
the reconstruction of apron areas at the airport terminal building,
reconstruction of Taxiway "F", installation of inedium intensity taxiway
lights on Taxiway "A", and replacement of the airport beacon.
All design and documents shall conform to the criteria in the Federal
A•diation Administration 's "Standard Specifications for Construction of
Airports" , FAA Advisory Circular No. AC 150/5370-10, latest edition,
and other applicable requirements necessary for FAA Federal Aid
Projects. To accomplish the foregoing, Booker will provide the
following services:
A. Reconstruction of Apron Area and Taxiway "F" �
1. Perform all horizontal and vertical control surveys necessary
for topographic mapping. Said control surveys will include,
but not be limited to, establishing horizontal control points,
establishing a coordinate system for all apron jointing, and
establishing several benchmarks using USGS Datum.

2. Perform topographic and design surveys necessary for the
preparation of contract plans as set out above. Such survey
information to include, but not be limited to, information
such as lights, pull boxes, inlets, apron joints, and other
similar information.
3. Establish benchmarks, obtain elevations of existing apron pave-
ment affected by the rehabilitation, and obtain cross sections
of Taxiway "F" at 50 foot intervals.
4. Prepare final plans for each phase of the work to include, but
not be limited to, plans, profiles, typical sections, details,
summary-of-quantities, pavement markings, and miscellaneous
drawings. These drawings will be prepared with plastic lead on
mylar drafting film.
� 5. P�epare final contract documents and technical specifications.
6. Prepare detailed construction cost estimates based on the
contract drawings.
7 . Attend the bid opening and assist the City of Cape Girardeau
in evaluating bids received to construct the proposed improve-
ments and make recommendations concerning the award of a
contract.
B. Installation of Medium Intensity Lighting
1. Using existing as-built information, prepare a plan of Taxiway
"A" lighting requirements.
2. Obtain electrical requirements and regulation data necessary to
provide design documents required to construct the Taxiway "A"
lighting as part of the above construction package.
C. Airport Beacon Replacement
Booker will provide in the construction plans and specifications
electrical wiring placement, details of construction and connection
details for replacement of the airport beacon.

D. Resident Inspection Services
Booker will provide a full-time Resident Inspector during the times
that significant construction work is in progress. The Resident
Inspector shall be responsible for the following:
1 . Review construction schedule and coordinate same with all
concerned parties.
2. Schedule and conduct pre-construction and progress meetings as
required.
3. Inspect the work of the contractor to assure that it is in
conformance with the requirements of the contract documents.
4. Provide for, conduct or witness field, laboratory, or shop
�^ tests of construction materials as required by the plans and
specifications. Measure, compute, or check quantitites of work
performed and quantities of materials in place for partial and
final payment to the contractor.
5. Consult with the City of Cape Girardeau if the contractor
requests an interpretation of the meaning or intent of the
specifications and assist in the resolution of any questions.
6. Maintain files of correspondence, conferences, change orders,
progress reports, and other related data.
7 . Maintain a diary in which all significant actions are recorded.
8. Maintain daily records of the activity of the contractor and
furnish copies if requested.
9. Regularly monitor overall construction progress. Provide
monthly summary reports and document all changes in procedures
or schedules.
10. Monitor the approved estimate of construction costs.
11. Recommend necessary or desirable changes and review requests
for changes.

12. Review contractor payment requests for progress and final
payments.
13. Provide surveys necessary to confirm the construction stakeout
by the contractor and assure conformity with the plans.
14. Provide semi-final inspection and furnish punch list of any
incomplete or unsatisfactory items.
15. After final inspection with all concerned parties, issue
certificate of completion to City of Cape Girardeau and the
FAA.
16. After completion of all construction work, prepare as-built
drawings and furnish the City with one set of reproducibles.
�'�` II . TO BE FURNISHED BY CITY OF CAPE GIRARDEAU
The City will furnish the following:
A. All available pertinent information that the City may have in its
possession or to which it may have access.
B. A person who will be the liaison in all matters.
III . TIME OF PERFORMANCE
The services of Booker are to commence upon signing of the contract.
The construction drawings, contract documents, and technical
specifications will be ready for submission to the FAA within forty
(40) calendar days.
IV. COMPENSATION
The City of Cape Girardeau will compensate Booker for the work
specified above as follows:
For work and services described in the paragraphs A, B and C in the
Scope of Services, a not to exceed lump sum fee of Twenty Four
Thousand Nine Hundred Dollars ($24,900.00) .

For services described in paragraph D in the Scope of Services, a not
to exceed cost of Twenty Two Thousand Eight Hundred Dollars
($22,800.00), in accordance with the following:
The basis of compensation for Resident Inspection Services is an
assumption that the construction period will not exceed three (3)
calendar months. If the construction period exceeds three (3)
calendar months and if additional inspection services are required,
they will be billed at the rate of Fifty Dollars ($50.00) per hour
which will include all salary, fringe benefits, overhead, profit and
reimbursable expenses.
The not to exceed cost for Resident Inspection Services includes Six
Thousand Dollars ($6,000.00) for outside construction testing
services. If the construction period exceeds three (3) calendar
months and if additional construction testing services are required,
'"1 they will be billed at their actual cost.
V. METHOD OF PAYMENT
Payment will be made monthly based on the percentage of work completed
in the preceding month and shall , in every case, be supported by a
suitable invoice.
VI . ADDITIONAL SERVICES
If additional services beyond those described in the Scope of Services
are required, an equitable adjustment in fee and time of performance
will be mutually determined by the Parties.
VII . TERMINATION OF AGREEMENT
The City at any time, and with or without cause, may terminate this
Agreement as to any services not yet rendered. Booker shall have no

right to terminate services under this Agreement without just cause.
Termination by the City shall be by registered letter, addressed to
Booker at the address set forth herein. Should this Agreement be so
terminated, Booker shall receive no compensation for any services not
performed. The City shall pay, as the full compensation to which
Booker shall be entitled in connection with the Agreement (if
termination is not the fault of Booker) , amounts for or attributable
to services completely satisf actory through the date of termination,
plus costs incurred in completing such reports, documents, or matters .
as required by the City for the termination of the work and securing
the project against damage or injury occasioned by delay or stoppage.
VIII . TITLE VI ASSURANCES
During the performance of this contract, the Consultant, for itself,

its assignees and successors in interest, agrees as follows:
A. Compliance with Regulations.
The Consultant shall comply with the regulations relative to non-
discrimination in federally assisted programs of the Department of
Transportation (hereinafter "DOT") , Title 49, Code of Federal
Regulations, Part 21, as they may be amended from time to time
(hereinafter referred to as the Regulations) , which are herein
incorporated by reference and made a part of this contract.
B. Non-Discrimination
The Consultant, with regard to the work performed by it during the
contract, shall not discriminate on the grounds of race, color, or
national origin in the selection and retention of subcontractors,
including procurement of materials and leases of equipment. The
Consultant shall not participate either directly or indirectly in
the discrimination prohibited by .Section 21.5 of the Regulations,
including employment practices when the contract covers a program
set forth in Appendix 6 of the Regulations.
C . Solicitation for Subcontracts, Includin Procurement of Materials

In all solicitations either by competitive bidding or negotiation

subcontract, including procurements or materials or leases of

equipment, each potential subcontractor or supplier shall be
notified by the Consultant of the Consultant's obligations under
this contract and the Regulations relative to nondiscrimination on
the grounds of race, color, or national origin.
D. Information and Reports
The Consultant shall provide all information and reports required
by the Regulations or directives issued pursuant thereto and shall
permit access to its books, records, accounts, other sources of
information and its facilities as may be determined by the City or
the FAA to be pertinent to ascertain compliance with such
Regulations, orders and instructions. Where any information
required of a contractor is in the exclusive possession of another
who fails or refuses to furnish the information, the Consultant
shall so certify to the City or the FAA, as appropriate, and shall
�"' set forth what efforts it has made to obtain the information.
E . Sanctions for Noncompliance "
In the event of the Consultant ' s noncompliance with the non-
discrimination provisions of this contract, the City shall impose
such contract sanctions as it or the FAA may determine to be
appropriate, including, but not limited to:
1. Withholding of payments to the Consultant under the contract
until the contractor complies, and/or
2. Cancellation, termination or suspension of the contract in
whole or in part.
F . Incorporation of Provisions
The Consultant shall include the provisions of Paragraphs A
through E in every subcontract, including procurements of
materials and leases of equipment, unless exempt by the
Regulations or directives issued pursuant thereto. The Consultant
shall take such action with respect to any subcontracts or
procurement as the City or the FAA may direct as a means of
enforcing such provisions, including sanctions for noncompliance.
Provided, however, that in the event a contractor becomes involved
� in, or is threatened with, litigation with a subcontractor or
supplier as a result of such direction, the Consultant may request

the City to enter into such litigation to protect the interests of
the City and, in addition, the Consultant may request the United
States to enter into such litigation to protect the interests of
the United States.
IX. MINORITY BUSINESS ENTERPRISE (MBE) ASSURANCE
A. Po1 icy
It is the policy of the Department of Transportation that minority
business enterprises, as defined in 49 CFR Part 23, shall have the
maximum opportunity to participate in the performance of contracts
financed in whole � or in part with Federal funds under this
Agreement. Consequently, the MBE requirements of 49 CFR Part 23
apply to this Agreement.
^ B. MBE Obligation '
The Consultant agrees to ensure that minority business enter-
prises, as defined in 49 CFR Part 23, have the maximum opportunity
to participate in the performance of contracts and subcontracts
financed in whole or in part with Federal funds provided under .
this Agreement. In this regard, all contractors shall take all
necessary and reasonable steps in accordance with 49 CFR Part 23
to ensure that minority business enterprises have the maximum
opportunity to compete for and perform contracts. Contractors
shall not discriminate on the basis of race, color, national
origin, or sex in the award and performance of DOT-assisted
contracts.
X. MUNITOR AND AUDIT
The Consultant agrees to submit to audit at reasonable times by the
City and the authorized representative of the FAA, the Comptroller
General of the United States, or any of the duly authorized repre-
sentatives shall have access to any books, documents, papers, and
records of the Consultant which are directly pertinent to a specific
grant program, for the purpose of making audits, examinations,
excerpts, and transcriptions. The City shall require the Consultant
to maintain all required records for three years after the City makes
final payment and all other pending matters are closed. Consultant
�. further agrees to permit monitoring by the City, its staff and
appropriate representatives and to cornply with such reporting
procedures as may be established by the City.

XI . OWNERSHIP OF DRAWINGS AND CONTRACT DOCUMENTS
Original documents, such as tracings, plans, specifications, maps,
basic survey notes and sketches, ch�arts, computations, and other data
prepared or obtained under the terms of the contract, are instruments
of service and will remain the property of the Consultant. Repro-
ducible copies of drawings and copies of other pertinent data will be
made available to the sponsor upon request.
ACCEPTANCE
Acceptance of this proposal will be considered as written notice to proceed
unless other instructions are received in writing. If this contract meets
with your approval , please indicate your acceptance by signing and returning
one copy. The other copy is for your files.

LIMITATION OF LIABILITY
Booker Associates, Inc. is a design-oriented firm offering professional
services in the fields of engineering, architecture and planning. As a
professional firm, we have a responsibility to our clients and our share-
holders to represent and protect their interests. One way to protect
these interests is to maintain various types of insurance coverage. One
of the coverages thus provided is professional liability insurance which
is currently underwritten by the Design Professionals Insurance Corporation
(DPIC) through an organization known as the American Consulting Engineers
Council (ACEC).
It has been determined to be prudent business to include a Limitation of
Liability which is representative of the level of involvement of our firm
in the design and construction process. The inclusion of this Limitation
of Liability results in a reduced premium which ultimately translates to
a lower overhead. This then, permits us to provide professional services
^ to you, our client, at the lowest cost possible.
Therefore, the use of the liability clause is strictly one of practicality
and is in no way reflective of the quality of work performed by Booker
Associates, Inc. Should there be any concern over this issue, we will be
pleased to provide a list of references upon request.
