A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ENTER INTO A CONTRACT FOR ENGINEERING
SERVICES WITH BLACK & VEATCH FOR THE
SOUTHPJEST TRUNK AND INTERCEPTOR SEWERS
PROJECT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI , AS FOLLOWS:
SECTION 1 . The City Manager , for and on behalf of the City of
Cape Girardeau, Missouri , is hereby authorized to enter into a
Contract for Engineering Services with Black & Veatch ,
Engineers-Architects for the Southwest Trunk Sewer , West Park Mall
Interceptor Sewer and I-55 Business Park Interceptor Sewer
projects. A copy of said Contract is attached to this Resolution
and made a part hereof .

CONTRACT FOR ENGINEERING SERVICES
THIS CONTRACT, made and executed in duplicate this day of ,
1989, by and between the City of Cape Girardeau, Missouri, hereinafter called
the City and Black � Veatch, Engineers-Architects, hereinafter called the
Engineer;
WITNESSETH: That in consideration of the mutual covenants hereinafter
contained, the City agrees to employ the Engineer to perform the servfces
hereinafter outlined in connectivn with field layout, surveying, subsurface
investigations, geotechnic services, engineering and resident inspection for
the Southwest Trunk Sewer and Interceptor Sewers and agrees to pay the
Engineer for such services according to the manner and schedule of
compensation herein contained.
SECTION I - SCOPE OP SERVICES
The Engineer agrees to perform the field layout and surveying; subsurface
investigations and geotechnic services; design engineering, including
preparation of construction dravings and specifications; construction phase
engineering services and resident inspection services for approximately
20,000 lineal feet of gravity sewers and appurtenant structures; and
supplemental services, as requested, as further described in Appendix A
attached. The seWerage facilities included are listed below.
1. Southvest Trunk Sewer
2. West Park Mall Interceptor Sever
3. I-55 Business Park Interceptor Sewer
SECTION II - COMPENSATION
For the services covered by this Contract, the City agrees to pay the Engineer
as follows:
A. Compensation for the field layout and other services performed by the
Engineer's personnel will consist of a sum equal to 2.60 times salary
costs, plus reimbursement for direct out-of-pocket expenses without
markup. Local surveying, subsurface investigations and geotechnic
services costs submitted to the Engineer by subconsultants for payment
will be billed to the City with a five percent (SX) markup. Maximum
amount for field layout, surveying, subsurface investigations and
geotechnic services shall be $54,100, vithout further authorization.
B. Compensation for design engineering, including preparation of con-
struction drawings and specifications and preliminaries for, and
assistance fn, receiving construction bids, will consist of a sum equal
to 2.60 times salary costs, plus reimbursement for direct out-of-pocket
expenses without markup. Maximum amount for design engineering services
shall be $89,900, without further authorizaton, based on bidding the
construction work in two sections.

C. Compensation for construction phase engfneering services will consist of
a sum equal to 2.60 times salary costs, plus reimbursement of direct
out-of-pocket expenses without markup. Maximum amount for construction
phase services shall be $57,200, without further authorization, based on
a construction period of ten (10) months.
D. Compensation for resident inspection services will consist of a sum
equal to 2.30 times salary costs, which will include reimbursement for
all direct out-of-pocket expenses. Maximum amount for resident
inspection services shall be $64,400, without further authorization,
based on actual construction time of eight (8) months during which
resident inspection will be required.
E. Compensation for supplemental services will be determined by service
requested. Each item of supplemental service shall be specifically
authorized by the City and a method of compensation determination and
maximum amount shall be established before the work is started.
P. Compensation for subconsultants and other outside support obtained by
the Engineer for performance of the above services is included in the
above maximum amounts.
G. The following are reimbursable direct expenses:
1. Travel, subsistence, and incidental costs.
Z. Use of motor vehicle on a mileage or rental basis.
3. Telephone and telegraph costs.
4. Moving costs for full-time onsite personnel (to but not from site).
5. Reproduction of reports, drawings, specifications, and other
project-related materials.
6. Postage and shipping charges for project-related materials.
7. Computer time and program use charges.
8. Rental charges for use of equipment, including equipment owned by
the Engineer.
9. Cost of acquiring any other materials or services specifically for
and applicable to this project.
H. The amounts listed above do not include any allowances for local City
taxes, license fees, or special state fees or taxes (other than state
income taxes). Should local taxes or fees be applicable to the
engineering vork or payments therefor, the amount of such fees or taxes
shall be a reimbursable expense and fixed price amounts and billing
limits shall be increased by the amount of such fees or taxes.
I. Periodic monthly payments shall be made to the Engineer by the City in
the amount equal to the portion of the total work performed, for which
compensation has not been received through previous payments, until the
work is completed, providing the billing limit has not been exceeded.

SECTION III - CITY RESPONSIBILITIES
The City will furnish, as required for the work and not at the expense of the
Engineer, the following items:
A• Property, boundary, easement, right-of-way, and utility surveys, and
property descriptions when such information is required.
B. All maps, drawings, records, and other data that are available in the
files of the City and which may be useful in the work involved under
this Contract.
C. Access to public and private property, as necessary, in conduct of field
surveys and investigations.
D. Shop, mill, or laboratory inspection and materials, or laboratory
testing service. The Engineer will review the reports furnished by
such laboratories.
E. Royalties and fees for patented processes used in the work, except those
required to be paid by construction contractors as part of the
construction contract.
SECTION IV - OTHER HATTERS
It is mutually understood and agreed:
A. That the compensations for engineering services established in Section
II are based on receipt by the Engineer of a Notice to Proceed from the
City prior to April 1, 1989.
B. That documents including drawings and specifications furnished by the
Engineer pursuant to this agreement are instruments of his services in
respect to the project. Although they will be made available to the
City for whatever use it cares to make of them, they are not intended or
represented to be suitable for reuse by the City or others on extensions
of the project or any other project. Any reuse without specific written
authorization or adaptation by the Engineer will be at the City's sole
risk and without liabflity or legal exposure to the Sngineer and the
City shall indemnify and hold harmless the Bngineer from all claims,
damages, losses and expenses including attorney's fees arising out of or
resulting therefron.
C. That the Sngineer shall not be liable for delays resulting from causes
beyond the reasonable control of the Engineer; that the Engineer has
made no varranties, expressed or implied, which are not expressly set
forth in this Contract; and that under no circumstances will the
Engineer be liable for indirect or consequential damages.
D. That the Engineer vill have and maintain through the life of the
Contract, Professional Liability Insurance in an amount at least equal
to the total cost of the services contained herein.

APPENDIX A
TO
CONTRACT FOR ENGINEERING SERVICES
DESCRIPTION OF SCOPE OF SERVICES
A. Field Layouts, Surveys, Subsurface Investigations and Geotechnic
Services
1. Make necessary field surveys required for preparing drawings and
specifications and locating test holes for soil borings.
2. Provide assistance and guidance in obtaining soil borings and other
exploratory work.
3. Assist the City in obtaining easements, land and property surveys
and property descriptions by providing guidance in selection of
surveyors and in defining the locations to be surveyed while
keeping surveying work to a minimum. Actual surveys will not be
by the Engineer unless specifically authorized as supplemental
services.
B. Design and Preparation of Construction Drawings and Specifications
1. Prepare detailed drawings and specifications for the proposed
construction vork and for all equipment required.
2. Prepare an opinion of probable construction cost for the proposed
work covered by the drawings and specifications.
3. Submit dravings and specifications to the state agencies having a
regulatory interest in the project.
4. Attend up to three meetings in Jefferson City or Cape Girardeau
to discuss the project with governmental officials and answer
questions, as necessary.
5. Prepare bid forms and notice to bidders.
6. Issue drawings and specifications to prospective bidders.
7. Attend each bid letting.

8. Assist the City in evaluating bids and make recommendations con-
cerning award of contracts.
C. Construction Phase Services
1. Assist the City in preparation of conforming copies of contracts.
2. Review drawings and data submitted by construction contractors for
general conformity to the contract drawings and specifications.
3. Make periodic visits to the site of the work during construction
and consult with the City concerning progress, and administer the
project both in the office and in the field.
4. Interpret the meaning of the contract documents as necessary.
5. Observe field tests of facilities or equipment.
6. Revise drawings to conform to construction records and furnish one
set of prints of revised drawings to the City.
D. Resident Services During Construction - Project Inspection
1. At the option of the City, furnish a full-time resident project
representative and such assistant resident project representatives
as may be required on the work who will assist and offer general
guidance in establishing horizontal and vertical control points,
the interpretation of the contract documents, and the making of
field checks of materials and equipment.
2. During the course of the Contractor's performance of the �ob, the
resident project representative will conduct onsite observations of
the general progress of the work and vill consult with the City and
the Contractor, giving opinions and suggestions, based on resident
project representative's observations, as to any defects or
deficiencies in the Contractor's work relating to compliance with
drawings, specifications, and design and planning concepts. The
resident project representative shall not have responsibility for
the superintendence of construction site conditions, safety, safe
practices or unsafe practices or conditions, operations, equipment,
or personnel other than employees of the Engineer. This service
will in no way relieve the Contractor of complete supervision of
the work or the Contractor's obligatian for completion compliance
with the drawings and specifications. The Contractor shall have
sole responsibility for safety and for safe practices or unsafe
practices or conditions.
3. The resident project representative will also review all routine
and final payment estimates and make recommendations for the City
regarding payments to the Contractor, and will report regularly to
the City and to the Engineer upon the progress of the work.

4. The actual time the services of the resident project representative
will be required and the number and duration of service of
assistant resident project representatives will be determined by
the City.
E. Supplemental Services
Any additional work requested by the City that is not listed under one of the
items listed in this Appendix A will be classified as supplemental services.
Supplemental services shall include but are not limited to:
1. Additions to an engineering report to update or revise original
recommendations.
2. Special consultants requested or authorized by the City not
specifically obtained by the Engineer in the performance of his
services.
3. Additional meetings with state agencies to discuss the project.
4. Appearances at public hearings or before special boards.
5. Assistance with bid protests, preparation for litigation and
appearance in court.
6. Surveys and preparation of right-of-vay or property descriptions
for use in obtaining easements.
7. Evaluation of claims by construction contractors and others,
rendering opinions and making recommendations to the City.
S. Supplemental engineering work required to meet the requirements of
regulatory or funding agencies that become effective subsequent to
the date of this agreement.
