A RESOLUTION AUTHORIZING AIR MIDV�EST, INC . TO
ASSIGN ITS AIRPORT AND AIRPORT FACILITIES
AGREEMENT AT THE CAPE GIRARDEAU MUNICIPAL AIRPORT
TO TRANS STATES AIRLINES, INC .
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI , AS FOLLOWS :
ARTICLE l . The City Council of the City of Cape Girardeau,
Missouri , hereby authorizes assignment by Air r7idwest , Inc. of its
Airport and Airport Facilities Agreement Lease dated June 16 ,
1987 , at the Cape Girardeau Municipal Airport to Trans States
Airlines , Inc.
ARTICLE 2 . The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri , is hereby authorized to execute an
Estoppel Certificate for the purpose of said assignment . A copy
of said Estoppel Certificate is attached to this Resolution and
made a part hereof .

dance with the terms set forth therein;
2. Al1 Lease payments and other charges required to be paid
under said Lease have been duly and timely paid;
3. All of the terms, conditions and piovisions of said Lease
un the part of Lessee to be perforr�ed have been duly and timely
performed and com�lied with by Lessee;
4 . There exist at this time no charges, liens, claims or.
offsets against the said Lessee or said Lease;
5. T�e said Lessee is not in de�ault in any way �ohatever
under the saicl Lease nor, tio the knowledge of the uncersigned
Lessor, has any event whatever occur.red, which, with the passac�e
of ta.me or the giving of notice, would constikute a defaul� under
sai�l Lease;
6. The undersic7ned Lessor hereby coitsents to the full and
complete assignment of said I,ease from Air i�lidwest, Inc. in accor-
dance with the terms ot the Assignment A�reament a�tached hereto
as Exhibit A, to Trans States Airlines, InC.
7. The Lessor hereby releases and relieves the Lessee from
any and all future obligations under. tf�e Lease, upon the assign-
ment of, this Lease from the Lessee Lo Trans StaLes Airiines, Inc.
