A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE A SUPPLEMENT TO AN AGREEMENT WITH
SMITH AND COMPANY FOR THE LEXINGTON AVENUE
PROJECT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1 . The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to execute a
Supplement to Agreement Between Owner and Engineer for Professional
Services to prepare the design of Lexington Avenue through the
Potashnick property and other related services. A copy of said
Supplement is attached to this Resolution and made a part hereof.

SIIPPLEMENT TO AGREEMENT BETWEEN
OWNER AND ENGINEER FOR PROFESSIONAL SERVICES
This supplement is to amend an Agreement between Owner and Engineer
for Professional Services entered into April 16, 1990, and a
supplement to that agreement dated June 12 , 1990, by and between the
City of Cape Girardeau, Missouri, hereinafter called the "OWNER" and
Smith and Company, a Missouri corporation, located at 400 Broadway,
Suite 520, Cape Girardeau, MO 63701, hereinafter called the
"ENGINEER" .
The parties hereto agree to amend and further supplement the above
referenced agreement in the following manner:
1. The parties agree to amend SECTION A - SCOPE OF ENGINEERING
SERVICES so that, in addition to the Lexington Avenue Arterial
Design services set forth in the original Agreement dated April
16, 1990 and supplement dated June 12 , 1990, the parties now
agree that ENGINEER will also provide services required to
incorporate the OWNER' s design for the intersection of North
Sprigg Street and Lexington Avenue into the plans and
specifications for the Lexington Avenue Arterial.
2 . In addition, the parties agree to include the following paragraph
in SECTION A - SCOPE OF ENGINEERING SERVICES:
"13 . If it is necessary to separate the project into additional
segments for bidding purposes, the ENGINEER shall provide
services necessary to prepare required construction
documents and plans for each segment. The number of
segments designated by the OWNER shall be limited to five
(5) .
3 . The parties hereto agree to delete the requirements of SECTION
D - TIME FOR PERFORMANCE.
4 . The parties hereto agree to amend SECTION E - COMPENSATION FOR
ENGINEERING SERVICES by amending the total amount and method of
compensation to be paid. The parties hereto agree that
compensation for work remaining under this supplement shall be on
the basis of payroll records and hourly rates of charge (Exhibit
A) times a factor of 3 . 01 for services rendered by principals and
employees assigned to the Project. Compensation under this
supplement shall be limited to a maximum amount of Fifteen
Thousand Dollars ($15, 000. 00) .
5. The parties hereto agree that Exhibit A to the Agreement shall be
replaced in its entirety with the attached revision to Exhibit A.
6. In all other respects, the original Agreement entered into by and
between the parties on April 16, 1990, and the supplement to that
Agreement dated June 12 , 1990, shall remain in full force and
effect, unchanged and unmodified in any way.
IN WITNESS WHEREOF, the parties hereto have executed this supplement
to the Agreement Between the Owner and Engineer for Professional
Services on this day of , 1993 .
