A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ENTER INTO AN AGREEMENT FOR PROFESSIONAL
SERVICES WITH SVERDRUP CORPORATION FOR THE
WASTEWATER TREATMENT PATHOGEN REDUCTION AND
PIPELINE REHABILITATION PROJECT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to enter into an
Agreement for Professional Services with Sverdrup Corporation for
the Wastewater Treatment Pathogen Reduction and Pipeline
Rehabilitation Project. A copy of said Agreement is attached to
this Resolution and made a part hereof.

AGREEMENT FOR PROFESSIONAL SERVICFS
DESIGN AND CONSTRUCTION OF WASTEWATER COLLECTION AND
TREATMENT SYSTEM IMPROVEMENTS
This Agreement is made and entered into this-��,rday of ��< >,� �z , 13rZ., by and between
the City of Cape Girardeau, (Owner), and Sverdrup Corporation, (� rdrup).
ARTICLE 1
SVERDRUP'S SERVICFS
Sverdrup shall provide or furnish to Owner professional services for preparation of the Facility
Plan, for design and for specified construction overview in connection therewith, of wastewater
collection and treatment system improvements, hereinafter referred to as "Project". These
services are identified and described in the Scope of Work(APPENDIX A) attached to and made
a part of this Agreement.
ARTICLE 2
OWNER'S RFSPONSIBILITIES
A. Owner's Representative
Owner shall designate in writing a person to act as Owner's Representative with respect
to the services to be rendered under this Agreement. Such person shall have complete
authority to transmit instructions, receive information, interpret and define Owner's
policies and make decisions with respect to Sverdrup's services for the Project.
B. Information
1. Owner shall provide to Sverdrup in a timely manner information and services
pertinent to the Project including:
a. Provide copies of all special design and construction standards which the
Owner will require to be included in the drawings and specifications.
b. Provide all data and information available to the Owner relevant to the Project
including but not limited to those items listed in Additional Owner Supplied
Information (APPENDIX C).
c. Apply for any grants loans or funding support required.

d. Anange for reviews and approvals of regulatory agencies, and pay any
applicable fees of the regulatory agencies for such reviews, with such
assistance from Sverdrup as may be described in Appendix A.
h. Owner agrees to comply with the "Hazard Communication Standard" of the
Occupational Safety and Health Administration.
i. Owner shall furnish to Sverdrup as required for performance of Sverdrup's
services (except to the extent provide� otherwise in the Scope of Work), data
prepared by or services of others, including, without limitation, soil borings,
probings and subsurface explorations, hydrographic surveys, laboratory tests
and inspections of samples, materials and equipment; appropriate professional
interpretation of all the foregoing; boundary, easement, right-of-way,
topographic and utility surveys; property descriptions; zoning, deed and other
land use restriction; and other special data, professional opinions or
consultation; all of which Sverdrup may use and rely upon in performing its
services.
j. Owner shall provide such accounting, independent cost estimating and
insurance counseling services as may be required for the Project, such legal
services as Owner may require or Sverdrup may reasonably request with
regard to legal issues pertaining to the Project including any that may be raised
by Contractor(s), such auditing service as Owner may require to ascertain how
or for what purpose any Contractor has used the moneys paid under the
construction contract, and such inspection services as Owner may require
(except to the extent provided otherwise in the Scope of Work) to ascertain
that Contractor(s) are complying with any law, rule, regulation, ordinance,
code or order applicable to their furnishing and performing the work. Owner
shall include in all construction contracts a requirement that Sverdrup be
named either as: 1) an indemnitee under Contractor's indemnity obligation,
and 2) an additional insured under Contractor's General Liability Insurance
Policy.
2. Owner shall provide information and services not specifically included under Article
1 which are necessary to complete the Project, or authorize Sverdrup to finish such
under provisions of Article 5.
C. Access and Approvals
l. Owner shall arrange for access to and make all provisions for Sverdrup to enter
upon public and private property as required for Sverdrup to perform its services
under this Agreement.
2. Owner shall furnish at its cost approvals and permits from all governmental
authorities having jurisdiction over the Project and such approvals and consents from
others as may be necessary for completion of the Project except as stated in
Appendix A.
D. Notice
Owner shall give prompt written notice to Sverdrup whenever Owner observes or
otherwise becomes aware of any development that affects the scope or timing of
Sverdrup's services, or any defects or nonconformance in the work of Sverdrup or any
Contractor.

ARTICLE 3
COMPENSATION AND PAYMENT
A. Cost
Owner shall compensate Sverdrup for the performance of the services, described in the
Scope of Work under ARicle l, on a cost plus a fixed fee basis.
The total cost (exclusive of fixed fee) is estimated to be $52,200. The fixed fee shall be
$5,630. The total amount to be paid for design and construction services under this
Agreement shall not exceed $57,830 including cost and fixed fee, without approval of the
Owner. Sverdrup shall notify the Owner when costs incuned and obligated amount to
959� of the total estimated cost and shall not incur costs beyond the estimated cost without
prior approval of the Owner. A cost summary is presented in APPENDIX D.
B. Cost Computation
Definition of terms to be used in computation of payments are as follows:
1. Salary costs aze defined as the salaries paid for regular time and overtime (including
any premium overtime) worked, plus provision for applicable annual Salary Related
Expenses, including sick leave, vacation pay, holiday pay, and other ordinary and
customary paid time off, bonuses, the employer's portion of social security,
unemployment, and other payroll taxes, Employee's Retirement and Benefit Plan
contributions, employer's portion of the group hospitalization and medical insurance
and the cost of worker's compensation insurance. The provisional Salary Relatetl
Expense overhead rate for 1992 is 0.405. At the end of each calendar year, the
actual rate for the year will be applied and adjustment in the compensation made
accordingly. The maximum Salary Related Expense overhead rate that shall be
applied is 0.42.
2. Salary costs as defined above are multiplied by a provisional General and
Administrative overhead factor for 1992 of 0.85. Included in the General and
Administrative overhead are:
a. The salaries of officers, except for technical or advisory services directly
applicable to the project.
b. The salaries of employees doing general administrative work; also
nonproductive professional and technical salaries, including maintenance of
staffto provide readiness to serve.
c. Rent and costs of light, heat and water; equipment depreciation and
maintenance cost; costs of office supplies and reproduction of data for our
internal use; general communications expense, including local telephone calls
and postage; taxes; insurance premiums and license fees; automotive expense
and other transportation and travel expense not chargeable to specific contracts;
and other miscellaneous costs.
At the end of each calendar year, the actual General and Administrative
overhead rate for th'at year will be applied and adjustment of the compensation
made accordingly. The maximum General and Administrative overhead rate
that shall be applied is 0.90.

3. In addition to salary costs, Sverdrup will be reimbursed for Other Reimbursable
costs as fotlows:
a. Travel, subsistence, and incidental expenses of personnel while traveling in
connection with the work.
b. Transportation by passenger automobiles that Sverdrup supplies intermittently
in connection with the work. All costs of owned, leased, or rented passenger
vehicles assigned to the work. Reimbursement for the cost of special types of
vehicles when such vehicles are required.
c. Reproduction of drawings, photographs, maps, charts and reports which are
prepared for the Owner's periodic or interim review and also the cost of the
reproductions which constitute the delivery of work.
d. Wire and wireless communication of inessages and data in connection with the
work.
e. Insurance required by the Owner in addition to the coverages or in excess of
the limits normally carried.
f. Subcontracted services such as, but not limited to, borings, surveys,
photogrammetry, testing and computing services, if required in the
performance of the work.
g. Technical support services provided from our own facilities, as required in the
performance of the work.
h. Special consultants, as approved by the Owner, if required in the performance
of the work.
i. Technical and advisory services of officers directly applicable to the project at
the hourly rate of$100.
4. A fixed fee will constitute profit for the work described in Article 1.
C. Terms of Payment
Progress payments for services rendered shall be made monthly upon submission of an
invoice for work performed during the previous month. For interim billings,the portion
of the fixed fee payable shall be equal to the total fixed fee multiplied by the ratio of
salary costs plus general and administrative overhead plus other reimbursable costs to date
of billing divided by the estimated total cost listed under Article 3A above less the fixed
fee billed to date. Invoices submitted to the Owner by the 20th of each month will be
included in the Owner's normal payment cycle for payment by the lOth of the following
month.

If there are disputed items and/or amounts on any invoice, the balance of such invoice,
after deducting any disputed items, shall be paid in full, and the disputefl items and
amounts shall be presented to Sverdrup for resolution as soon as such disputed items have
been determined by Owner. Payments due but unpaid more than thirty (30) days after
presentation of the invoice, excluding any amounts and items disputed by Owner, shall
bear interest at one percent (190) interest per month (or any lesser legal limit applicable)
until paid.
ARTICLE 4
TIME FOR PERFORMANCE
A. Commencement
Sverdrup shall commence the performance of the services for the Project upon the date
of this Agreement and complete the work in accordance with such schedule as may be
mutualiy agreed to by the parties. A potential Schedule pending timely compilation of
information, timely review by the Owner and Missouri Department of Natural Resources,
and no changes in scope is listed in APPENDIX E.

If Sverdrup's services for the Project aze delayed for reasons beyond its control, the
compensation provided for elsewhere in this Agreement and the time for performance
shall be subject to equitable adjustment.
ARTICLE 5
CHANGES IN THE WORK
A. Chan es
Owner reserves the right, without impairing this Agreement, to order changes or
alterations in the work to be performed hereunder by Sverdrup. If changes or alterations
ordered affect the cost or progress of the work, adjustment shall be made in the time for
performance of the work and compensation owing to Sverdrup, as the case may be.
B. Concealed Conditions
Should concealed or unknown conditions be encountered in the performance of the work
which present the risk of discharge, dispersal, release or escape of pollutants, asbestos,
any hazardous substance or any hazardous waste, Sverdrup shall promptly suspend its
performance of the Work for the protection of the parties and their employees and notify
Owner of the conditions encountered. Owner and Sverdrup shall promptly investigate the
conditions and, if warranted, equitable and necessary adjustments shall be made in the
terms and conditions of this Agreement. It is agreed, however, that Article 5 above not
withstanding, Sverdrup shall have no duty to determine the existence of pollutants,
asbestos or any other hazardous substance or hazardous waste at the site of the work or
to provide response action or remedial services.

ARTICLE 6
STANDARD OF CARE
Sverdrup represents that its services shal( be performe� with the skill and care which would be
exercised by comparable qualified design professionals performing similar services at the time
and place such services are performed. If the failure to meet these standards results in
deficiencies in the design, Sverdrup shall, furnish at its own cost and expense, the redesign
necessary to correct such deficiencies.
ARTICLE 7
INDEM1vITY
A. Sverdru�s Dutv
Sverdrup shall indemnify Owner against all claims and suits by third parties for loss of
or damage to property, or personal injury, including death, to persons, and from all
judgments recovered therefor, and from all expenses for defending such claim or suit,
including court costs and attorney's fees, arising out of the negligent acts, errors, or
omissions of Sverdrup in connection with Sverdrup's performance of this Agreement. In
no event shall Sverdrup have any duty to indemnify Owner hereunder against claims
arising as a result of Owner's sole or contributing negligence. In no event shall Sverdrup
be liable under this paragraph or otherwise for indirect or consequential damages.
B. Owner's Dutv
Upon and after final completion of the Project, Owner shall indemnify and hold Sverdrup
harmless from all claims and suits for damages arising from personal injuries, including
death to persons, or to property, and from all judgments recovered therefor, and from all
expenses for defending such claim or suit, including court costs and attorney's fees, which
result from Owner's negligent use, operation or maintenance of the facilities, equipment
or materials designed or provided by Sverdrup under this Agreement.
ARTICLE 8
INSURANCE
Without limiting its liability hereunder, Sverdrup shall maintain during the life of this Agreement
the following insurance and furnish Owner, in duplicate, certificates of insurance as evidence
thereof. Such certificates shall provide that cancellation of said insurance shall not be effected
without thiRy (30) days prior written notice to Owner. The certificates shall plainly designate
the name of the project for which the certificate is provided.
1. Workers' Compensation Insurance, providing coverage in compliance with the laws
of the state in which any part of the work is to be performed, and Employer's
Liability Coverage in the minimum amount of$100,000 for each occurrence.

2. Commercial General Liability Insurance written on an occurrence basis with the
following limits of liability:

3. Automobile Liability Insurance. Bodily injury and property damage combined single
limit- $1 million each occunence, $1 million aggregate.
4. Architect's and Engineer's Professional Liability Insurance. Bodily injury and
property damage combined single limit - $1 million each claim, $5 million
aggregate.
The Commercial General Liability and Architect's and Engineer's Professional Liability Insurance
shall include Contractual Liability Coverage for the liability assumed by Sverdrup in Article 7
herein. Tfie Owner shall be named as an additionai insured in the Certificate for Commercial
General Liability.
ARTICLE 9
TERMINATION
A. Termination Bv Owner
l. In the event Sverdrup fails to comply with any provisions of this Agreement, or if
the progress or quality of the work is unsatisfactory, Owner may serve written
notice thereof upon Sverdrup, and if Sverdrup neglects within a period of twenty
(20) days thereafter to commence its efforts to correct such failure, Owner may
terminate the Agreement upon written notice to Sverdrup. Upon such termination,
Sverdrup shall cease its performance of this Agreement and shall deliver to Owner
all completed or partially completed satisfactory work and Owner shall pay to
Sverdrup costs incurred to effective date of termination.
2. Owner also reserves the right to terminate this Agreement in the event it shall
abandon or indefinitely postpone the project. Such termination shall be
accomplished by written notice to that effect deliverecl to Sverdrup. Upon receipt
of such notice, Sverdrup shall immediately cease work and deliver to Owner all
completed or partially completed work. Payment to Sverdrup shall be made for
work performed prior to receipt by Sverdrup of such termination notice, together
with Sverdrup's cost for closing down its work, and Sverdrup shall have no claim
for loss of anticipated profits or any additional compensation.
B. Termination By Sverdruo
In the event Owner fails to comply with any provisions of this Agreement, or if it fails
to timely pay compensation due to Sverdrup, Sverdrup may serve written notice thereof
upon Owner, and if Owner fails within a period of twenty (20) days thereafter to correct
such failure, Sverdrup may terminate this Agreement upon written notice to Owner.
Upon such termination, Sverdrup shall cease its performance of this Agreement and when
paid the amount due for such work, shall deliver to Owner all completed or partially
completed work for the project.

ARTICLE 10
GENERAL CONSIDERATIONS
A. Use of Documents
All documents including Drawings,Specifications,and CADD discs prepared or furnished
by Sverdrup pursuant to this Agreement shall become the property of the Owner. Such
materials are not intended or represented to be suitable for reuse by Owner or others on
extensions of the Project or on any other project. Any reuse without written verification
or adaptation by Sverdrup for the specific purpose intended will be at Owner's sole risk
and without liability or legal exposure to Sverdrup, and Owner shall indemnify and hold
harmless Sverdrup from all claims,damages, losse's and expenses including attorneys'fees
arising out of or resulting therefrom. Any such verification or adaptation will entitle
Sverdrup to further compensation at rates to be agreed upon by Owner and Sverdrup.
B. O�inions of Cost
Since Sverdrup has no control over the cost of labor, materials, equipment, or services
furnished by others, or over the Contractor(s)' methods of determining prices, or over
competitive bidding or market conditions, Sverdrup's opinions of probable Total Project
Costs and Construction Cost provided for herein are to be made on the basis of
Sverdrup's experience and represent Sverdrup's best judgment as an experienced and
qualified professional, familiar with the construction industry; but Sverdrup cannot and
does not guarantee that proposals, bids or actual Total Project or Construction Costs will
not vary from opinions of probable cost prepared by Sverdrup. If, prior to the
construction phase of the Project, Owner wishes greater assurance as to Total Project or
Construction Costs, Owner shall employ an independent cost estimator as provided in
ARTICLE 2.
C. Controlling Law
This Agreement is to be governed by the law of the State of Missouri.
D. Successors and AssiQns
1. Owner and Sverdrup are each hereby bound and the partners, successors, executors,
administrators and legal representatives of Owner and Sverdrup are hereby bound
to the other party to this Agreement and to the partners, successors, executors,
administrators and legal representatives (and said assigns) of such other party, in
respect of all covenants, agreements and obligations of this Agreement.

2. Neither Owner nor Sverdrup shail assign, sublet or transfer any rights under or
interest in this Agreement without the written consent of the other, except to the
extent that any assignment, subletting or transfer is mandated by law or the effect
of this limitation may be restricted by law. Unless specifically stated to the contrary
in any written consent to an assignment, no assignment will release or discharge the
assignor from any duty or responsibility under this Agreement. Nothing contained
in this paragraph shall prevent Sverdrup from employing such independent
professional associates and consultants as Sverdrup may deem appropriate to assist
in the performance of services hereunder.
3. Nothing under this Agreement shall be construed to give any rights or benefits in
this Agreement to anyone other than Owner and Sverdrup, and all duties and
responsibilities undertaken pursuant to this Agreement will be for the sole and
exclusive benefit of Owner and Sverdrup and not for the benefit of any other party.
ARTICLE 11
CONTRACT DOCUMENTS
This Agreement consists of:

APPENDIX A
SCOPE OF SERVICFS
The Owner plans to use loan assistance from the State Revolving Fund (SRF), as defined
in Missouri Code of State Regulations 10 CSR20, to fund the construction of this project.
The regulations require four phases: Facility Plan, Design, Construction, Post
Construction Services. Sverdrup will work with the Owner to provide the SRF
documents defined below:
I. FACILITY PLAN
A facility plan will be prepared to evaluate alternatives for (1) upgrading the 36-inch
outfall sewer upstream of the city wastewater treatment plant (2) rehabilitating the 21-
inch Henderson Interceptor and (3) improving the city's cunent sludge land-application
program by providing a process to significantly reduce pathogens.
The existing 36-inch outfall sewer is located just upstream of the city's wastewater
treatment plant. Upstream end is the manhole at Third Street and Cooper Street, which
receives the pumped flow from the four lift stations along the Mississippi River.
Downstream end is the Treatment Plant Diversion Manhole. The project length is
approximately 600 lineal feet. '
The existing 21-inch Henderson Interceptor is located in the south side of Cape
Girardeau. Upstream end is just north of the Walnut and Henderson grit station at the
connection of the new 18-inch sewer presently under design. Downstream end is at the
discharge of the Henderson Interceptor to the existing 21-inch West Side Interceptor at
the Cape LaCroix Creek. The project length is approximately 2800 lineal feet.
Facility plan requirements include the selection of a minimum of three primary
alternatives for further evaluation. The three alternatives to be evaluated for providing
a process to significantly reduce pathogens (PSRP) with the Cape Girardeau sludge land-
application program are as follows:
• Lime stabilization
• Co-composting wastewater sludge with yard wastes by the aeratetl static pile
process
• Co-composting wastewater sludge with yard wastes by the in-vessel process
Lime stabilization appears to be a feasible alternative for providing a process to
significantly reriuce pathogen (PSRP) with the Cape Girardeau sludge land-application
program. Land requirements are less with lime stabilization than with other PSRP
alternatives and there are space constraints at the treatment plant. Although additional
city property is available nearby, the costs of transporting sludge, constructing required
process structures and providing flood protection contribute to the attractiveness of lime
stabilization as a short term solution to providing the required PSRP.

The City has expressed an interest in the potential for co-composting wastewater sludge
with yard wastes to resolve the pathogen issue while creating a usable product out of
yard wastes. The two composting alternatives which will be evaluated include (1)
aerated static pile and (2) in-vessel systems. Aeratic static piles are rectangular piles that
are supplied with air and covered with a layer of previously composted sludge. Mixing
is minimized and the insulating layer of composted sludge protects piles from inclement
weather. In-vessel composting occurs in completely enclosed containers where
temperature and oxygen can be closely monitored and controlled.
If the required number of alternatives to be further evaluated exceeds the three described
above, then it shall be an increase in the scope of work subject to renegotiation of this
agreement for both cost and fixed fee.
The existing federal sludge disposal regulations (40 CFR Part 257) and those adopted
by Missouri Department of Natural Resources (MODNR) define two levels of control for
pathogen reduction. The first level is based on processes to significantly reduce
pathogens (PSRP)and the second level is based on processes to further reduce pathogens
(PFRP). Because of the current sludge land application practices, it appears that the
PSRP level will be applicable to the City's sludge. Evaluation of alternatives to provide
pathogen reduction will be limited to the PSRP level of control. In addition, the
evaluation will be based on the existing 40 CFR Part 257 regulations and the existing
state guidance.
The engineering services proposed for the Facility Plan phase of this project are listed
below. Sverdrup will perform the major services for this phase of the project, but will
used a subcontractor for the remote video inspection of the 36-inch outfall sewer.
The scope of work is as follows:
1. Meet with City personnel to collect initial information needed to prepare Facility
Plan.
2. Meet with MODNR and City personnel to review proposed Facility Plan scope
and define requirements.
3. Prepare Facility Plan for submittal to MODNR. Refer to Appendix B for a
detailed scope of work for the Facility Plan preparation.
4. Meet with City personnel to review recommendations of Facility Plan prior to
submittal to MODNR.
5. Incorporate any minor comments received from MODNR. If the comments
received from MODNR require substantial additions to the Facility Plan beyond
the scope of work defined in Appendix B, then it shall be an increase in the scope
of work subject to renegotiation of this Agreement for both cost and fixed fee.

6. Provide brief presentation of recommended alternatives at Environmental
Review/User Charge public hearing. The City will conduct and provide
advertisement for hearings as well as a summary of the minutes for inclusion in
the Facility Plan.
II. FINAL DFSIGN PHASE
Upon acceptance by the Owner of the Selected Plan as defined in the Facility Plan,
Sverdrup and the Owner will negotiate and execute an amendment to this Agreement
defining the scope and cost of final design phase services.
III. CONSTRUCTION PHASE
Upon acceptance by the Owner of the Selected Plan as defined in the Facility Plan,
Sverdrup and the Owner will negotiate and execute an amendment to this Agreement
defining the scope and cost of construction phase services.
IV. POST CONSTRUCTION PHASE
Upon acceptance by the Owner of the Selected Plan as defined in the Facility Plan,
Sverdrup and the Owner will negotiate and execute an amendment to the Agreement
defining the scope and cost of construction phase services.

SCOPE OF WORK
A. Summarize conclusions and recommendations.
B. Introduce purpose and scope of Facility Plan.
C. Describe current situation by referencing the following information available in the
Sewer System Master Plan:
• Projected population growth and future sewage flows.
• Existing wastewater treatment facility.
• Analysis of impact of infiltration/inflow (I/I) and stormwater contribudons on
cunent average and peak flows based on available treatment plant records and
review of combined and segregated sewer systems.
• Description of recommended projects to control infiltration/inflow and stormwater
contributions including sewer segregation and annual I/I program.
If additional infiltration/inflow analysis and flow reduction study is required, then it shall
be an increase in the scope of work subject to renegotiation of this Agreement for both
cost and fixed fee.
D. Evaluate the following alternatives for upgrading the 36-inch outfall sewer
upstream of the treatment plant.
• No Action
• Sewer rehabilitation
• Relief sewer
• Replace existing sewer with larger sewer
• Extend force main to Treatment Plant Diversion Manhole.
The following tasks are proposed for this evaluation.
l. Perform a physical inspection of the existing 36-inch sewer from the intersection
with the discharge from the four river lift stations to the treatment plant.
2. Install groundwater monitoring gauges in each manhole of the existing sewer along
the proposed relief section.
3. Conduct a remote video inspection of the existing sewer along the proposetl relief
section to determine the condition of the sewer and suitability for continued
long-term use.

4. Based on the information gained in Tasks 1, 2, and 3, develop cost estimates of
the above listed alternatives.
E. Evaluate the following alternatives for rehabilitating the 21-inch Henderson
Interceptor:
� No Action.
• Sewer repair, including lining by exterior or in-situ methods.
• Replace existing sewer.
The following tasks are proposed for this evaluation.
1. Perform physical inspection of the existing 21-inch sewer from north of grit station
to intersection with the existing West Side Interceptor at Cape La Croix Creek.
Physical inspection will include:
• Lamping between manholes.
• Inspecting condition of manholes.
• Checking proximity of existing sewer to creek bank.
2. Interview City personnel familiar with existing sewer.
3. Develop site specific cost estimates for the feasible alternatives. Sewer repair
estimates will include costs to clean and televise existing sewer, engineering and
design, liner installation and creek stabilization. Sewer replacement estimates will
include easement preparation, engineering and design and construction costs.
F. Evaluate the following alternatives for providing process to significantly reduce
pathogens (PSRP) prior to land application of the city treatment plant sludge.
• No Action.
• Lime stabilization.
• Co-composting with yazd wastes using aerated static pile system.
• Co-composting with yard wastes using in-vessel system.
The following tasks are proposed for the PSRP evaluation.
1. Perform a conceptual design for each of the above listed alternatives. The
conceptual design will consider existing plant tankage and equipment.
2. Develop budget cost estimate for the conceptual designs.
3. Estimate annual operation and maintenance costs for each alternative.

G. Compare the alternatives developed for each of the three projects on the basis of
equivalent annual expense and a ranking system to include evaluation of project
costs, engineering feasibility, environmental impacts, public acceptance,
implementability, and energy/water conservation.
H. Develop selected plan for the most feasible alternative for each of the three
projects. Describe basis for selection and major design criteria. Further estimate
project costs, as required. Develop schedule for design and construction for the
recommended improvements.
I. Prepare an assessment of the environmental impacts of the recommended
alternative for each of the three projects.
1. Investigate primary (construction related) impacts of the proposed project,
including cultural resources, flood plains, wetlands and endangered species
habitat, stream crossings, geological evaluation and Missouri Clearinghouse
review. Clearances will be requested from the appropriate agencies. Discuss
impact of disruption of daily activities and potential discharge of pollutants
and noise during construction.
Should a cultural resources survey be required, an archeologist's services
may be retained by the city. Sverdrup will provide coordination.
2. Assess secondary (long-term) impacts of the recommended projects including
public health improvements, potential for stimulating growth and protection
of nearby stream quality.
Environmental assessment of land application will be limited to impact of lime stabilized
sludge or composted material on current application practices.
J. Incorporate project financing information provided by the City including source
of funds and user charge impact.
K. Assemble pertinent appendices information including applicable NPDFS permits,
collection system maps, record of public participation, clearance letters, and sewer
use ordinance.

Article 3 - Compensation and Payment
On page 3 under A. Cost - Replace the second paragraph with:
The total cost (exclusive of fixed fee) is estimated to be $238,320. The fixed fee
shall be$25,320. The total amount to be paid for design and construction services
under this Agreement shall not exceed $263,640 including cost and fixed fee,
without approval of the Owner. Sverdrup shall notify the Owner when costs
incuned and obligated amount to 95% of the total estimated cost and shall not
incur costs beyond the estimated cost without prior approval of the Owner. A cost
summary is presented in APPENDIX D.
On page 3 under B. Cost Computation - add to B.1:
The provisional Salary Related Expense overhead rate for Phases II, III - Office,
III - Resident and IV shall be 0.428. At the end of each calendar year, the actual
rate for the year will be applied and adjustment in the compensation made
accordingly. The maximum Salary Related Expense overhead rate that shall be
applied is 0.43.

The General and Administrative overhead rate for Phases II, III - Office and IV
shall be at the office provisional rate of 0.925. The maximum office General and
Administrative overhead rate that shall be applied for Phases II, III - Offices and

The Resident Engineer while on assignment in Cape Girardeau is defined as Phase
III - Resident. The General and Administrative overhead factor for Phase III -

APPENDIX B
Add:
PHASE II - FINAL DFSIGN PHASE
SCOPE OF WORK
A. Attend a project initiation meeting in Cape Girardeau, including a visit to the
wastewater treatment plant. Review with the Owner the preliminary design for
the lime treatment system and the sludge holding tank as finalized in the letter to
the Missouri Department of Natural Resources dated June 2, 1993. Obtain City
input on design features.
B. Conduct jar tests using calcium hydroxide (CaOH� to determine quantity of
calcium hydroxide (lime) needed to raise the pH of the thickened wastewater
sludge to a pH of 12 for two hours. The Owner will provide representative
sludge. The results will be used in sizing the lime addition equipment.
C. Prepare design calculations to size equipment needed for the lime treatment system
and sludge holding tank. Sizing will be based on the Facility Plan and the lime
addition testing.
D. Prepare drawings showing the location of the new facilities on the treatment plant
site and providing design information for the construction Contractor. It is
assumed that existing drawings of the wastewater treatment plant site are
sufficiently accurate to use as background and for location of the new structures.
The Owner will provide survey information should it be determined that additional
data is necessary.
E. Prepare design specifications for the equipment and facilities to be added. The
major equipment to be included in the construction documents is:
1. Lime Silo System Including Slurry Tank and Chemical Feed Pumps.
Slaking of calcium oxide is anticipated; however, purchase of calcium
hydroxide will be investigated and used if the Owner concurs with the
feasibility. City water already at the site will be used for mixing the lime
solution.
2. Sludge Contact Tank. This tank is anticipated to be a 25 ft. diameter above
ground bolteri steel tank about 10 ft. deep.

3. Sludge Hold.ing Tank. This tank is anticipated to be an above ground bolted
steel tank 70 ft. in diameter with about 19 ft. of sludge depth.
4. Sludge Mixers. Both tanks will be mixed. Submersible mixers or jet-type
hydraulic mixers will be considered.
5. Pumps. Centrifugal pumps will be used for sludge transfer, sludge feed and
the sludge holding pumps. Submersible or horizontal pumps will be
considered.
F. Geotechnical conditions require piling under the lime silo system, sludge contact
� tanks and sludge holding tank.
G. Initiation of sludge transfer will be manual with automadc shutoff to prevent
overfilling the tanks. Control and lockout of all the pumps will be from the motor
control center (MCC) located in the sludge building. There will be no local
controls or disconnects.
H. The Owner will provide a transformer to power the MCC. Sverdrup will design
wiring from the transformer to the MCC.
I. Grounding will be into an existing power ground.
J. Prepare bid documents including plans, specifications and contract documents.
Engineers Joint Contract Documents Committee contract documents will be used
or these will be provided by the Owner. Printing of Bid Documents is not part
of this contract.
K. Assist the Owner with submission of plans and specifications to the Missouri
Department of Natural Resources for construction permit application. Prepare
minor revisions as necessary to obtain approval. The Owner will handle obtaining
any local construction permits. No other permits are anticipated.
L. Prepare construction cost estimate baserl on the construction documents produced.
M. Attend project review meetings with the Owner as follows:
1. Initiation meeting at Cape Girardeau
2. 30% review meeting at Cape Girardeau

PHASE III CONSTRUCTION PHASE
SCOPE OF WORK
Sverdrup will not begin work on construction phase services until the Owner directs in
writing to proceed. Basic service manhour estimates assume only minor efforts in the
various categories. If more extensive effort is required, additional manhours and cost
will be requested.
The construction time has been estimated for about 168 days. On-site resident
engineering services have been estimated for 17 weeks (119 days). If the Resident
Engineer is required to be on site more than 17 five-day weeks or if the construction
period extends beyond 168 days, then it shall be an increase in the scope of work subject
to renegotiation of this Agreement for both cost and fixed fee.
The performance of services by Sverdrup during construction of the Project shall not
relieve the construction Contractors of responsibility to execute the work in accordance
with their contract and Contract Documents. Neither the Owner nor Sverdrup shall be
responsible for construction means, methods, techniques, sequences and procedures
employed by the Contractors in the performance of the construction work or the safety
precautions and programs incident to the work of the Contractor. Neither the Owner nor
Sverdrup shall be responsible for the failure of any Contractor to carry out its work in
accordance with the drawings and technical specifications.
A. Basic Services
l. Assist during bid process, including coordination with the Owner for
advertisement of bid, responding to technical questions raised during bid,
preparing addenda, evaluating bids and providing recommendations of award
to the Owner.
2. Provide Construction Contractor with five sets of construction documents for
use during construction.
3. Review shop drawings and other Contractor submissions that are in response
to the Contract Document requirements, for conformance with the design
concept and the concept of the information given in the drawings and
technical specifications. Sverdrup's review and recommendation shall not
extend to means, methods, sequences, techniques or procedures of
construction, or to safety precautions or programs incident thereto, as such
these are the responsibility of the construction Contractor. Sverdrup's action
shall be taken with such reasonable promptness as to cause no delay in the
Work, while allowing sufficient time in Sverdrup's professional judgment to
permit adequate review. Review of such submittals is not conducted for the

purpose of determining the accuracy and completeness of other details such
as dimensions and quantities or for substantiating instructions for installation.
Sverdrup's approval of a specific item shall not indicate an approval of an
assembly of which the item is a component. When professional certification
of performance characteristics of materials is required of the Contractor by
the drawings or technical specifications, Sverdrup shall be entitled to rely
upon such certification. Sverdrup will not be liable for the results of
interpretations or decisions rendered in good faith in connection with the
referenced submittals.
4. Prepare any necessary working drawings or change orders, including
recommendation and submittal of contract modifications for approval by the
Owner and review and recommendation of time extension requests from
Contractor for approval by the Owner.
5. Coordinate the activities of the Resident Engineer with the Owner.
6. Assist the Resident Engineer in observation of the construction where
specialized expertise is necessary.
7. Observe start-up and performance tests including final inspection of
construction noting deficiencies, if any.
B. On-Site Resident Engineering and Construction Observation
Provide an on-site Resident Engineer for 17 consecutive weeks (5 working-day
weeks) of the construction period to:
1. Observe and inspect the construction work for conformance with the contract
documents, and approved shop drawings.
2. Provide liaison between the District and the construction Contractor(s).
3. Monitor construction schedules as prepared by the construction Contractor.
4. Witness all tests, and verify that operating instructions and manuals are
furnished.
5. Keep detailed daily logs of construction activities.
b. Review and approve Contractors' estimates for periodic payment prior to
forwarding to the Owner for payment.

7. Initiate change orders and worlcing drawings required to meet changed
condidons.
8. Provide interim and final inspections, and prepare recommendations on
acceptance of the work.
9. Construction Contractor(s) will be responsible for surveys and layout.
Owner will provide survey party if requested by the Resident Engineer for
checking.
C. Record Drawings
Prepare "record drawings" of the completed project. The information submitted
by the Contractor and changes form the Contract Drawings made during progress
of the work shall be used in preparing "record drawings" of the project. Submit
to the Owner, upon completion of the "record drawings", one (1) set of mylar
drawings.
D. Plan of Operation
Prepare a Plan of Operation as required by Missouri Department of Natural
Resources Regulations.
E. O&M Manual
Assemble an Operation and Maintenance Manual. Operation and maintenance
information provided by equipment vendors will be assembled. Sverdrup will
provide a brief summary of the project, flow diagram and description of operation.
F. Training
Start-up training will be specified as a required service by equipment vendors.
Scheduling of the training will be by the Project Engineer with concurrence by the
Owner on training dates. The Project Engineer will spend one day working with
plant personnel when the plarit becomes operational.

PHASE IV POST CONSTRUCTION PHASE
SCOPE OF WORK
The follow-up services will be provided as required by the Missouri Department of
Natural resources. The scope is anticipated to be as follows. No trips to Cape
Girardeau are included:
A. Quarterly review operating results with Owner staff.
B. At three-month intervals, submit to the Owner a brief report stating Sverdrup's
opinion as to whether facilities are meeting design requirements of pH 12 for two
hours. If facilities are not meeting design objectives, recommend changes in
operations or facilides to meet requirements.
C. Upon completion of one year of operation, advise the Owner of the Sverdrup's
opinion as to the capability of the facilities to meet pH 12 for two hours.
D. If the facilities are unable to meet pH 12 for two hours, prepare and submit to.the
Owner a report setting forth:
1. An analysis of the causes of such inability.
2. Conective measures necessary to bring the project into compliance.
3. The estimated cost and proposed schedule for implementing the remedial
program.

Article 3 - Compensation and Payment
On page 3 under A. Cost - Replace the second paragraph with:
The total cost (exclusive of fixed fee) is estunated to be $266,660. The fixed fee
shall be $28,380. The total amount to be paid for design and construction services
under this Agreement shall not exceed $295,040 including cost and fixed fee,
without approval of the Owner. Sverdrup shall notify the Owner when costs
incurred and obligated amount to 95% of the total estimated cost and shall not
incur costs beyond the estimated cost without prior approval of the Owner.

PHASE I - FACILITY PLAN
ADDITIONAL SCOPE OF WORK
A. Modification of the Facility Plan to add a sludge storage tank and mixing system and
negotiations with the Missouri Department of Natural Resources (DNR) to incorporate
modifications to the project:
l. Eliminate 36-inch outfall sewer from the Facility Plan.
2. Negotiate with DNR and provide written documentation that the 21-inch
Henderson Interceptor project will not be designed and constructed at this time.
3. Negotiate with DNR to determine required additional information needed to
charge the Facility Plan recommendation from rehabilitation to replacement.
4. Develop preliminary design and cost information for a sludge storage tank and
mixing system to be added at the wastewater treatment plant site as presented at
the November 16, 1992 public hearing.
5. Negotiate with DNR and prepare a letter amendment to the Facility Plan to define
the Lime Treatment System (Sludge Process to Significantly Reduce Pathogens)
and Sludge Storage tank system as the systems that are to be designed and
constructed.
B. Geotechnical engineering services are required to determine foundation requirements for
the lime treatment system and sludge storage tank to be designed under this Agreement:
1. Observe boring at three locations and prepare boring logs. Boring and
geotechnical testing to be contracted directly by Owner.
2. Analyze data and test results for foundation requirements, lateral pressure,
settlement and liquefaction.
3. Prepare a report, in memorandum form, summarizing the results of the
geotechnical study and recommending foundation design parameters.

ALTERNATE POWER CONCEPTUAL STUDY
The DNR requires a source of emergency power for the wastewater treatment plant should the
normal power supply be interrupted. Union Electric has recently disconnected the stand-by line
feeding the Owner's plant. A conceptual study of alterative emergency power sources will be
performed:
A. Visit Wastewater Treatment Plant
1. Inspect existing power distribution system.
2. Review and collect copies of appropriate electrical drawings.
3. Review historical power usage (historical bills).
4. Take appropriate reference photographs.
5. Establish contact with Union Electric personnel.
6. Meet with Cape Girardeau personnel to get additional input on Owners objectives
relative to emergency power and management of power costs.
B. Develop conceptual designs for four basic alternatives.
1. Second Union Electric supplied emergency power line continuing secondary
service.
2. Second Union Electric supplied emergency power line but changing to primary
service.
3. Generator for emergency power with continued secondary service.
4. Generator for emergency power but changing to primary service.
The conceptual designs will be based on the current control systems and loads, including the new
lime treatment and sludge storage systems. Distribution of power to the various systems will
be considered, assuming no changes in existing control systems or loads.

C. Development of the conceptual designs for emergency power will address these related
issues:
l. Necessary modifications to the existing distribution to allow switching between
the regular and emergency source. Automatic switching versus the current
manual switching will also be evaluated.
2. Operating costs for continuing secondary service versus converting to primary
service.
3. Potential for operating cost savings, based on currently available rate structure,
for peak shaving or voluntary curtailment of power usage by switching to the
generator on peak days.
D. Budget cost estimate for implementing the conceptual designs developed under 2 above.
Both construction and operating costs will be considered.
E. Prepare a draft report summarizing the four alternative conceptual designs, the costs
associated with each alternative and a recommendation on which alternative to pursue.
Four copies of the draft report will be provided for review.
F. Meet with the Owner to review the results of the draft report.
G. Prepare a final report incorporating comments received during the review meeting with
the Owner.
