A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ENTER INTO A CONTRACT FOR PROJECT MANAGEMENT
AND AIR MONITORING FOR THE AIRPORT TERMINAL
ASBESTOS ABATEMENT PROJECT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to enter into a
Contract with Roth Asbestos and Environmental Consultants, Inc. and
Alert Laboratory, for Project Management and Air Monitoring
Services. A copy of said Contract is attached to this Resolution
and made a part hereof.

12.1 Charges for additional services as stated in Paragraph 11.3 will be
charged only upon prior written approval of Owner for work covered
by such changes.
12.2 . Governing Law - This Agreement shall be governed by, and construed
pursuant, to the laws of the State of Missouri and any legal proceeding
arising from this Agreement shall be brought in the Circuit Court of
Girardeau County, Missouri, and the parties herewith expressly waive any
objection to the jurisdiction of such court or to the venue of any such
action therein.
12.3 Severability - Should any part, term, or provision of tnis Agreement
be declared to be illegal, or in conflict with any law, rule or
- regulation, the validity of the remaining portions, terms or provisions
; shall not be affected thereby.
12.4 Entire Agreement - This Agreement contains the entire agreement of the
partiea relating to the subject matter hereof and replaces any gzior
to contemporaneous agreements or understandings unless specifically
incorporated herein. No modificatioa of this Agreement shall be valid
unless made in accordance with any applicable laws and ia writing signed
by the parties thereto.
