A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE AN AGREEMENT WITH ROBINSON
CONSTRUCTION COMPANY FOR LIME TREATMENT AT THE
WASTEWATER TREATMENT PLANT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to execute an
Agreement with Robinson Construction Company for lime treatment at
the wastewater treatment plant. A copy of said Agreement is
attached to this Resolution and made a part hereof.

AGREEMENT
THIS AGREEMENT is dated as of the �j�( day of ��PTE/ylBE�. in the
year 19� by and between CITY OF CAPE GIRA.RDEAU, MISSOURI
(hereinafter called OWNER) and
(hereinafter called CONTRA TO ) .
OWNER and CONTRACTOR, in consideration of the mutual covenants
hereinafter set forth, agree as follows:
ARTICLE l. WORK.
CONTRACTOR shall complete all Work as specified or indicated in the
Contract Documents. The work is generally described as follows:
Construction of a lime treatment system for the sludge at the
wastewater treatment facility, including a 3 , 000-cft hydrated lime
storage and lime slurry feed system, a 34 , 200-gallon, glass-lined
bolted steel sludge contact tank with mixer and sludge transfer
pumps, a 524, 000-gallon, glass-lined bolted steel sludge storage
tank with mixer pumps and mixer nozzles, a pre-engineering pump
building and all associated site, mechanical and electrical work. �
The Project for which the Work under the Contract Documents may be
the whole or only a part is generally described as follows:

ARTICLE 2 . ENGINEER.
The Project has been designed by Sverdrup Corporation who is
hereinafter called ENGINEER and will act as OWNER' S Representative,
assume all duties and responsibilities and have the rights and
authority assigned to ENGINEER in the Contract Documents in
connection with completion of the Work in accordance with the
Contract Documents.
ARTICLE 3 . CONTRACT TIME.
3 . 1 The Work will be substantially completed within 150 calendar
days from the date when the Contract Time commences to run as
provided in Paragraph 2.3 of the General Conditions, and completed
and ready for final payment in accordance with Paragraph 14 . 13 of the
General Conditions within 180 calendar days from the date when the
Contract Time commences to run.
3 .2 Liquidated Damages. OWNER and CONTRACTOR recognize that time
is of the essence of this Agreement and that OWNER will suffer

financial loss if the Work is not completed within the times
specified in Paragraph 3 . 1 above, plus any extensions thereof allowed
in accordance with Article 12 of the General Conditions. They also
recognize the delays, expense and difficulties involved in proving in
a legal proceeding the actual loss suffered by OWNER if the Work is
not completed on time. Accordingly, instead of requiring any such
proof, OWNER and CONTRACTOR agree that as liquidated damages for
delay (but not as a penalty) CONTRACTOR shall pay OWNER Five Hundred
Dollars ($500. 00) for each day that expires after the time specified
in Paragraph 3 . 1 for Substantial Completion until the Work is
substantially complete. Such amount being based on penalties to be
assessed by the Federal Government and on excess engineering fees.
After Substantial Completion if CONTRACTOR shall neglect, refuse or
fail to complete the remaining Work within the Contract Time or any
proper extension thereof granted by OWNER, CONTRACTOR shall pay OWNER
Two Hundred Dollars ($200. 00) for each day that expires after the
time specified in Paragraph 3 . 1 for completion and readiness for
final payment. Such amount being based on excess engineering fees.
ARTICLE 4 . CONTRACT PRICE.
OWNER shall pay CONTRACTOR for completion of the Work in accordance
with the Contract Documents an amount equal to the price or prices
contained in the Bid Form.
ARTICLE 5. CHANGES IN THE WORK.
The amount of any increases or decreases in the Contract Price which
results from a Change Order shall be set forth in the applicable
Change Order.
ARTICLE 6. PAYMENT PROCEDURES.
CONTRACTOR shall submit Applications for Payment in accordance with
Article 14 of the General Conditions. Applications for Payment will
be processed by ENGINEER as provided in the General Conditions.
6. 1 Progress Payments. OWNER shall make progress payments on
account of the Contract Price on the basis of CONTRACTOR's
Applications for Payment as recommended by ENGINEER, on or about the
last day of each month during construction as provided below. All
progress payments will be on the basis of the progress of the work
measured by the Schedule of Values established in the General
Requirements, Division 1.
6. 1. 1 Prior to Substantial Completion, progress payments will be
made, less the aggregate of payments previously made and less such
amounts as ENGINEER shall determine, or OWNER may withhold, in
accordance with Paragraph 14.7 of the General Conditions; less a
retained amount in accordance with the following schedule:

determined by the ENGINEER.

6. 1. 1. 2 5 percent after the Work is 50 percent complete as
determined by the ENGINEER and if the character and progress
of the Work have been satisfactory to OWNER and ENGINEER.
6 . 1. 2 Upon Substantial Completion, in an amount sufficient to
increase the total payments to CONTRACTOR to 100 percent of the
Contract Price, less such amounts as ENGINEER determines is
necessary to assure final completion of the Work, or OWNER may
withhold in accordance with Paragraph 14 .7 of the General
Conditions.
6.2 Final Payment. Upon final completion and acceptance of the
Work in accordance with Paragraph 14 . 13 of the General Conditions,
OWNER shall pay the remainder of the Contract Price as recommended by
ENGINEER as provided in said Paragraph 14 . 13 .
ARTICLE 7 . INTEREST.
If the OWNER fails to make payment thirty (30) days after approved by
the ENGINEER, in addition to other remedies available to the
CONTRACTOR, then shall be added to each such payment interest at the
maximum legal rate commencing on the first day after said payment is
due and continuing until the payment is received by the CONTRACTOR.
The legal rate of interest shall be as specified in VAMS 408 . 020.
ARTICLE 8 . CONTRACTOR'S REPRESENTATIONS. °
In order to induce OWNER to enter into this Agreement, CONTRACTOR
makes the following representations:
8 . 1 CONTRACTOR has familiarized itself with the nature and extent
of the Contract Documents, Work, site, locality, and all local
conditions and Laws and Regulations that in any manner may affect
cost, progress, performance or furnishing of the Work.
8 , 2 CONTRACTOR has studied carefully all reports of explorations
and tests of subsurface conditions which are identified in the
Supplementary Conditions as provided in Paragraph 4 . 2 of the General
Conditions.
8 . 3 CONTRACTOR has obtained and carefully studied (or assumes
responsibility for obtaining and carefully studying) all such
examinations, investigations, explorations, tests, reports and
studies (in addition to or to supplement those referred to in
Paragraph 8 . 2 above) which pertain to the subsurface or physical
conditions at or contiguous to the site or otherwise may affect the
cost, progress, performance or furnishing of the Work as CONTRACTOR
considers necessary for the performance or furnishing of the Work at
the Contract Price, within the Contract Ti�e and in accordance with
the other terms and conditions of the Contract Documents, including
specifically the provisions of Paragraph 4 .2 of the General
Conditions; and no additional examinations, investigations,

explorations, tests, reports, studies or similar information or data
are or will be required by CONTRACTOR for such purposes.
8 .4 CONTRACTOR has reviewed and checked all information and data
shown or indicated on the Contract Documents with respect to existing
Underground Facilities at or contiguous to the site and assumes
responsibility for the accurate location of said Underground
Facilities. No additional examinations, investigations, explorations,
tests, reports, studies or similar information or data in respect of
said Underground Facilities are or will be required by CONTRACTOR in
order to perform and furnish the Work at the Contract Price, within
the Contract Time and in accordance with the other terms and
conditions of the Contract Documents, including specifically the
provisions of Paragraph 4 . 3 of the General Conditions.
8 . 5 CONTRACTOR has correlated the results of all such
observations, examinations, investigations, explorations, tests,
reports and studies with the terms and conditions of the Contract
Documents.
8. 6 CONTRACTOR has given ENGINEER written notice of all conflicts,
errors or discrepancies that he has discovered in the Contract
Documents and the written resolution thereof by ENGINEER is
acceptable to CONTRACTOR.
ARTICLE 9 . CONTRACT DOCUMENTS.
The Contract Documents which comprise the entire agreement between
OWNER and CONTRACTOR concerning the Work consist of the following:

9 . 11 Applicable Regulatory requirements
9 . 12 The following which may be delivered or issued after the �
Effective Date of the Agreement and are not attached hereto: All
Written Amendments and other documents amending, modifying or
supplementing the Contract Documents pursuant to Paragraphs 3 .5 and
3 . 6 of the General Conditions.
9 . 13 The documents listed in Paragraphs 9. 2 et. seq. above are
attached to this Agreement (except as expressly noted otherwise
above) and all are incorporated by reference in this Agreement.
There are no Contract Documents other than those listed above in this
Article 9 . The Contract Documents may only be amended, modified or
supplemented as provided in Paragraphs 3 . 5 and 3 . 6 of the General
Conditions.
ARTICLE 10. MISCELLANEOUS.
10 . 1 Terms used in this Agreement which are def ined in Article 1 of
the General Conditions will have the meanings indicated in the
General Conditions.
10.2 No assignment by a party hereto of any rights under or
interests in the Contract Documents will be binding on another party
hereto without the written consent of the party sought to be bound; �
and specifically but without limitation moneys that may become due
and moneys that are due may not be assigned without such consent
(except to the extent that the effect of this restriction may be
limited by law) , and unless specifically stated to the contrary in
any written consent to an assignment, no assignment will release or
discharge the assignor from any duty or responsibility under the
Contract Documents.

10. 3 OWNER and CONTRACTOR each binds itself, its p �
successors, assigns and legal representatives to the other party
hereto, its partners, successors, assigns and legal representatives
in respect to all covenants, agreements and obligations contained in
the Contract Documents.
ARTICLE 11. NON-DISCRIMINATION IN EMPLOYMENT.
11. 1 CONTRACTOR will not discriminate against any employee or
applicant for employment because of race, creed, color, or national
origin. The CONTRACTOR will take affirmative action to ensure that
applicants are employed, and that employees are treated during
employment, without regard to their race, creed, color or national
origin. Such action shall include, but not be limited to, the
following• employment, upgrading, demotion, or transfer; recruitment
or recruitment advertising; layoff or termination; rates of pay or
other forms of compensation; and selection for training, including
apprenticeship.

11. 2 CONTRACTOR will post in conspicuous places, available to
employees and applicants for employment, notices setting forth the
provisions of this non-discrimination clause.
11. 2 . 1 CONTRACTOR will, in all solicitations or
advertisements for employees placed by or on behalf of the
CONTRACTOR, state that all qualified applicants will receive
consideration for employment without regard to race, creed,
color, or national origin.
11. 2 . 2 CONTRACTOR will send to each labor union or
representative of workers with which he has a collective
bargaining agreement or other contract or understanding, a
notice, to i�e provided by the agency contracting officer,
advising the labor union or workers ' representative of the
CONTRACTOR' s commitments under Section 202 of Executive Order
No. 11246 of September 24 , 1965, and shall post copies of the
notice in conspicuous places available to employees and
applicants for employment.
11.2 . 3 CONTRACTOR will comply with all provisions of
Executive Order No. 11246 of September 24 , 1965, and of the
rules, regulations, and relevant orders of the Secretary of
Labor.
11. 2. 4 CONTRACTOR will furnish all information and reports
required by Executive Order No. 11246 of September 24 , 1965,
and by the rules, regulations, and orders of the Secretary of
Labor, or pursuant thereto, and will permit access to his
books, records, and accounts by the contracting agency and the
Secretary of Labor for purposes of investigation to ascertain
compliance with such rules, regulations, and orders.
11. 2 . 5 In the event of the CONTRACTOR' s non-compliance with
the non-discrimination clauses of this Contract or with any of
such rules, regulations, or orders, this Contract may be
cancelled, terminated or suspended in whole or in part and the
CONTRACTOR may be declared ineligible for further Government
contracts in accordance with procedures authorized in
Executive Order No. 11246 of September 24 , 1965, and such
other sanctions may be imposed and remedies involved as
provided in Executive Order No. 11246 of September 24 , 1965,
or by rule, regulation, or order of the Secretary of Labor, or
as otherwise provided by law.
11. 2 . 6 CONTRACTOR will include the provisions of Article 11
in every subcontract or purchase order unless exempted by
rules, regulations, or orders of the Secretary of Labor issued
pursuant to Section 204 of Executive Order No. 11246 of
September 24, 1965, so that such provisions will be binding
upon each subcontractor or vendor. The CONTRACTOR will take
such action with respect to any subcontract or purchase order
as the contracting agency may direct as a means of enforcing

such provisions including sanctions for non-compliance:
Provided, however, that in the event the CONTRACTOR becomes
involved in, or is threatened with, litigation with a
subcontractor or vendor as a result of such direction by the
contracting agency, the CONTRACTOR may request the United
States to enter into such litigation to protect the interests
of the United States.

2 , BIDDER accepts all of the terms and conditions of the

(c) BIDDER is familiar with and satisfied as to all federal,
state and local Laws and Regulations that may affect cost,
progress, performance and furnishing of the Work.
(d) BIDDER has carefully studied all reports of explorations
; and tests of subsurface conditions at or contiguous to the
site and all drawings of physical conditions in or
relating to existing surface or subsurface structures at
or contiguous to the site (except Underground Facilities)
which have been identified in the Supplementary Conditions
as provided in Paraqraph 4. 2. 1 of the General Conditions.
BIDDER acknowledges that such reports and drawings are not
Contract Documents and may not be complete for BIDDER's
purposes. BIDDER acknowledges that OWNER and ENGINEER do
not assume responsibility for the accuracy or completeness
of information and data shown or indicated in the Bidding
Documents with respect to Underground Facilities at or
contiguous to the site. BIDDER has obtained and carefully
studied (or assumes responsibility for having done so) all
such additional or supplementary examinations,
investigations, explorations, tests, studies and data
concerning canditions (surface, subsurface and Underground
Facilities) at or contiguous to the site or otherwise
which may affect cost, progress, performance or furnishing
of the Work or which relate to any aspect of the means,
methods, techniques, sequences and procedures of
construction to be employed by BIDDER and safety
precautions and programs incident thereto. BIDDER does
not consider that any additional examinations,
investigations, explorations, tests, studies or data are
necessary for the determination of this Bid for
performance and furnishing of the Work in accordance with
the times, price and other terms and conditions of the
Contract Documents.
(e) BIDDER is aware of the general nature of Work to be
performed by OWNER and others at the site that relates to
Work for which this Bid is submitted as indicated in the
Contract Documents.
(f) BIDDER has correlated the information known to BIDDER,
information and observations obtained from visits to the
site, reports and drawings identified in the Contract
Documents and all additional examinations, investigations,
explorations, tests, studies and data with the Contract
Documents.
(g) BIDDER has given ENGINEER written notice of all conflicts,
errors, ambiguities or discrepancies that BIDDER has
discovered in the Contract Documents and the written

SC-6. 8 . 2 of the Supplementary Conditions. Upon award of a contract,
the named Suppliers and equipment shall be used and furnished.
Equipment substitutions will be permitted only if named equipment
does not meet the requirements of the Contract Documents; the
Supplier is unable to meet the delivery requirements of the
construction schedule; the Supplier is dilatory in complying with the
requirements of the Contract Documents; or for other reason specified
in the General Conditions. Substitutions shall be subject to
concurrence of the Owner and shall be confirmed by Change Order.
Preliminary acceptance of equipment listed by Supplier's name shall
not in any way constitute a waiver of the specifications covering
such equipment; final acceptance will be based on full conformity
with the Contract Documents.
Failure to furnish all information requested in the listing may be
cause for rejection of the Bid. '

subject to the terms, conditions and limitations of the policy(ies) in current use by the Company.
This binder may be cancelled by the Insured by surrender of this binder or by written notice to
the Company stating when cancellation will be effective. This binder may be cancelled by the
Company by notice to the Insured in accordance with the policy conditions. This binder is cancelled
when replaced by a policy. If this binder is not replaced by a policy, the Company is entitled
to charge a premium for the binder according to the Rules and Rates in use by the Company.
APPLICABLE IN NEVADA
Any person who refuses to accept a binder which provides coverage of less than
$1,000,000.00 when proof is required: (A) Shall be fined not more than$500.00, and (B)

Electrical
l . Furnish and install a 30-Amp disconnect with 20-Amp fuse in
one of the empty spaces in the new Motor Control Center in the
Pump Building. Furnish and install 3#12 , 1#12G in the MCC and
in a 1" conduit in ground supplying power to the pump control
panel.
INSTALLATION
Al1 installation shall be in strict compliance with the equipment
manufacturer's written instructions. All anchor bolts and other
items placed in the concrete structure shall be located according
to the drawing furnished by the manufacturer.
All electrical installations and connections shall be made in
accordance with the National Electric Code (NEC) and the National
Electrical Manufacturer's Association (NEMA) .
Earthwork shall be in accordance with Specification Sections 02220
and 02221.

Enclosed is approved Change Order No. 2 to contract with Robinson Construction
Company for your SRF project. This change order increases the eligible cost of
construction by the amount of $2,662.53. This change order increases
conetruction time by 60 calendar days. The new contract completion date is
August 18, 1995.
Financial assistance on thia project is limited to the amount of the loan and
cannot be increased.
This change order is for your official project records and should be maintained
