RESOLUTION
A RESOLUTION AUTHORIZING THE EXECUTION OF A
PURCHASE CONTRACT IN CONNECTION WITH THE SALE OF
APPROXIMATELY$3,525,000 PRINCIPAL AMOUNT OF CITY OF
CAPE GIRARDEAU, MISSOURI, CERTIFICATES OF
PARTICIPATION (CAPITAL IMPROVEMENTS PROJECT5),
SERIES 1994A; APPROVING THE PRELIMINARY OFFICIAL
STATEMENT AND AUTHORIZING THE EXECUTION OF A
FINAL OFFICIAL STATEMENT RELATING TO THE
CERTIFICATES; AND PRESCRIBING OTHER MATTERS
RELATING THERETO.
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
1. Sale of the Series 1994A Certi�cates. The City Manager is hereby authorized to enter
into a Purchase Contract between the City and George K. Baum & Company (the "Purchaser"), in
substantially the form attached hereto as Exhibit A, under which the City agrees to sell approximately
$3,525,000 principal amount of Certificates of Participation (Capital Improvements Projects), Series
1994A (the "Series 1994A Certificates"). The Series 1994A Certificates shall be sold to the Purchaser
at a purchase price of not less than 99.41% of the principal amount thereof, less original issue discount,
if any, plus accrued interest to the date of delivery, shall have a net interest cost of not greater than
6.00%, and shall be subject to such other terms and conditions as are set forth in the Purchase Contract,
with such changes therein as shall be approved by the City Manager, which officer is hereby authorized
to execute such document on behalf of the City, and such officer's signature thereon shall be conclusive
evidence of the City's approval thereof.
2. Preliminary Of�cial Statement and Official Statement. The City hereby ratifies and
confirms the form and content of the Preliminary Official Statement(attached hereto as Exhibit B). The
final Official Statement is hereby adopted by supplementing, completing and amending the Preliminary
Official Statement, and the Mayor is hereby authorized to execute the Official Statement. The use of
the Official Statement in the reoffering of the Series 1994A Certificates by the Purchaser is hereby
approved and authorized. The proper officials of the City are authorized to execute and deliver such
certificates as the Purchaser may require pertaining to the content of the Preliminary Official Statement
and of the Official Statement.
3. Further Authority. The officers of the City are authorized and directed to execute all
documents and take such actions as they may deem necessary or advisable in order to carry out and
perform the purposes of this Resolution. The execution or taking of such action shall be conclusive
evidence of such necessity or advisability.
4. Effective Date. This Resolution shall take effect and be in full force from and after its
adoption by the City Council.
