A RESOLUTION AUTHORIZING THE EXECUTION OF A BOND
PURCHASE AGREEMENT IN CONNECTION WITH THE SALE BY
THE CAPE GIRARDEAU (MISSOURI) PUBLIC FACILITIES
AUTHORITY OF APPROXIMATELY $ 8,095,000 PRINCIPAL
AMOUNT OF BUILDING AND EQUIPMENT LEASEHOLD -
REFUNDING AND IMPROVEMENT REVENUE BONDS (CITY OF
CAPE GIRARDEAU, MISSOURI, CAPITAL IMPROVEMENTS
PROJECTS), SERIES 1993; APPROVING THE PRELIMINARY
OFFICIAL STATEMENT AND AUTHORIZING THE EXECUTION
OF A FINAL OFFICIAL STATEMENT FOR SAID SERIES 1993
BONDS; AND PRESCRIBING OTHER MATTERS RELATING
THERETO.
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU, MISSOURI,
AS FOLLOWS:
l. Sale of the Bonds. The Mayor is hereby authorized to enter into a Bond Purchase
ngreement among the Cape Girardeau (Missouri) Public Facilities Authority (the "Authority"), the City
and A.G. Edwards & Sons, Inc. and Piper Jaffray Inc. (the "Purchasers"), in substantially the form
attached hereto as Exhibit A, under which the Authority agrees to sell approximately $8,095,000
principal amount of Building and Equipment Leasehold Refunding and Improvement Revenue Bonds(City
of Cape Girardeau, Missouri, Capital Improvements Projects), Series 1993 (the "Series 1993 Bonds"),
to the Purchasers at a purchase price of not less than 98% of the principal amount thereof plus accrued
interest to the date of delivery, upon the terms and conditions set forth therein, with such changes therein
as shall be approved by the Mayor, which officer is hereby authorized to execute such document for and
on behalf of the City, and such officer's signature thereon shall be conclusive evidence of his approval
thereof.
2. Preliminarv Official Statement and Official Statement. The City hereby ratifies and
confirms the form and content of the Preliminary Official Statement prepared in the initial offering and
sale of the Series 1993 Bonds, in the form attached hereto as Exhibit B, and the final Official Statement
is hereby adopted by supplementing, completing and amending the Preliminary Official Statement and the
Mayor is hereby authorized to execute the Official Statement. The use of such Official Statement in the
reoffering of the Series 1993 Bonds by the Purchasers is hereby approved and authorized. The proper
officials of the City are hereby authorized to execute and deliver such certificates as the Purchasers may
require pertaining to the content of the Preliminary Official Statement and of the Official Statement.
3. Further Authoritv. The officers of the City shall be, and they hereby are, authorized and
directed to execute all documents and take such actions as they may deem necessary or advisable in order
to carry out and perform the purposes of this Resolution and other documents herein approved, authorized
and confirmed which they may approve, and the execution or taking of such action shall be conclusive
evidence of such necessity or advisabiliry.
4. Effective Date. This Resolution shall take effect and be in full force from and after its
adoption by the City Council.
