A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE A DISASSEMBLY AND REASSEMBLY CONTRACT
WITH J. W. STRACK CONSTRUCTION FOR WORK AT THE
LANDFILL AND RECYCLING CENTER
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to execute a
Disassembly and Reassembly Contract with J. W. Strack Construction
for work at the City Landfill and City Recycling Center. A copy of
said Contract is attached to this Resolution and made a part
hereof.

Disassembly and Reassembly Contract

This agreement entered into this ��%�� day of �,"���'c'-�- ,
1995, by and between the City of Cape Girardeau Missouri , a
Municipal Corporation, hereinafter referred to as "City" and J.
W. Strack Construction, 2827 Perryville Road, Cape Girardeau MO
63701 hereinafter referred to as "Contractor" .
In consideration of the mutual covenants contained herein
and other good and valuable consideration, City and Contractor
agree as follows:
1 . Contractor shall totally disassemble the following
structure: One 42' X 45' square wood post building with
metal siding and roofing located at the City landfill site
at Cedar Hill and Highway 177.
The contractor shall be required to keep the gate locked
when not on the job site.
Access to the disassembly site shall be from the landfill
road only.
Contractor shall be allowed to work his own hours at the
landfill only.
The contractor shall be required to disassemble the entire
structure and reassemble in accordance with the following
and the attached plans and specifications.
Metal wall and roof panels are to be replaced with new
painted material . Metal gutters and downspouts, and,
if possible, hanger straps are to be salvaged for
reinstallation as well as the ridge cap and metal trim
pieces. Any missing or damaged gutters, downspouts,
post, 2 X 6 stock, etc. shall be replaced by
contractor.
Two inch stock wood nailers and braces are to be removed,
denailed, and prepared for reuse. Extra care shall be used
to remove, transport, store, and reset the wood trusses.
Any truss that becomes damaged, to the extent that any
member is effectively cut in two, notched, cracked, or
split, or any connection plate loosened or removed, shall be
considered nonusable in reconstruction, and shall be
replaced at contractor's expense.
The 6" X 6" timber posts are to be replaced with new
material of like quality.
All materials are to be transported to the City Recycling
Center Facility located at 120 N Broadview. Each day's
salvage must be transported by the end of workday.

Electrical wiring and fixtures are to be salvaged for the
City of Cape Girardeau. Contractor will not be required to
perform any electrical reconstruction.
Any wood or concrete structure currently below grade
may remain. Site shall be graded smooth.
2. The Contractor shall be required to utilize salvaged
materials to reconstruct the square post type storage
building at the City Public Works Facility at 120 N
Broadview.
Reconstruction of both 45' wide walls will be slightly
different than original. Note variations required for new
12 X 12 overhead door. Let 2 X 6 side nailers extend past
south wall posts both front and rear to concrete block
exterior of recycling building.
Details for construction of the foundation and reassembly of
the superstructure are attached. Metal wall and roof
covering may be nailed or screw attached.
A new 12 X 12 uninsulated overhead door comparable to a 424
series Overhead brand shall be furnished and installed by
contractor.
Contractor to provide all new materials necessary to
complete the project.
The 6" X 6" timber posts shall be installed with six bag mix
concrete.
Joint between existing recycling building and square post
building shall be as shown.
Reconstruction hours shall be 7 :00 AM to 5:00 PM Monday
through Friday and 8: 00 AM to 12 : 00 PM on Saturday.
3 . Disassembly, removal of structure and site restoration and
reassembly shall be completed in 30 working days.
4 . Contractor shall not be allowed to burn materials at either
site.
5. Contractor shall remove rubbish and debris from the
disassembly and reassembly sites and deposit it at a
disposal site approved by the City. Contractor shall be
responsible for all costs of disposing of rubbish and
construction debris.
6. Contractor shall be responsible for field verifying all
construction dimensions.

7 . Contractor shall provide City with lien waivers prior to
payment.
8 . Prevailing wage conditions shall be met. Contractor shall
provide certified payrolls and signed affidavits prior to
payment.
9. Missouri Division of Labor Standards, Wage and Hour Section,
Annual Wage Order #1 is attached and incorporated into this
contract.
10 . Contractor will be responsible for any damage done to the
sidewalks, alleys, or streets adjoining the property. All
utilities shall be disconnected prior to demolition.
Contractor shall take all necessary care to protect nearby
buildings, drives, motor vehicles, and all adjoining
property, and the Contractor is to leave same in condition
equal to that which now exists.
11. Contractor shall provide all labor and materials, and
furnish and direct at its own expense, whatever equipment or
work may be necessary for the expeditious and proper
execution of its duties under this contract.
12. Contractor shall secure, at its own expense, all permits,
licenses and consents required by law or necessary to
perform this work and will give all notices and pay all fees
and otherwise comply with applicable city, county, and state
laws, ordinances, rules, and regulations.
13 . Contractor shall not restrict access to or interfere with
operations of any of the City departments.
14 . Should contractor at any time refuse or neglect to supply
adequate materials or equipment or a sufficient number of
properly skilled workmen, or fail in any respect to
prosecute the work with promptness and diligence, or fail to
perform any of the agreements of this contract, City may, at
its election, immediately terminate this agreement, giving
notice to Contractor in writing of such election, and enter
on the premises and take possession for the purpose of
completing the work included under this agreement, and may
employ any other person or persons to finish the work and to
provide the materials therefor at the expense of Contractor.
15. Contractor shall indemnify City from all claims, demands,
suits and actions of every name and description brought
against the City for or on account of any injuries or
damages received or sustained by any parties by or as a
result of the acts or omission of Contractor, his servants
or agents, in doing the work herein described, or by or as a

result of any negligence in guarding the same, or on account
of any improper equipment or materials utilized in
performing the work.
16 . Contractor shall furnish performance and payment bonds, each
in an amount at least equal to the contract price of
$14 ,675. 00 as security for the faithful performance and
payment of all contractor's obligations under the contract
documents. These bonds shall remain in effect at least
until one year after the date when final payment becomes
due, except as provided otherwise by laws or regulations or
by the contract documents. Contractor shall also furnish
such other bonds as are required by the supplementary
conditions. All bonds shall be in the form prescribed by
the contract documents except as provided otherwise by laws
or regulations, and shall be executed by such sureties as
are named in the current list of "Companies Holding
Certificates of Authority as Acceptable Securities on
Federal Bonds and as Accepted Reinsuring Companies" as
published in Circular 570 (amended) by the Audit Staff,
Bureau of Government Financial Operations, U.S. Treasury
Department. All bonds signed by an agent must be
accompanied by a certified copy of such agent's authority to
act.
17. Contractor agrees to file with the City prior to
commencement of work, a certificate of insurance naming the
City as coinsured and showing that the Contractor has in
force for a period equal to the period of the contract a
policy of general liability insurance insuring Contractor
against liability for personal injuries and property damage
arising out of the contract in a minimum amount of
$100 ,000.00 for injury or damage to any one person and
$1 ,000,000 . 00 for injuries or damages received in any one
accident or occurrence. Contractor agrees to provide and
maintain during the entire term of the contract and until
final acceptance of the work by the City, workers
compensation insurance for all its employees at the site of
the work.
18 . Upon satisfactory performance by Contractor of its duties
under this contract, and acceptance of said work by the
Public Works Director or his designee, City will pay
contractor the sum of $3 ,668.75 upon completion of
disassembly and removal of building from landfill, $3 ,668.75
when all materials are delivered to the Recycling Center job
site and $7, 337. 50 upon completion of all work. The total
sum of all payments shall not exceed $14 ,675. 00 .
19. Time is of the essence of this agreement and Contractor
agrees to begin working within ten (10) days after the date
of this contract and to complete the work within forty (40)
days. In case the contract is not completed within this
length of time, excepting extension granted to the
contractor for delays caused by conditions beyond his
control , Contractor will pay the City for damages the sum of
Fifty Dollars ($50. 00) per day for each day over Forty (40)
days it is required to complete the work covered under this
contract.
20. Contractor shall not assign or sublet this contract or any
portion thereof without the prior written consent of the
City.
21 . Failure of the City to insist in any one or more instance on
a strict performance of all of the terms or conditions of
this contract, or to exercise any right therein contained,
shall not be construed as a future waiver or a
relinquishment of the provisions or rights, but the same
shall continue and remain in full force and effect. None of
the terms or conditions of this contract shall be altered,
waived, modified or abandoned in any manner, except by
written instrument executed by both parties.
IN WITNESS WHEREOF, the parties have executed this agreement
at Cape Girardeau, Missouri, the day and year first above
written.

In accordance with Section 290.262 CUM. Supp RSMo (1993), within thirty (30) days after
a certified copy of this Annual Wage Order has been filed with the Secretary of State as
indicated below, any person who may be affected by this Annual Wage Order may object
by filing an objection in triplicate with the Labor and Industrial Relations Commission, P.O.
Box 599, Jefferson City, Mo. 65IO2. Such objections must set forth in writing the specific
grounds of objection. Each objection shall certify that a copy has been furnished to the Division
of Labor Standards, P.O. Box 4-49,Jefferson City, Mo. 65102, and to the party which requested
this Annual Wage Order pursuant to 8 CSR 20-5.010(1). A certified copy of the Annual Wage
Order has been filed with the Secretary of State of Missouri.
