A RESOLUTION AUTHORIZING THE CITY MANAGER TO �
EXECUTE AN AGREEMENT WITH ROBINSON MECHANICAL
CONTRACTORS, INC. , D/B/A ROBINSON CONSTRUCTION
COMPANY, FOR THE COLLEGE/HENDERSON SOUTH
COMBINED SANITARY OVERFLOW SEWER PROJECT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to execute an
Agreement with Robinson Mechanical Contractors, Inc. , d/b/a
Robinson Construction Company, for the College/Henderson South
Combined Sanitary Overflow Sewer Project. A copy of said Agreement
is attached to this Resolution and made a part hereof.

AGREEMENT
THIS AGREII�NT is dated as of the � day of ��L�� in the
year 19� by and between CITY OF CAPE GIRARDEAU, MISSOURI
(hereinafter called OWNER) and
ROBINSON MECHANICAL CbNTRAC1bRS, INC. d/b/a ROBINSON CONSTRUCTION COMPANY
(hereinafter called CONTRACTOR) .
OWNER and CONTRACTOR, in consideration of the mutual covenants

ARTICLE l. WORK. :. . .
CONTRACTOR shall complete all Work as specified or indicated in thP
Contract Documents. The work is generally described as follows:
The Work consists of constructing gravity sanitary sewer pipe
ranging in size from 8-inch to 12-inch, jacking pipe casings,
microtunneling, and constructing 12-inch storm sewer. The Work
also includes clearing and grubbing, seeding, removal and
replacement of pavement, removal and replacement of sidewalk,
abandoning existing pipes, constructing manholes, constructing
inlets, and reconnecting building laterals.
The Project for which the Work under the Contract Documents may be
the whole or only a part is generally described as follows:

ARTICLE 2 . ENGINEER.
The Project has been designed by Sverdrup Civil, Inc. who is
hereinafter called ENGINEER and will act as OWNER'S Representative,
assume all duties and responsibilities and have the rights and
authority assigned to ENGINEER in the Contract Documents in
connection with completion of the Work in accordance with the
Contract Documents.
ARTICLE 3 . CONTRACT TIME.
3 . 1 The Work will be substantially completed within 330 calendar
days from the ,date when the Contract Time commences to run as
provided in Paragraph 2 . 3 of the General Conditions, and completed
and ready for final payment in accordance with Paragraph 14.13 of the
General Conditions within 365 calendar days from the date when the
Contract Time commences to run.

3 . 2 Liquidated Damages. OWNER and CONTRACTOR recognize that time
is of the essence of this Agreement and that OWNER will suffer
financial loss if the Work is not completed within the times
specified in Paragraph 3 . 1 above�, plus any extensions thereof allowed
in accordance with Article 12 of the General Conditions. They also
recognize the delays, expense and difficulties involved in proving in
a legal proceeding the actual loss suffered by OWNER if the Work is
not completed on time. Accordingly, instead of requiring any such
proof, OWNER and CONTRACTOR agree that as liquidated damages for
delay (but not as a penalty) CONTRACTOR shall pay OWNER Five Hundred
Dollars ($500. 00) for each day that e�cpires after the time specified
in Paragraph 3 . 1 for Substantial Completion until the Work is

After Substantia�l` Completion if CONTRACTOR shall neglect, refUse or ••- �
fail to complete the remaining Work within the Contract Time or any
proper extension thereof granted by OWNER, CONTRACTOR shall pay OWNER
Two Hundred Dollars ($200. 00) for each day that expires after the
time specified in Paragraph 3 . 1 for completion and readiness for
final payment. Such amount being based on excess engineering fees.
ARTICLE 4 . CONTRACT PRICE.
OWNER shall pay CONTRACTOR for completion of the Work in accordance
with the Contract Documents. Total of all unit and lump sum prices.

ARTICLE 5. CHANGES IN THE WORK.
The amount of any increases or decreases in the Contract Price which
results from a Change Order shall be set forth in the applicable
Change Order.
ARTICLE 6. PAYMENT PROCEDURES.
CONTRACTOR shall submit Applications for Payment in accordance with
Article 14 of the General Conditions. Applications for Payment will
be processed by ENGINEER as provided in the General Conditions.
6. 1 Progress Payments. OWNER shall make progress payments on
account of the Contract Price on the basis of CONTRACTOR's
Applications for Payment as recommended by ENGINEER, on or about the
last day of each month during construction as provided below. Al1
progress payme�ts will be on the basis of the number of units
completed.
6. 1. 1 Prior to Substantial Completion, progress payments will be
made, less the aggregate of payments previously made and less such
amounts as ENGINEER shall determine, or OWNER may withhold, in
accordance with Paragraph 14 .7 of the General Conditions; less a
retained amount in accordance with the following schedule:

6. 1. 1. 1 10 percent until the Work is 50 percent complete as
determined by the ENGINEER.
6. 1. 1. 2 5 percent after the Work is 50 percent complete as
determined by the ENGINEER and if the character and progress
of the Work have been satisfactory to OWNER and ENGINEER.
6. 1. 2 Upon Substantial Completion, in an amount sufficient to
increase the total payments to CONTRACTOR to 100 percent of the
Contract Price, less such amounts as ENGINEER determines is
necessary to assure final completion of the Work, or OWNER may

6. 2 Final Payment. Upon final completion and acceptance of the
Work in accordance with Paragraph 14. 13 of the General Conditions,
OWNER shall pay the remainder of the Contract Price as recommended by
ENGINEER as provided in said Paragraph 14 . 13 .
ARTICLE 7 . INTEREST.
If the OWNER fails to make payment thirty (30) days after approval by
the ENGINEER, in addition to other remedies available to the
CONTRACTOR, then shall be added to each such payment interest at the
maximum legal rate commencing on the first day after said payment is
due and continuing until the payment is received by the: CON�RACTOR.
The legal rate of interest shall be as specified in Section 34 . 057
RSMo. (Supp. 1991) .
ARTICLE 8. CONTRACTOR' S REPRESENTATIONS.
In order to induce OWNER to enter into this Agreement, CONTRACTOR
makes the following representations:
8 . 1 CONTRACTOR has familiarized itself with the nature and extent
of the Contract Documents, Work, site, locality, and all local
conditions and Laws and Regulations that in any manner may affect
cost, progress, performance or furnishing of the Work.
8 . 2 CONTRACTOR has studied carefully all reports of explorations
and tests of subsurface conditions which are identified in the
Supplementary Conditions as provided in Paragraph 4 .2 of the General
Conditions.
8. 3 CONTRACT4R has obtained and carefully studied (or assumes
responsibility for obtaining and carefully studying) all such
examinations, investigations, explorations, tests, reports and
studies (in addition to or to supplement those referred to in
Paragraph 8 . 2 above) which pertain to the subsurface or physical
conditions at or contiguous to the site or otherwise may affect the
cost, progress, performance or furnishing of the Work as CONTRACTOR
considers necessary for the performance or furnishing of the Work at

the Contract Price, within the Contract Time and in accordance with
the other terms and conditions of the Contract Documents, including
specifically the provisions of Paragraph 4 .2 of the General
Conditions; and no additional examinations, investigations,
explorations, tests, reports, studies or similar information or data
are or will be required by CONTRACTOR for such purposes.
8 . 4 CONTRACTOR has reviewed and checked all information and data
shown or indicated on the Contract Documents with respect to existing
Underground Facilities at or contiguous to the site and assumes
responsibility for the accurate location of said Underground
Facilities. No additional examinations, investigations, explorations,

8 . 5 CONTRACTOR has correlated the results of all such
observations, examinations, investigations, explorations, tests,
repo�ts and studies with the terms and conditions of the Contract
Documents.
8 . 6 CONTRACTOR has given ENGINEER written notice of all conflicts,
errors or discrepancies that he has discovered in the Contract
Documents and the written resoiution thereof by ENGINEER is
acceptable to CONTRACTOR.
ARTICLE 9. CONTRACT DOCUMENTS.
The Contract Documents which comprise the entire agreement between
OWNER and CONTRACTOR concerning the Work consist of the following:

Written Amendments and other documents amending, modifying or
supplementing the Contract Documents pursuant to Paragraphs 3 . 5 and
3 . 6 of the General Conditions.
9. 16 The documents listed in Paragraphs 9 . 2 et. seq. above are
attached . to this Agreement (except as expressly noted otherwise
above) and all are incorporated by reference in this Agreement.
There are no Contract Documents other than those listed above in this
Article 9. The Contract Documents may only be amended, modified or
supplemented as provided in Paraqraphs 3 . 5 and 3 . 6 of the General
Conditions.
ARTICLE 10. MISCELLANEOUS.
10. 1 Terms used in this Agreement which are defined in Article 1 of
the General Conditions will have the meanings indicated in the
General Conditions.
10. 2 No assignment by a party hereto of any rights under or
interests in the Contract Documents will be binding on another party
hereto without the written consent of the party sought to be bound;
and specifically but without limitation moneys that may become due
and moneys that are due may not be assigned without such consent
(except to the extent that the effect of this restriction may be
limited by law); and unless specifically stated to the contrary in
any written consent to an assignment, no assignment will release or
discharge the assignor from any duty or responsibility under the
Contract Documents.

10.3 OWNER and CONTRACTOR each binds itself, its partners,
successors, assigns and legal representatives to the other party
hereto, its partners, successors, assigns and legal representatives
in respect to all covenants, agreements and obligations contained in
the Contract Documents.
ARTICLE 11. NON-DISCRIMINATION IN EMPLOYMENT.
11. 1 CONTRACTOR will not discriminate against any employee or
applicant for employment because of race, creed, color, or national
origin. The CONTRACTOR will take affirmative action to ensure that

11. 2 CONTRACTOR will post in conspicuous places, available to

provisions of this non-discrimination clause.
11. 2 . 1 CONTRACTOR will, in all solicitations or
advertisements for employees placed by or on behalf of the
CONTRACTOR, state .that all qualified, appl.i.cants will receive .
consideration for employment without regard to race, creed,
color, or national origin.
11. 2 . 2 CONTRACTOR will send to each labor union or
representative of workers with which he has a collective
bargaining agreement or other contract or understanding, a
notice, to be provided by the agency contracting officer,
advising the labor union or workers' representative of the
CONTRACTOR's commitments under Section 202 of Executive Order
No. 11246 of September 24 , 1965, and shall post copies of the
notice in conspicuous places available to employees and
applicants for employment.
11.2 .3 CONTRACTOR will comply with all provisions of
Executive Order No. 11246 of September 24, 1965, and of the
rules, regulations, and relevant orders of the Secretary of
Labor.
11.2 . 4 �CONTRACTOR will furnish all information and reports
required by Executive Order No. 11246 of September 24, 1965,
and by the rules, regulations, and orders of the Secretary of
Labor, or pursuant thereto, and will permit access to his
books, records, and accounts by the contracting agency and the
Secretary of Labor for purposes of investigation to ascertain
compliance with such rules, regulations, and orders.

11.2 . 5 In the event of the CONTRACTOR's non-compliance with
the non-discrimination clauses of this Contract or with any of
such rules, regulations, or orders, this Contract may be
cancelled, terminated or suspended in whole or in part and the
CONTRACTOR may be declared ineligible for further Government
contracts in accordance with procedures authorized in
Executive Order No. 11246 of September 24, 1965, and such
other sanctions may be imposed and remedies involved as
provided in Executive Order No. 11246 of September 24, 1965,
or by rule, regulation, or order of the Secretary of Labor, or
as otherwise provided by law.

responsibility for the accuracy or completeness of information
and data shown or indicated in the Bidding Documents with
respect to Underground Facilities at or contiguous to the

responsibility for having done so)' all such additiorial or
supplementary examinations, investigations, e�lorations,
tests, studies and data concerning conditions (surface,
subsurface and Underground Facilities) at or contiguous to the

means, methods, techniques, sequences and procedures of

A. MOBILIZATION

procuring, placing and compacting bedding materials; concrete
encasement or saddles (as required) ; procuring and installing
sewer pipe and all appurtenances; placing and compacting
backfill; respreading topsoil (when required) ; aggregate surface
course (as required) ; testing; and site restoration except for
turfing and pavement replacement, all as defined in the
Specifications.
E. STORM SEWER PIPE
Payment will be based on lineal feet of installed pipe, measured
along the pipe centerline from center to center .of manholes.
Work activities include, but are not limited to excavation;
sheeting and shoring (as required) , forming (as required) ;

stub outs from existing sewer, sheeting and shoring (as
required) , dewatering (as required) , procuring and installing
sewer pipe and all appurtenances, bedding, backfill, and site

J. GRANULAR BACKFILL
Payment will be based on the trench box widths, specif ied on the
drawings from 6" above the pipe to pavement subgrade. Such
payment shall include all costs of procuring and hauling the
granular backfill as defined in the Specifications. Also
included is the cost of hauling off and disposing of the trench
excavation being replaced with the granular backfill. No payment
will be made for granular backfill that extends greater than 5
feet outside the edge of the pavement or structure.

Payment will be based on square yards of pavement replacement as
measured after construction. Such payment shall include all
costs for break up and offsite removal of existing pavement and
curbs, sawcutting, forming (as required) , procuring and placing
wire mesh (when required) , procuring and placing concrete or
asphalt, procuring and placing concrete curbs or curbs and
gutters, temporary pavement (as required) , joint construction
(including steel reinforcement) , finishing operations, prime

L. SIDEWALK REMOVAL & REPLACEMENT
Payment shall be based on square yards of removal and

M. PIPE ABANDONMENT
Payment shall be based on lineal feet of abandoned sewer pipe,
measured along the pipe centerline. Such payment shall include
removal of the top of structure, filling abandoned sewer lines
with sand or fly ash slurry when located under existing or
proposed pavement, plugging existing connections including
manholes and materials to complete the work operation as defined
in the Specifications and as denoted on the drawings.
N. TURF REPLACEMENT
Payment will be based on a maximum 30-feet wide turfing area
along the centerline of the pipe through unimproved areas such
as lawns, fields, or woods as measured after construction. Such
payment shall include all labor, equipment, materials, and
supplies needed to complete the work operation as defined in
the Specifications. No payment shall be made for turfing
outside the specified pay limits.
