A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE A TRANSFER AGREEMENT WITH THE FEDERAL
AVIATION ADMINISTRATION FOR THE AIRPORT
TRAFFIC CONTROL TOWER
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to execute Transfer
Agreement No. ACE-52-T-52 with the Federal Aviation Administration
for the Air Traffic Control Tower at the Cape Girardeau Regional
Airport. A copy of said Agreement is attached to this Resolution
and made a part hereof.

TRANSFER AGREEMENT
BETWEEN
CITY OF CAPE GIRARDEAU, CAPE GIRARDEAU, MISSOURI
. . . AND
FEDERAL AVIATION ADNIlNISTRATION
This Agreement entered into by and between the City of Cape Girardeau, Missouri, here after
referred to as the CCG, and Federal Aviation Administration hereinafter referred to as the FAA,
acting by and through the Administration of the Federal Aviation Administration.
WHEREAS, the FAA owns an Airport Traffic Control Tower(ATCT), known and hereinafter
refened to as the Cape Girardeau ATCT.
WHEREAS, the transfer and acceptance of said property by the FAA is authorized under the
FAA Act of 1958 [49 USC, 1344(c)] and Section 303(c)(1) of the Federal Aviation Act;
WHEREAS, the City of Cape Girardeau desires to incorporate said ATCT into city property of
the City of Cape Girardeau and is willing to assume full responsibility for ownership, operation,
and maintenance;
WI�REAS, the FAA is willing to transfer ownership of said ATCT to the City of Cape
Girardeau, at no cost to the City of Cape Girardeau;
NOW, THEREFORE, in consideration of the mutual benefit accruing to the FAA and the CCG
and to the aviation public, the FAA and the CCG mutually agree as follows:
ARTICLE 1 - Transfer of Ownership
a. The FAA agrees to transfer ownership of the Cape Girardeau
ATCT System to the CCG and grant to the CCG all its right, title, and interest in
the structures, equipment and components, repair parts, and operating supplies
forming a part, or parts, of its operation. The FAA further agrees to transfer, or
otherwise make available to CCG, any and all equipment and component
manufacturer's warranties.
b. The CCG agrees to accept ownership-of the Cape Girardeau ATCT
consisting of structures, equipment and components, repair parts, and operating
supplies, hereinafter identified as to kind and quantity, further agrees to operate
and maintain the System as an aid in the Common System of Terminal Air
Navigation.
c. The FAA agrees to furnish to the CCG, prior to transfer of
ownership to the CCG, copies of any leases and power contracts.
d. The structures, equipment, and components transferred under this
agreement are identified as shown under Enclosure 1.
ARTICLE II - General Provisions
a. The CCG agrees, should the CCG discontinue operation of the
Cape Girardeau ATCT, then and in that event, to offer to transfer to the FAA, at
no cost, ownership of structures, equipment, components, repair parts, and
operating supplies which may be on hand at time of discontinuance. In the event
the FAA declines or fails to accept such offer within a period of sixty(60) days,
the CCG may dispose of such property. '
b. No member of Congress or resident Commissioner shall be
admitted to any share or part of this agreement, or to any benefit that may arise
therefrom; but, this provision shall not be construed to extend to this agreement if
made with a corporation for its general benefit.
c. The CCG is hereby advised that the ATCT has been inspected, and
there are some asbestos containing materials in the ATCT such as floor tile and
associated mastic; baseboard mastic; drywall; drywall joint compound; ceiling tiles;
pipe sealant; rubber pipe wrap paint. The asbestos containing materials appear to
be in good condition, and in a non-friable state. Because it is nonfriable, the
material does not readily release asbestos fibers into the air under normal use. For
this reason, the material can be safely maintained in the building. If the building is
demolished, remodeled, or restored, methods such as sanding, grinding, or cutting
with power tools should not be used to remove the asbestos containing materials,
as these methods will create friable asbestos contaminated dust, which could be
hazardous if inhaled. Alterations to or removal of asbestos containing materials
require adherence to all applicable local, state, and federal regulations concerning
the removal and disposal of asbestos materials. Periodic condition inspections are
recommended until the material are removed.
ARTICLE III -Effective Date
This agreement supersedes any previous agreements between the parties of the
subject matter set forth herein. The provisions of this Agreement shall become effective
at 12:01 A. M. on April 1, 1996.
ARTICLE IV- Acceptance
The FAA and the CCG agree to the provisions of this agreement as indicated by the
signature of their duly authorized officer(s).
