A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE A LEASE WITH RONALD L. WOODARD, SR.
AND GLENDA WOODARD FOR A RESTAURANT AT THE
CAPE GIRARDEAU REGIONAL AIRPORT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to execute a
Premises and Equipment Lease with Ronald L. Woodard, Sr. and Glenda
Woodard, his wife, for a restaurant at the Cape Girardeau Regional
Airport. A copy of said Lease is attached to this Resolution and
made a part hereof.

PREMISES AND EQUIPMENT LEASE
"l�his (ease is made a�Ici entered into this day of� 1996, by and between the
CITY OF CAPE GIRARDLAU, MISSOUIZI, a municipal corpoi-ation (hereafter "Lessor") and
RONALD L. WO011ARD SR. ANll HIS WIFE, GLENllA WOODARD, (hereafter "Lessee").
In consideration of the mutual promises and covenants hereinafter set forth and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged by both parties, the
parties hereto a��ree as follo�a�s:
L LEASLll PREMISES. Lessor hereby leases to Lessee and Lessee hereby leases from Lessor,
the property shown on diagram in Exhibit A and the equipment described in Exhibit B attached
hereco and by tllis refei-ence made a part hereof, which said property is located within the terminal
buildicl;� at the Cape Gii�ardeau Regional Airport in Cape Girardeau, Missouri.
2. INVENTORY. Lessor agrees to sell to Lessee and Lessee agrees to purchase from I.essor, the
restaurant product inventory which is in stock at the time this lease commences. Such
commodities shall be determined throuvh combined inspec[ion and verified with a mutually
signed inventor�� settlenlent list co►Isistiil� of the individual items, quantities of items, and a fair
market value �1�each item or portion thereof. Said inspection shall begin at such time as this lease
shall cornmence and i�ayment for such items sliall be made within 45 days of completion of the
afoi-eme�ltioned inspectio�l.
3. USE OF PREMISES. Lessee shall occupy and use the leased premises to operate a restaurant
facility and no other. Should such use be at any time prohibited by law, then Lessee, at its option,
may [erminate this lease and all of its liabiliry hereunder.
4o TERI��. The initial term of this lease shall be for sixty (60) months, commencing on September
1, 1996 and shall expire oii August 31, 2001, at which time Lessee shall have [he right to renew
the lease for one additional period of five years by giving sixry (60) days prior written notice of
its intent to i-enew, delivered in pei-son to Lessor or by certified mail addressed to the Lessor's
rent paying address. At the time of such renewal, all terms and conditions of this agreement shall
be subject to renegotiation.
5. R�NT. Rent shall be sti-uctured as a pei-centage of the annual gross sales. During the initial term
of this lease, the rates shall be computed as follows:
Annual Gross Sales Percentage Factor
$125,000 - $150,000 1%
$150,000 - $175,000 1.5%
$175,000 - $200,000 2%
Durin`� the initial term, at such point that Annual Gross Sales amounts reach or exceed Two
Hundreci Thousand and No/100 Dollars ($200,000.00), a flat rental rate of Three Hundred and
Thirty Five and No/100 Dollars ($335.00) per month plus 2% of the Annual Gross Sales amount

For the f�irst 12 months of the initial term, the Annual Gross Sales amount shall be computed on
the last ciay of each calendar �llonch. Tliis calculation shall be conducted by taking the total gross
sales figures beginnin� with the conunence da[e of this lease through to the date of the calculation.
This sum is then divided by the number of months or fraction of months thereof since the
conunence date. This quotient is then multiplied by 12 to give an annual average equivalent. For
the thirteenth month and those subsequent months thereafter comprising the balance of this
contract, the gross sales amount shall be determined by the previous 12 month's actual gross sales
amounts.
Upon determining tlie approp►-iate Percentage Factor applicable to the Annual Gross Sales, as
accordin�� to the schedule fisted above, the product resulting by multiplying the Annual Gross
Sales by the percent ra�e wiil then be divided by 12 to give that months actual rental amount.
Such amount will be paid on oi- before the lOth of the following month. In addition, the
appropriate figures ro c.ieillonstrate the calculations used to arrive at the monthly rental rate shall
be submitted along with the rental payment. Said payments and documentation shall be delivered
to the Office of Accounting and Purchasing, City of Cape Girardeau, City Hall, P.O. Box 617,
Cape Gii�ardeau, MO 63702-0617.
For the purpose of certification of Annual Gross Sales amounts, Lessee agrees to provide access
to all business records and led`�ers applicable to tlle operation of the premises. Sucli requests for
financial audit will be permitted by the Lessee no later than 5 business days following such request
notification from the Less��r.
Annual Gross Sa(es foi� purposes of this lease shall include all receipts for the sale of any item sold
upon the (eased premises including food, beverage and vending sales but DOES NOT include any
sales taxes or other like taxes Lessee is obligated to charge for its products or services.
6. ASSIGN!��rNT AND SUI3LETTING. Lessee shall not assign this lease, nor shall the leased
premises, or- an}� part tllereoti, be assigned, let or sublet without the prior written consent of
Lessoi-, which consent shall not be uiic�easonably withheld.
7. TERMINATION OF LEASE. Lessee shall be required to give at least thirty (30) days notice
of intent to terminate any or all conditions of this lease. Failure of the Lessee to conduct business
in excess of three consecutive days without written notice giving reasonable cause of such to
Lessor may be considered to be abandoninent of the leased premises. Failure by Lessee to give
such notice shall be considered as abandonment of the leased premises and shall result in
termination of tlle tei�ms of this lease -AND- Lessee shall pay to Lessor, one months rent at the
highes[ rare applicable in pa►�avraph 5 of this lease ($335.00).
8. REPAIRS. Lessee sllall be responsible for damage to the demised premises resulting from
Lessee's use of the premises, ordinary wear and tear excepted and Lessee shall keep the demised
premises in good and safe repair and condition at all times during the term hereof.
Lessor shall be respc�nsihle 1��r major items such as physical plant equipment replacement and
major malt�ullctions c>1� said equipment. Lessee shall be responsible for all preventive type
maintenance expenses anci normal maintenance activity which under normal circumstances could

be perf��rmed hy �t c<�m�etent �v��rkn�an em�loyed by the Lessee. Lessee shall also be responsible
for sim��lc re�airs t�� s�ii�l ec�ui��ment that entail modest expense. Modest expense shall be deemed
as [hose rcpairs c��stin�� Icss tl�an $l0U i�or parts and labor.
9. AL"I'EIZA"I'IONS Ai�'�ll [h�1PlZU�'Li��II:N"I�S. Lessee shall make no alterations, additions, repairs,
replacements or improvcmen�s upon the leased premises without the prior written consent of
Lessor. Such consent shall not be withheld without reasonab(e cause. All alterations, additions,
repairs, replacements and improvements shall be and remain the property of L,essor and be
surrendei�ed with tlle leased premises as part thereof upon termination of this lease.
10. SIGI`.iS. Lessee shall i�o[ construct, attacll, affix or paint any sign, advertisement or notice on the
eaterior c�f [he leased premises. includin�� screens, awnings and shades without the prior written
consent ��f� Lessor. Less��r a�rees [<� �����rk with the Lessee in facilitating a location upon which
Less�e can erect and il�iaintain a si«n ur si��i�s which will at a minimum advertise the business of
the Lessee.
11. COMPLIANCE WITH LA«'S. Lessee covenants and agrees that it will comply with all the
requii�ements of all la���s re<�ulatin<7 the use and occupanc}� of buildings in Cape Girardeau,
Miss�uri <ii�� that it ���ill not create �>r periilit any nuisance in or upon the leased premises to the
anno��a,lce ��1� nei��hb��i�in�� �rc��er�i�s. ��r 1�ermit ���aste of the leased premises to occur, or allow
the leased preiliises to he used for anv ille��al, immot�al or illegitimate purposes.
12. UTILITIES. Lessee sllall pay for ail ���atei-, �as, electricity, sewer, telephone or other utility
charges associated with the leased �remises durin� the term of this lease. Lessee shall not be
obligatecl to reimburse and pay Lessor more than Four Hundred and No/100 Dollars ($400.00)
for wate�-, gas, electriciry and se���er co�l�bined. Payment rate for utilities shall be subject to
renegotiation upon eacll annivers��rv da[e and with any extensions of this lease.
13. PUI3LIC LIAI3ILITY INSLRAI�'CI:. Lessee sllall at all times during the term of this lease
maintain comprehensive public liahilitv insurance protectin� Lessee and Lessor against claims for
perso�lal iiljury and pi�o��erty damage inc(uding fire relating to Lessee's use of occupancy of the
leased premises with limits ot not less tflan Five Hundred Thousand and No/100 Dollars
($500,000.00) single limit Public fiability. One Million and No/100 Dollars ($1,000,000.00)
public liabiliry per multi�le occurrence. and single limit public liability. All of the policies issued
in re`�ard to said covera`�es s(lalf ilame Lessor as an additional insured and shall be subject to
Lessor�s prior approval, which approval shall not be unreasonably withheld. Lessee shall, prior
to the term ��f this lease, turnish certii�icates of such coverages to Lessor.
14. INDEIVINITY OF LESSOR. Lessee covenants to indemnify and hold Lessor harmless against
any and all claims ai-ising froill the conduct or management of or from any work or thing
whatsoevei� done in or ahout tl�e leased pre�i�ises or tlle equipment thereof including as against or
in violati��n of la«�, re<,ul��i��i�� ��r utl�er pr���ei- authority during the term of this lease, or arising
durin�� said �erm f�roil� anv ac� ur lle��li��ence oti the Lessee or any of its agents, contractors,
employees, ��uests, voluntar�� Ilelp. or in��itees, or arising out of any accident, injury or damage
whats��ever, however- c�tused. t�� any ��erson ui- pei-sons, or to the property of any person, persons,
coi-p<�ratic�il, ��r corE�ol-ati��ns. ��ccurrin�� during the term of this lease, on, in, or about the leased

premises and (�rom and <i�ai��st all cos�s, counsel fees, expenses, and liabilities incurred in any way
as a result of any such clain� c�r any action or proceedin�� bi�ougiit against Lessor by reason of any
such ci�tim. Lessec, �,i� nc>tice f�rc>m Lessor_ sllall i-esist or defend such ae[ion or proceeding by

leasc.
15. LESSOR'S LIAI3ILI'I'Y. Lessor shall �iot be liable to L.essee, its agents, contractors, employees,
guests, voluntary help, c>r invitees. f�c�r any injury or dama�e caused to any of said persons or their
property by reason of wat�r. rain, snow, ice, sleet, fire, storm, Act of God, accidents, or by
breakage, stoppa��e, or �eaka��c oi� «�ater, gas heating, aii--conditioning, sewer pipes, or plumbing
on, about or adjacent �o the lease� pr�mises, all of which said risks are assumed by Lessee.
I6. TAXi;S. Less�r shall �ay all real estate taxes on the leased premises. Lessee will be responsible
only for such taxes as are asscsseci <t��ainst Lessee's activity and on the equipment Lessee owns,
and/��r uses in the conduc[ ol� its ac[ivity.
17. DAI��AGE OR DLS1'RUCI'IOi`' OI+ PR�MIS�S. If the leased premises or any improvements
therec�n become damaged in ���hole or in part by fire or other casualty through no fault of Lessee
[o such extent as Lessee determin�s said danla<�e �vill interfere with or inconvenience it in it's
operatic�ns. L�sti�� i»ay. u���>n ;U �1;���s �vritten nutice, f�orthwith ternlinate this lease, in wliich
event L�ssee �hall h�i�� n�� f�urth�r liahili�y or obliga[ion to Lesso►�.
If [he leased premises ur ail�� impruvei7lents tl�ereon become damaged in whole or in part as a
result of Ixssee's use ur occupa�Icy, Lessor shall repair such damage but at Lessee's expense, and
if such dama�e is covereci b�� L�ss�e s insurance, then the proceeds of such insurance shall be paid
to Lessor to be applieci to such ��s�oratioll or repair, with any excess paid to, or deficiency paid
by. Lessee as tlle case may h�.
I8� DEFAULI'. I1�anv d�Taul� shall hc: made in Lessee's compliance with any term or provision of
this lease a��i-ezmen[, tlien Lessor may at its sole option, upon 30 days written notice, forthwith
terminate this lease. Upon such termination of this lease, Lessee shall peacefully surrender
possession of the leased �remises to Lessor, and all rights of Lessee to the leased premises shall
cease and desist.
19. SURRENDER A1' I:ND OI� "I'ER1��1. On the last day of the lease term, whether or not
accelerated, Lessee shalf �eaceabfy a�1d quietly leave and surrender the leased premises to Lessor,
includin� afl ii�Ipruveilleilts acided by Lessee, if any, in as good condition as reasonable use and
wear thereof will pei�mit.
20. NOTICCS. Any nutice or �emand provided fo►- hei-ein may be given to Lessor and Lessee to be
served by pei-sonal service ��i� by c�idinary mail. postage prepaid, addressed to Lessor at: Office

tel�m ��r conditioii of �his leasc. nor shall any consent by Lessor to any assignment or subletting

22. CONDITION OF PREMISES. Lessee acknowledges that it has examined the leased premises
prior [o the execution of this lease agreement and knows of the condition thereof; that no
representations as to tl�e ct�ndition oi- state o1� repair thereoti have been made by Lessor other than
those expressed herein: and that Lessee accepts the leased premises in their condition at the
be�innin<� of the lease term.
23� DEI�[V`['fIONS. Whenever the words ��Lessor'' or "Lessee" are used herein, they shall be
construecl to include the successors ancl assi��ns of tlie parties, who shall also be bound by the
terms ��(� this lease a<�reement.
24. GOVEIZNING LAVV. "I'his a�reement shall be governed by the laws of the State of Missouri.
25. II��CLt;DI?D SLR��ICI?S. I.ess�>r shall ��r��vi�]c E�arking facili�ies for use by Lessee's employees
anci � i�itc�rs/cust�>mcrs <�� an int���ral p�trt c>f [his l�ase.
26. FEDI:IZAL ASSURANCES. Lessee wil] ��ot, on the �rounds of race, color, creed or national
origin. discriminate or permit discrimination against any person or group of persons in any
manner prohibited by Par� 21 of the Re�ula[ions ot the Oftice of the Secretary of Transportation.
Less��r reserves the ri«ht tu take such action as the United States Government may direct to
enforcc �his covenant.
1�his le��se shall he suhc�rciina[e to the pro��isi��lls of an�� existiil�� or future agreement between
Less��r a�l�i tile United Stat�s. relative to the opei-ati��n or mai�ltenance of the airport, the execution
of���hich has been oi- il��i�� he required as a conditio�l precedent to the expenditure of federal funds
for the clevelopment <�t� the air�ort.
It is un�ierstood and a��re�ci that nothing herein con[ained shall be construed to grant or authorize
tlle ,rrantin�� of an exclusive t-i��ht wiChiil the illeaning of� Section 308 of tlie Federal Aviation Act
of' 1958.
In tlle event facilities are constructed, nlaintaiiled, oi- otl�ei-wise operated on the property described
in this (ease, for a pur���se for which a Department of Transportation program or activity is
extended or 1�or anot�ller pu�pe�se involvin�� the provision of'similar services or benefits, the Lessee
sha(I maintain and operate its facilities and services i�i compliance with all requirements imposed
pui�suant t�� 49 CFR Part ?1 , N�ndiscrimination in Federafly Assisted Programs of the Department
of �l�ransl�ortation, anci as said Re��ulations n��w exist or as they may from time to time be
a�1��n�e�i.

said taci(ities, (2) that in the consti-uction of any improvements on, over, or under such land and

origin sllall be excludecl from par�icipation in, denied ttle benefits of, or otherwise be subjected
to discrimination; (3) tha� the "Lessee" shall use the premises in compliance with all other
requirements imposed by or pursuant to 49 CFR Part 21, Nondiscrimination in Federally Assisted
Progi-a�l�s of the Department of Transportation, and as said Regulations may be amended.
Lessee aarees ro furnish service on a fair, equal and not unjustly discriminatory basis to all users
thereot�, and [o charge fair, reasonable and not unjustly discriminatory prices for each unit or
service; PROVIDED, that Lessee may make reasonable and nondiscriminatory discounts, rebates,
or othel� similar types of�,-ice reductions to volume purchasers or as is from time to time allowed
throuvh various markelin�� devices.
