CITY MANAGER FORM ORDINANCE NO. �
AN ORDINANCE APPROVING THE FORM OF A CONTRACT FOR DEMOLITION OF
AIRPORT BUILDINGS BETWEEN THE CITY OF CAPE GIRARDEAU, MIS50URI,
AND HENRY WARFIELD, AUTHORIZING THE MAYOR TO EXECUTE, AUTHORIZING
THE PAYMENT OF A SUM OF MONEY
WHEREAS, the City of Cape Girardeau, Missouri, proposes to
demolish two buildings at the Cape Girardeau Municipal Airport;
and
WHEREAS, Henry Warfield desires to do said demolition; and
WHEREAS, the said parties desire to enter into a contract for
the performance of said demolition;
NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF
CAPE GIRARDEAU, MISSOURI, AS FOLLOWS:
SECTION l. The "Contract" , copy attached hereto marked
Exhibit "A" , between the City of Cape Girardeau, Missouri, and
Henry Warfield is approved as to form.
SECTION 2. The Mayor of the City of Cape Girardeau, Missouri,
is hereby authorized and directed to execute said Contract, copy
attached hereto marked Exhibit "A" , for and on behalf of the City
of Cape Girardeau, Missouri.
SECTION 3 . Payment of a sum of money by the City of Cape
Girardeau, Missouri to Henry Warfield for said demolition, is
hereby authorized to be made in accordance with the terms and
provisions of said Contract.
SECTION 4 . This ordinance shall be in full force and effect
ten days after its passage and approval.

DEMOLITION CONTRACT
This agreement is made on November , 1978, by and
between the City of Cape Girardeau, Missouri, a Municipal Cor-
poration, hereinafter referred to as "Owner" , and Henry Warfield
d/b/a Warfield Building Wrecking Company, 530 South Frederick,
Cape Girardeau, Missouri, hereinafter referred to as "Contractor" .
In consideration of the mutual covenants contained herein
and other good and valuable consideration, Owner and Contractor
aqree as follows :
SECTION l. WORK TO BE DONE.
Contractor shall demolish and remove the two (2) buildings
located at the Cape Girardeau Municipal Airport and designated as
Bazracks and Hangar Number 3 on the attached diagram marked
Exhibit "A" and made a part hereof. Contractor shall not remove
the foundations or slabs. Contractor shall remove the footings
for the main roof supports and all other debris and rubbish from
the site, and deposit it at a site satisfactory to the Owner.
All dirt required for filling any holes and for grading in
areas where holes are made by the operations of the Contractor
shall be obtained at a site satisfactory to the City Engineer.
Care should be taken to leave all sod in place, and to protect
all trees. Contractor will be responsible for any damage done to
existing trees. �
Sanitary sewers are to be removed at the direction and to
the satisfaction of the City Engineer. All utilities will be
disconnected prior to the Contractor beginning his wrecking
o�erations. The Contractor shall remove all utility lines at
the direction and to the satisfaction of the City Engineer.
The Contractor shall take necessary care to protect all
public and private property, and to leave it in substantially the

same condition as now exists.
All materials removed from the structures shall be the
property of the Contractor, and shall be removed by him from the
site to a location satisfactory to the Owner.
SECTION 2. LABOR AND EQUIPMENT.
Contractor shall provide all labor and materials, and
furnish and erect at its own expense, whatever equipment or works
may be necessary for the expeditious and proper execution of its
duties hereunder.
SECTION 3. OBTAINING PER1►1ITS.
Contractor shall secure, at its own expense, all permits,
licenses, franchises, and consents required by law or necessary
to perform its work and will give all notices and pay all fees
and otherwise comply with all applicable City, County, and State
laws, ordinances, rules and regulations.
SECTION 4. TERMINATION FOR DEFAULT.
Should Contractor at any time refuse or neglect to supply
adequate materials or equipment or a sufficient number of properly
skilled workmen, or fail in any respect to prosecute the work
with promptness and diligence, or fail to perform any of the
agreements of this Contract, Owner may at its election, terminate
this agreement, giving notice to Contractor in writing of such
election, and enter on the premises and take possession, for the
purpose of completing the work included under this agreement, of
all the materials, tools and appliances belonging to Contractor,
and to employ any other person or persons to finish the work and
to provide the materials therefor at the expense of Contractor.
SECTION 5. INDEMNIFICATION.
Contractor shall indemnify Owner from all claims, demands,
suits and actions of every name and description brought against
the Owner for or on account of any injuries or damages received
or sustained by any parties or party by or as a result of the
acts of omissions of said Contractor, his servants or agents, in

doing the work herein described, or by or as a result of any
negligence in guarding the same, or on account of any improper
equipment or materials utilized in performing said work.
SECTION 6. SURETY BONDS.
Contractor shall prior to commencing work furnish to Owner a
surety company bond, the form of the bond and the surety company
to be approved by Owner; in the amount of Four Thousand Dollars
($4, 000. 00) , conditioned on the performance by Contractor of all
of its duties hereunder.
SECTION 7. INSURANCE.
Contractor hereby agrees to file with the City prior to
commencement of the work, a Certificate of Znsurance �howing that
the Contractor has obtained a policy of General Liability Insurance
for the period of this contract insuring the Contractor against
liability for personal injuries arising out of the Contract in an
amount of $100, 000. 00 for any one person and $300, 000. 00 for any
one incident, and for property damage arising out of the contract
in an amount of $10, 000. 00.
SECTION 8. ASSIGNMENT OF RISK.
Contractor will bear all risk of damage to or failure of the
work it has done under this Contract until such work has been
completed and accepted by Owner.
SECTION 9. PAYMENT.
Upon the satisfactory performance by Contractor of its
duties under this Contract, and acceptance of said work by the
City Engineer, Owner will pay Contractor Four Thousand Dollars
($4, 000. 00) .
SECTION 10. TIME OF THE ESSENCE.
Time is of the essence in this agreement, and ContraGtor
agrees to use the utmost diligence and dispatch to speedily
complete the work herein described. Specifically, Contractor
agrees to begin work within ten (10) days after the date of this
Contract, and to complete the same within forty-five (45) working
days after. said contract date. In case this contract is not

completed within that length of time, the Contractor will pay the
Owner as liquidated damages and not by way of penalty, the sum of
Fifty Dollars ($50. 00) per day for each day over forty-five (45
working days that the work remains incomplete. Extensions of
these time periods may, at the option of the Owner, be granted to
the Contractor for delays caused by conditions beyond the Contractor's
control.
SECTION 11. CONTRACT DOCUMENTS.
The Contractor' s Bid Proposal, and the Special Provisions
For Building Removal and Cleanup of the Two Airport Buildings as
w�ll as the Diagram of the site are incorporated and made a part
of this agreement as though fully set out herein.
SECTION 12. ASSIGNMENT AND SUBLETTING.
Contractor shall not assign or sublet this Contract or any
portion thereof without the prior written consent of Owner.
S�CTION 13. NO WAIVER OF FUTURE BREACH.
The failure of Owner to insist, in any onr or more instances,
on a strict performance of any of the terms or the conditions of
this Contract, or to exercise any right herein contained, shall
not be construed as a future waiver or a relinquishment of the
provisions or rights, but the same shall continue and remain in
full force and effect. None of the terms or conditions of this
contract shall be altered, waived, modified or abandoned in any
manner except by written instrument executed by both parties.
IN WITNESS WHEREOF, the parties have executed this agreement
at Cape Girardeau, Missouri, the day and year first above written.

All work to be completed in accordance with the N:itional Huilding Code and
' all applicable City Oa�dinances and Standard Specificat:tons and State Lawa� and
per drawing sho+�ring site and buildinga. Structures to be removed are indicated.
