AN ORDINANCE APPROVING THE CHANGE IN OWNERSHIP
OF THE GRANTEE OF THE CABLE T.V. FRANCHISE FROM
JAMES ESTES, JERRY ESTES, CAPE GIRARDEAU CABLE
T.V. , INC. , AND CREST COMMUNICATIONS, INC. TO
JERRY ESTES AND CREST COMMUNICATIONS, INC; AND
FURTHER APPROVING THE TRANSFER OF OWNERSFiIP IN
CREST CONll�'IUNICATIONS, INC. FROM LARRY AND CALE
HUDSON TO TCI GROWTH, INCORPORATED, A NEVADA
CORPORATION WHICH IS A WHOLLY OWNED SUBSIDIARY OF
TELE COMMUNICATIONS, INC. , A DELAWARE CORPORATION
BE IT �7RDAINED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
��IISSOURI, I�S FOLLOWS:
SECTION 1. Pursuant to Section 7A-23 of the Code of Ordi-
nances of the City of Cape Girardeau, Missouri, the Grantee ' s
request to bring about a change in the ownership of Cape Gi-
rardeau Cable T.V. , a Missouri Partnership, the Grantee of the
Cable T.V. Franchise, as more specifically set forth below, is
hereby approved and authorized, provided that Cape Girardeau
Cable T.V. , a Missouri Partnership, and all of its partners prior
to this change of ownership shall remain fully obligated and
liable for full performance of the franchise agreement.
SECTION 2. Change of ownership in Cape Girardeau Cable
T.V. , a Missouri Partnership, from James Estes, Jerry Estes, Cape
Girardeau Cable T.V. , Inc. , and Crest Communications, Inc. to
Jerry Estes and Crest Communications, Inc. is hereby approved.
SECTIOiV 3. Chanc�e of ownership in Crest Communications,
Inc. from Larry Hudson and Cale Hudson to TCI Growth, Incorpo�ateu,
a Ivevada Corporation which is a wholly owned subsidiary of Tele
Communications, Inc. , a Delaware Corporation.
SECTION 4. This ordinance shall be in full force and effect
ten days after its passage and approval.
