AN ORDINANCE AUTHORIZING THE MAYOR OF THE CITY
OF CAPE GIRARDEAU, MISSOURI, TO EXECUTE A
LETTER OF INTENT WITH THE COUNTY OF CAPE
GIRARDEAU, MISSOURI AND CITY OF JACKSON,
MISSOURI, RELATING TO THE CONTINUED
PARTICIPATION IN THE I-55 JACKSON/CAPE
GIRARDEAU CORRIDOR PROJECTS AGREEMENT
WHEREAS, the Mayor and City Council has heretofore reviewed a
Letter of Intent, attached hereto and incorporated herein by
reference; and
WHEREAS, the Mayor and City Council deem it advisable to
execute said Letter.
NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF
CAPE GIRARDEAU, MISSOURI, AS FOLLOWS:
ARTICLE 1. That the Mayor of the City of Cape Girardeau,
Missouri, is hereby authorized and directed to execute a Letter of
Intent with the County of Cape Girardeau, Missouri, and City of
Jackson, Missouri, relating to the continued participation in the
I-55 Jackson/Cape Girardeau Corridor Projects Agreement. A copy of
said Letter is attached hereto and made a part hereof.
ARTICLE 2. If any section, subsection, sentence, clause,
phrase or portion of this ordinance is for any reason held invalid
or unconstitutional by any court of competent jurisdiction, such
portion shall be deemed a separate, distinct and independent
provision and such holding shall not affect the validity of the
remaining portions hereof.
ARTICLE 3. That the City Clerk of the City of Cape Girardeau,
Missouri, is hereby authorized and directed to attest to the
signature of the Mayor on the attached letter of intent, and to
record all necessary documents.
ARTICLE 4. This ordinance shall be in full force and effect
ten days after its passage and approval.

LETTER OF INTENT
I-55 Jackson/Cape Girardeau Corridor
RECITALS
WHEREAS, the County of Cape Girardeau, Missouri, City of Cape Girardeau, Missouri
and City of Jackson, Missouri (collectively, "Member Entities") each have the responsibility to
provide for the general health, safety and welfare of citizens within their respective jurisdiction
and that the provision of safe and effective transportation systems and highways is part of that
responsibility; and
WHEREAS, recognizing that a delay in correcting or improving the I-55 highway
system imperils the property and persons of the area, the Member Entities desire to protect
existing property and persons and enhance the economic viability of the region for the overall
betterment of the Member Entities, collectively and individually, by undertaking certain highway
and road projects consistent with their respective legal authority under state and federal law; and
WHEREAS, the Member Entities desire to cooperate and to take the reasonable steps
necessary to facilitate the prompt design, engineering, construction and completion of certain
highway improvements; and
WHEREAS, the Member Entities have entered into a certain intergovernmental
cooperation agreement, dated March 1, 1999, titled the I-55 Jackson/Cape Girardeau Corridor
Projects Agreement (the "Agreement") which provided a structure and mechanism for
undertaking certain highway improvements pursuant to the Missouri Transportation Corporation
Act, Chapter 238, RSMo (the "Act") along the I-55 and Jackson/Cape Girardeau Corridor; and
WHEREAS, the Agreement provided for the creation of a Transportation Corporation
and a cooperative funding arrangement with the Missouri Department of Transportation
("MoDOT") for the reconstruction of the I-55/Center Junction interchange and such other
projects along I-55 as agreed to by the Member Entities and MoDOT; and

WHEREAS, the I-55/Center Junction Project was conditionally approved by MoDOT
including the formation of a Transportation Corporation but said project did not proceed due to
changed circumstances; and
WHEREAS, the Member Entities desire to utilize the format and structure of the
Agreement and Act in evaluating the feasibility of constructing an interchange at I-55 and Main
Street/Coker Road.
NOW THEREFORE, for and in consideration of the premises hereinafter contained, the
undersigned hereby agree as follows:
1. Utilizing the format and structure of the Agreement, Transportation Corporation
and previous documents developed in connection with the I-55/Center Junction
Project, the undersigns will cooperate to conceptualize a private/public
partnership for the planning, design and construction of an I-55 and Main
Street/Coker Rbad Project (the "Project").
2. Subject to approval by Ordinance or Order of each Member Entity, the undersigns
will develop and submit to MoDOT a MoDOT Innovative Finance Application
for the Project.
3. Subject to approval by Ordinance or Order of each Member Entity, the undersigns
will work cooperatively to encourage and facilitate an intergovernmental
cooperation agreement with private and public entities desiring to develop the
area directly benefited by the Project.
4. This Letter of Intent may be terminated upon receipt of written notice of any
Member Entity to the other parties hereto.

AN ORDER AUTHORIZING THE COUNTY COMMISSION OF CAPE
GIRARDEAU COUNTY, MISSOURI,TO EXECUTE A LETTER OF INTENT BY
AND FOR THE COUNTY OF CAPE GIRARDEAU, MISSOURI, RELATIVE TO
THE CONTINUED PARTICIPATION IN THE 1-55 JACKSON/CAPE
GIRARDEAU CORRIDOR PROJECTS AGREEMENT; FURTHER SAID
ORDER SHALL AUTHORIZE AND DIRECT THE COUNTY CLERK TO
ATTEST THE SIGNATURE OF THE CAPE GIRARDEAU COUNTY
COMMISSION.
WHEREAS, the County Commission have heretofore reviewed a Letter of Intent
marked Exhibit A and attached hereto and incorporated herein as if fully set forth; and
WHEREAS, the County Commission of the County of Cape Girardeau, Missouri,
deem it advisable to execute said letter.
NOW, THEREFORE, BE IT ORDAINED BY THE COUNTY COMMISSION
OF CAPE GIRARDEAU COUNTY,AS FOLLOWS:
Section 1. That the County Commission of Cape Girardeau County, Missouri,
approve the LETTER OF INTENT marked Exhibit A and attached hereto and
incorporated herein as if fully set forth by the County of Cape Girardeau. It is the belief
of the County Commission that it is in the best interest of the citizens of the County of
Cape Girardeau, Missouri, that the County enter into said Letter of Intent.
Section 2. That the County Commission is hereby authorized and directed to
execute said Letter for and on behalf of the County of Cape Girardeau, Missouri.
Section 3. That the County Clerk of the County of Cape Girardeau is hereby
authorized and directed to attest to the signatures of the County Commission on the
attached letter of intent.
