RESOLUTION NO.
A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE AN ADDENDUM TO AGREEMENT TO THE
PROFESSIONAL SERVICE AGREEMENT WITH ALLIANCE
WATER RESOURCES, INC., FOR OPERATION OF THE
CITY OF CAPE GIRARDEAU'S WATER SYSTEM
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City
of Cape Girardeau, Missouri, is hereby authorized to execute an
Addendum to Agreement to the Professional Service Agreement with
Alliance Water Resources, Inc., for operation of the City of
Cape Girardeau's water system. A copy of said Addendum to
Agreement is attached to this Resolution and made a part hereof.

ADDENDUM TO AGREEMENT
This Addendum to Agreement has been entered into this 9,640 day of
2012, by and between the City of Cape Girardeau, a municipal corporati6n of the.State of
Missouri (hereinafter referred to as "Owner") and Alliance Water Resources, Inc. a corporation
organized and existing under the laws of the state of Missouri (hereinafter referred to as
"AWR".)
WHEREAS, Owner and AWR entered into a Service Agreement on March 14, 2007 for
operation and maintenance services for public water supply and distribution systems, and
WHEREAS, Owner and AWR wish to extend said agreement through June 30, 2014, and
WHEREAS, it is understood Owner is desirous of a re-evaluation of the scope of service
provided by AWR after the Owner's acceptance of the new wastewater treatment plant, and
WHEREAS, Owner and AWR wish to be able to further extend said agreement for up to an
additional 6 months after June 30, 2014, upon mutual written agreement of the City Manager of
the Owner and the President of AWR prior to that date.
NOW THEREFORE, the term of said Agreement is hereby extended to June 30, 2014, subject
to the right of extension.
IN WITNESS WHEREROF, the parties have caused this Amendment to be executed as of the
first date written above.
