A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE AMENDMENT NUMBER 3 TO THE GENERAL
SERVICES AGREEMENT WITH JACOBS ENGINEERING
GROUP, INC., FOR THE WASTEWATER TREATMENT
PLANT PROJECT, IN THE CITY OF CAPE
GIRARDEAU, MISSOURI
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City
of Cape Girardeau, Missouri, is hereby authorized to execute
Amendment Number 3 to the General Services Agreement with Jacobs
Engineering Group, Inc., for the Wastewater Treatment Plant
Project, in the City of Cape Girardeau. A copy of said
Amendment Number 3 is attached to this Resolution and made a
part hereof.

This Amendment is entered into on the effective date noted above pursuant to the "General
Servcies Agreement" between CITY OF CAPE GIRARDEAU, MISSOURI ("Client") and
JACOBS ENGINEERING GROUP INC. ("Consultant"), dated July 21, 2009, ("Agreement").
The Agreement is incorporated herein and forms an integral part of this Amendment. However,
in case of conflict, the terms of the Amendment shall control.
Services Authorized
Client authorizes Consultant to perform the Services described in Exhibit A attached hereto and
incorporated herein, which Exhibit A is marked with the above noted Amendment No. 3 and
consists of ten (10) pages.
Compensation
To the extent and amount invoiced, Consultant will be compensated for this Amendment on the
following basis of reimbursement:
1. For the salary costs of its professional, technical and supporting personnel for the time
during which they are directly employed in services covered by this Task, multiplied by a
factor of 2.1 for office labor and 1.9 for field labor to cover overhead and profit.
a. Salary costs are defined as the salaries paid for regular time and overtime
(including any premium overtime) worked.
b. Included in overhead are:
L Provision for applicable annual salary related expenses, including sick
leave, vacation pay, holiday pay and other ordinary and customary paid
time off, bonuses, the employer's portion of social security,
unemployment and other payroll taxes, Employee's Retirement and
Benefit Plan contributions, employer's portion of group hospitalization
and medical insurance, and the cost of worker's compensation insurance.
ii. The salaries of officers, except for technical or advisory services directly
applicable to the project.
iii. Rent and costs of light, heat and water; equipment depreciation and
maintenance cost; costs of office supplies and reproduction of data for our
internal use; general communications expense, including local telephone
calls and postage; taxes, insurance premiums and license fees; automotive
expense and other transportation and travel expense not chargeable to
specific contracts; and other miscellaneous costs.

2. For the following direct costs:
a. Travel, subsistence, and incidental expenses of personnel while traveling in
connection with this Task.
b. Transportation by passenger automobiles that Jacobs supplies intermittently in
connection with this Amendment, at the prevailing federal mileage reimbursement
rate. All costs of owned, leased or rented passenger vehicles assigned to this
Amendment and car allowances granted to management and supervisory
personnel are reimbursable. Reimbursement for the cost of special types of
vehicles will be at rates to be mutually agreed upon when such vehicles are
required.
c. Reproduction of drawings, photographs, maps, charts and reports which are
prepared for the Owner's periodic or interim review and also the cost of the
reproduction which constitute the delivery of services.
d. Insurance required by Owner in addition to the coverage or in excess of the limits
normally carried.
e. Subcontracted services such as, but not limited to, borings, surveys, testing acid
computing services, if required in the performance of this Amendment.
3. Estimate of Cost of Consultant's Services
a. Consultant estimates that the total cost of the services for Amendment No. 3 will
be $ 1,937,600. Jacobs will consult with the Owner and obtain the Owner's
consent before its costs exceed this estimate. Jacobs does not guarantee, however,
that the cost of the services required by this Agreement will not exceed the
estimated amount.

EXHIBIT A — SCOPE OF SERVICES
AMENDMENT NO.3
Between City of Cape Girardeau (City) and Jacobs Engineering Grou Inc. (Jacobs)
The scope of services under this Amendment includes additional design phase services for the
new wastewater treatment plant including revised biosolids processing system procurement and
design, and construction phase services including shop drawing review, preparation of a detailed
O&M manual for the treatment plant, preparing record drawings, and providing resident project
representative services. The tasks are outlined below.
Task 1 — Additional Design Services for the Wastewater Treatment Plant
A. Jacobs is currently working towards completion of the Facility Plan, Final Design and
Bidding Phases of the new Wastewater Treatment Plant as described in Amendment No.
1, dated July 21, 2009, and Amendment No. 2, dated May 19, 2010.
B. The additional design phase services include:
1. Revisions to the Facility plan. The Facility Plan was originally developed and
submitted in August 2010. This had to be revised to incorporate the new sludge
processing system.
2. Additional Soil Borings. Based on the findings from the initial soil borings, it
was recommended that additional soils borings be completed for the design of
the structures using pipe piles. This was needed to gather additional
information on the karst geological conditions at the plant site, and to reduce
the potential risk during construction.
3. Procurement of the sludge drying equipment. The sludge drying equipment is
being pre -procured by preparing two separate bidding documents for two
manufactures for their proposals and bids.
4. Design of the new sludge drying system. Design for the new sludge processing
system and building using sludge drying. This also included making the
necessary revisions to the site layout.
5. Additional structural design for the project, including:
a. The design of the foundation and the bottom half of the influent pump
station wet well, which will be deep in the bed rock and the top half in earth
b. The expanded biosolids building with individual pile foundation for the
various items of equipment and a two-level roof for the building
c. The driven pile foundations for all other structures except the
Administration building to overcome the unfavorable karst geological
conditions. Our original report assumed foundation of either spread
footings or drilled piers; and the use of small driven piles produces a more
complicated foundation design.

Task 2 — Construction Phase Services
Jacobs will provide construction phase services to review contractor submittals, to issue
change orders relative to changed conditions, attend progress meetings, provide office
support to the Resident Project Representative, review contractor pay applications, and
develop a detailed Operation & Maintenance Manual. Jacobs will also provide Resident
Project Representative services to coordinate construction phase engineering services in the
field, coordinate construction Contractor questions, and observe for conformance of the
construction with the construction Contract Documents. Jacobs will also provide
construction closeout services and follow-up services after construction closeout, as
described herein.
The performance of services by Jacobs during construction shall not relieve the construction
Contractor(s) of responsibility to execute the work in accordance with Contract Documents.
Neither the City nor Jacobs shall be responsible for construction means, methods, techniques,
sequences and procedures employed by the construction Contractor(s) in the performance of
the construction work or the safety precautions and programs incidental to the work of the
construction Contractor(s). Neither the City nor Jacobs shall be responsible for:
• the acts or omissions of any construction Contractor or its subcontractors, suppliers,
or any individual or entity performing or furnishing any of the construction work; or
• the failure of any construction Contractor to carry out it's work in accordance with the
construction Contract Documents.
A. Basic Construction Phase Services (Project Manager and Design Team)
The following tasks are included:
1. Participate in a pre -construction meeting with the Owner and the construction
Contractor(s). Jacobs will arrange the meeting and develop meeting notes for
distribution to the participants.
2. Attend construction progress meetings and visit the job sites on a monthly basis
during construction to observe as an experienced and qualified design professional
the progress and quality of Work. Such visits and observations by Jacobs are not
intended to be exhaustive or to extend to every aspect of the construction Contractor's
work in progress or to involve detailed inspections of construction Contractor's work in
progress beyond the responsibilities specifically assigned to Jacobs in this Agreement
and the construction Contract Documents, but rather are to be limited to spot checking,
selective sampling, and similar methods of general observation of the construction
Work based on Jacobs' exercise of professional judgment as assisted by the Resident
Project Representative. Based on information obtained during such visits and such
observations, Jacobs will evaluate in general if construction Contractor's work is
proceeding in accordance with the construction Contract Documents. Jacobs shall keep
City informed of the progress of the construction Work. Meeting notes will be
developed with the help of the general contractor and distributed to the Owner and
Construction Contractor(s).
3. Receive shop drawings, catalog cuts, samples, and other required submittals from the

construction Contractor(s). Review shop drawings, samples, and other required
construction Contractor submittals. Review will be only for conformance with the
information given in the construction Contract Documents and compatibility with the
design concept of the completed Project as a functioning whole as indicated in the
construction Contract Documents. Review of such submittals is not conducted for the
purpose of determining the accuracy and completeness of other details such as
dimensions and quantities or for substantiating instructions for installation. Jacobs'
approval of specific items shall not indicate an approval of an assembly of which the
item is a component. Jacobs' review and recommendation shall not extend to means,
methods, sequences, techniques or procedures of construction, or to safety
precautions or programs incident thereto, as these are the responsibilities of the
construction Contractor. When professional certification of performance
characteristics of materials is required of the construction Contractor by the drawings
or technical specifications, Jacobs shall be entitled to rely upon such certification.
Jacobs will not be liable for the results of interpretations or decisions rendered in
good faith in connection with the referenced submittals. Jacobs' action shall be taken
with such reasonable promptness as to cause no delay in the Work, while allowing
sufficient time in Jacobs' professional judgment to permit adequate review. Shop
drawing review will be completed within 21 calendar days from the receipt of the
information from the construction Contractor (this is the time indicated in the contract
documents). The reviewed submittals will be returned to the construction Contractor.
4. Respond to questions and requests for information (RFI) from the construction
Contractor and Resident Project Representative requiring interpretation or response to
changed conditions.
5. Prepare working drawings or change orders, including recommendation and submittal
of contract modifications for approval by the City and review and recommendation of
time extension requests from the construction Contractor for approval by the City.
6. Review and recommend for approval Contractor payment applications.
7. Hard Copy Operation and Maintenance Manual. Prepare a detailed operation and
maintenance (O&M) manual for the new treatment plant. The purpose of this manual
is to give the plant personnel the necessary information, techniques, and reference to
efficiently operate the plant facilities. The manual is independent and in addition to
the equipment manuals to be supplied by the Contractor. It is envisioned that this will
include the following:
• Detailed operational description of the various processes of the new facility,
including influent pumping, headworks, SBR, UV disinfection, service water
pumping, and biosolids processing system.
• Maintenance management, including inspection needs and schedule, as well as
emergency and corrective maintenance.
• Laboratory requirements, including sampling procedures, operating (MDNR)
permit requirements, and Quality Assurance.
• Emergency Operating & Response program.
• Record keeping.
• We would compile the above information into three-ring binders that would also
include:
o Figures including a hydraulic profile and Process & Instrumentation Diagrams

(taken from the design).
o Vendor supplied operation and maintenance (O&M) manuals (separately
bound).
8. The City also requests that Jacobs implement an electronic operations guide (EOG),
which is a user friendly system that allows the plant personnel timely access to the
required operation and maintenance related information, standard operating
procedures, and other pertinent information. The EOG offers a number of advantages
including:
• The multimedia -based documentation is easier to maintain because it allows
making document/information changes quickly and consistently, therefore accuracy
of information is enhanced.
• Republication and distribution of information is much easier due to its electronic
format allowing organization under a multimedia environment and use of
internet/intranet technology (HTML based).
• Information accessibility is enhanced due to the portability of vast amounts of
information allowing operations and maintenance personnel to have access to
drawings and information required through the plant local area network (LAN)
connection.
• The use of a multimedia -based environment aids the training of existing plant
personnel as well as the orientation of new employees.
9. Participate in the wastewater treatment plant start-up activities. We have assumed
that this will require an instrumentation & controls person to be on site during the
start-up for up to 5 weeks. In addition, we have assumed that our Project Manager
would need to be involved during start-up as well as support from other engineering
disciplines.
10. Periodic site visits by Jacobs personnel to, and representation by the Resident Project
Representative at the Site, will be to enable Jacobs to better carry out the duties and
responsibilities assigned to and undertaken by Jacobs during the Construction Phase,
and, in addition, by the exercise of Jacobs efforts as an experienced and qualified
design professional, to provide for the City, a greater degree of confidence that the
completed Work will conform in general to the Contract Documents and that the
integrity of the design concept of the completed Projects as a functioning whole as
indicated in the Contract Documents has been implemented and preserved by
Contractor. Jacobs shall not, during such visits or as a result of such observations of
construction Contractor's work in progress, supervise, direct, or have control over
construction Contractor's work, nor shall Jacobs have authority over or responsibility
for the means, methods, techniques, sequences, or procedures of construction selected
by construction Contractor, for safety precautions and programs incident to
construction Contractor's work, or for any failure of construction Contractor to
comply with laws and regulations applicable to construction Contractor's furnishing
and performing the construction Work. Accordingly, Jacobs neither guarantees the
performance of any construction Contractor nor assumes responsibility for any
construction Contractor's failure to furnish and perform its work in accordance with
the construction Contract Documents.

Computerized Maintenance System (CMMS) Implementation Services
The City seeks the services of an experienced consultant to:
(1) assist in the selection of a Computerized Maintenance Management System (CMMS)
(2) provide implementation services for the selected CMMS software at the new
Wastewater Treatment Plant (WWTP).
This system will provide managers the tools to effectively and efficiently manage and
maintain their significant investment in wastewater treatment infrastructure.
The purpose of this portion of the project is to facilitate the CMMS vendor selection
process, develop the equipment asset database and equipment asset hierarchy and naming
convention, and assist the CMMS vendor and WWTP staff with implementation of
software for the new WWTP. Our initial focus will be on working closely with the core
staff at the City Engineering Division and Public Works to create a framework that will
serve as a basis for the data collection and CMMS implementation efforts. The software
will be purchased from an allowance established by the City for this purpose.
SCOPE OF SERVICES - CMMS
The City wishes to move toward a more "asset management" focused approach to facility
maintenance. The goal is to ultimately utilize the CMMS in conjunction with asset
management, financial, and management decision applications. This will involve the
activities discussed as follows:
Phase 1 — CMMS Software Selection
Task 1 — Project Initiation and Kick-off
Jacobs will facilitate three (3) meetings with key City stakeholders during the first phase
of this project. The first meeting will be to review project objectives, identify all
stakeholders, establish all points of contact and communication requirements, and review
the project schedule. Initial questions and concerns will be addressed at this meeting.
Staff acceptance and cooperation at the beginning of the project is critical to the project's
successful implementation. We will also discuss specific workflow process objectives of
the City stakeholders as they relate to the CMMS implementation.
Task 2 — CMMS Selection
The second and third meetings will be held as workshops. In the first workshop, Jacobs
will present CMMS software options available to the City for implementation at the
WWTP. Jacobs will strive to present at least three (3) software options for evaluation.
Further, we anticipate that additional hardware and software may need to be purchased
and utilized during the project and then utilized by City staff for activities going forward
in the CMMS program. These issues will be discussed, as well as potential cost
implications. Additionally we will explore the option to have the selected software

vendor "Host' the application, potentially reducing the requirement for additional
hardware.
We recommend that a site visit be made to at least one similar facility utilizing a CMMS
so that the City staff can hear first-hand the benefits and challenges related to the CMMS
implementation. A second workshop will be held with the City staff for CMMS software
selection and to review the future project activity schedule. Activities that will be
discussed and defined in this meeting include:
• Purchasing schedule for required software and hardware;
• Finalization of specific workflow process objectives for the CMMS;
• Coordination with software integrator, as appropriate, for the CMMS
implementation;
• Development of report formats;
• Defining the data collection needs;
• Identification of key City staff to work with Jacobs on data collection and
implementation efforts; and
• Update implementation schedule.
Deliverable - Technical Memorandum documenting workshop activities; identified points
of contact and communication requirements, and selected vendor to supply CMMS
software.
Phase 2 - Database Development/CMMS Implementation
Task 3 — Work Flow/Configuration
After the completion of Phase 1 activities, Jacobs will conduct a meeting with the City
staff to begin Phase 2 activities, including naming of the City Phase 2 Core Team,
identifying required source documentation (i.e. location of existing equipment operations
and maintenance manuals), and identifying site access requirements/restrictions.
Additionally at this meeting a flow chart of the anticipated CMMS work flow will be
established. This process will provide detail for configuration efforts and will be
reviewed prior to final system configuration and cutover to the CMMS production
instance. We anticipate one meeting for this task.
Deliverable — Technical Memorandum documenting meeting minutes, identification of
stakeholders, identification of source materials, and delineation of site access
requirements.
Task 4 - Field Data Collection
Data collection and preparation is critical to the success of a CMMS program. Jacobs
staff members, with support from the City staff, will develop the initial inventory of
major equipment items. Jacobs intends to use handheld devices and a customized
database to capture the majority of the facility equipment. We have found this
methodology results in fewer errors due to the reduction in number of times data is

transferred. If necessary, equipment data sheets developed specifically for the WWTP
will be used to supplement this process.
Specific activities will include:
• Development of Database/Data Collection Forms,
• Data Collection Activities,
• Development of CMMS Vendor Equipment Asset Spreadsheets, and
• Population of Equipment Asset Spreadsheet
Deliverable - Draft Equipment Asset Spreadsheet populated with asset data.
Task 5 —Development of Naming Conventions and Systems Hierarchy
Jacobs will develop a system hierarchy and intuitive naming conventions for the new
WWTP. The system hierarchy will be configured in a manner to identify logical
divisions of the plant processes. These divisions will provide important cost roll -up
information to assist in future budget preparation. The naming convention will be used in
developing the equipment hierarchy as well as identifiers for warehouse inventory. This
is a key component of the entire CMMS project.
Deliverable — Draft Naming Conventions and System Hierarchy
Task 6 - Data Verification and Validation
Jacobs will check and validate the data entered into the asset spreadsheet. Verification
will involve checking the data and making sure it represents assets that need to be in the
asset spreadsheet. Jacobs will also validate the entered information by cross-checking
data against other source documents prior to inputting it into the CMMS system.
Deliverables - Technical Memorandum documenting project activities, Final Equipment
Asset Spreadsheet, Final Naming Conventions, and Systems Hierarchy.
Task 7 — Implementation Assistance
Jacobs will assist and coordinate efforts with the selected CMMS vendor as necessary to
support the implementation process. Including delivery of asset database and hierarchy,
defined work flow, and permission/security levels
Task 8 —Training
Jacobs will provide assistance with CMMS vendor provided training. We will review
and approve training materials and course content to ensure that the training is
appropriate for Basis User, Administrators, and IT support groups. Training will be
scheduled to occur as close to "Go Live" and cut over to the production CMMS instance
as can reasonably be accomplished.

Resident Project Representative Services.
Jacobs will provide resident project representative (RPR) services and coordinate
these services with the City. The Resident Project Representative will be located in a
temporary office trailer provided by the Contractor. The City will provide City's
personnel to assist the RPR with construction inspection activities for work items
such as influent sewer and effluent pipe installation, decommissioning of the existing
treatment plant, concrete, mechanical piping and miscellaneous work at the new plant
site.
The following tasks are included for the Resident Project Representative Services:
1. Receive the construction Contractors schedules and any required updated
schedules, and review for conformance with the construction Contract
Documents. Such review shall not extend to means, methods, sequences,
techniques, or procedures of construction, that are the responsibility of the
construction Contractor.
2. During the course of the work, log receipt and verify those certificates, warranties
and other data required by the construction Contract Documents to be assembled
and furnished by the construction Contractor(s).
3. Witnessing, where appropriate, on site tests required by the specifications and
report to the City if their performance is unsatisfactory.
4. Generally review the construction, observe the progress and quality of the
construction work. Observation is to determine, in general, if the work is
proceeding according to the construction Contract Documents and shop drawings.
5. Order, where appropriate, testing by the City to check or confirm test results
provided by the construction Contractor(s).
6. Provide liaison between the City and the construction Contractor(s).
7. Participate in meetings with the construction Contractor(s) and the City once
every month, or on an as -needed basis to monitor and review the progress of the
work and to coordinate public notification.
8. Keep a diary or log book, in ink, recording hours on the job site, weather
conditions, labor and equipment employed on the job, the location and nature of
work being performed, the progress of the work, instructions given, accidents,
data relative to questions of extras or deductions, list of visiting officials and
representatives of manufacturers, fabricators, suppliers and distributors, daily
activities, decisions, observations in general and specific observations in more
detail as in the case of observing test procedures.
9. Review the monthly construction Contractor estimates for payment. These will
be reviewed for compliance with established procedures, noting particularly the
work completed and material delivered to the construction site or at an approved
off site locations. Recommend payment by the City, based on the review.
10. Coordinate requests for information (RFI) submitted by the construction
contractor, initiate change orders and working drawings required to meet changed
conditions.
11. Provide interim and final inspections for general conformance with the Contract

Documents and prepare recommendations on acceptance of the work.
12. Report immediately to City upon the occurrence of an accident upon notification
by the Contractor. Record and obtain all possible information concerning
circumstances, weather, unsafe conditions, etc. Obtain pictures, if available, for
the project records. This information shall be forwarded immediately to the City.
The Contractor shall be responsible for the safety of the site, its workers and
subcontractors, vendors and site visitors.
13. Plan and direct wastewater treatment plant start-up activities. It is assumed that
this will take place during the 24 -month construction period.
14. Except upon written instructions of City, the Resident Project Representative shall
not:
• Advise or issue directions relative to any aspect of the means, methods,
techniques, sequences or procedures of construction unless such is specifically
called for in the Contract Documents.
• Advise or issue directions as to safety precautions and programs in connection
with the work.
• Direct a Contractor to do work at a specific time or in a certain way unless it
is an emergency that would endanger life or property.
B. Construction Closeout Services
1. At a time near substantial completion of the work, conduct a final inspection in
the company of the City and Contractor and prepare a final "punchlist" of items to
be completed or corrected. Prepare and submit this punchlist to the Contractor.
2. After the Contractor has had time to correct items on the list, perform an
additional inspection to verify that all items on final "punchlist" have been
completed or corrected and make recommendations to the City concerning
acceptance and final payment.
3. Produce Record Drawings: Supply the City with two (2) full-size record drawing
sets and an AutoCAD digital version.
C. Post Construction Follow-up Activities
Jacobs will provide follow-up services as required by the Missouri Department of
Natural Resources (DNR). Quarterly visits to the treatment plant for a period of one
year after the plant is put in operation are required. A letter report will be prepared
after each visit and submitted to DNR. The report will discuss:
• Compliance of the completed construction with design objectives.
• Resolution of any problems identified including required corrective measures,
cost and schedule.
D. Assumptions and Clarifications to the Scope of Work
1. The City will prepare and hold the construction contracts with the Contractor for
the project.

2. City has assigned responsibility for safety for all others at the project site to the
Construction Contractor(s). Such contractors are solely responsible for the
preparation of safety plan for the project site, for the coordination of each safety
plan with those of other contractors, for monitoring the conformance of its
respective employees, subcontractors and agents to the requirements of its safety
plan, and for enforcing their full compliance. Owner shall cause its contractors
and all other persons for whom it is responsible to comply with all applicable laws
and regulations pertaining to occupational safety and health and prepare an
appropriate safety plan for the project site. Jacobs shall take all necessary
precautions for the safety of its employees and shall comply with all applicable
laws and regulations pertaining to occupational safety and health at the project
site.
3. No site visits to manufacturers' facilities for shop/performance testing or
witnessing is included.
4. Two (2) copies of the Draft hard copy O &M manual will be provided to the City
for review. Two (2) copies of the Final hard copy O &M manual will be provided
to the City.
5. RPR services are anticipated for 24 months (730 calendar days). We have
assumed the following level of effort for Jacobs personnel:
a. Main RPR representative (anticipated to be Keith Clark) — full time for the
24 months.
b. RPR for overseeing the Electrical and Controls aspect of the construction
— full-time for 6 of the 24 months.
c. City will provide City's personnel to assist the RPR with construction
inspection activities for work items such as overseeing the concrete and
mechanical piping work, influent sewer and effluent pipe installation,
decommissioning of the existing treatment plant, and administrative
support for submittals, RFIs, change orders and pay applications.
6. Expenses related to the RPR and the temporary assignment for treatment plant
start-up activities to cover lodging, meals, cellular phone, vehicle, and incidental
personal items will be partially billed to the City. Jacobs will bill the City for
approximately 50% of these expenses and the remaining 50% will come out of
Jacobs margin for the project.
7. Costs for the CMMS software are not included. It is assumed that the software
will be purchased from an allowance established by the City.
8. We have assumed that one (1) site visit will be made to a similar facility utilizing
a CMMS. We have included costs for up to four (4) City staff to attend this visit.
