RESOLUTION NO.
A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE A CONTRACT FOR ELECTRONIC WASTE
COLLECTION AND DISPOSAL WITH MIDWEST
RECYCLING CENTER
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City
of Cape Girardeau, Missouri, is hereby authorized to execute a
Contract for Electronic Waste Collection and Disposal with
Midwest Recycling Center. A copy of said Contract is attached to
this Resolution and made a part hereof.

TIRE UNION
CONTRACT FOR PROFESSIONAL SERVICES
OF
ELECTRONIC WASTE COLLECTION AND DISPOSAL
BY AND BETWEEN
MIDWEST RECYCLING CENTER
AND
THE CITY OF CAPE GIRARDEAU, MO

This agreement is made and entered into on the 2- day of October, 2010, by
and between the City of Cape Girardeau, MO and Midwest Recycling Center,
located at 1240 N. Truman Blvd Crystal City, MO 63019 and it's south
warehouse located at 915 Fifth Streeet Park Hills, MO 63601, hereinafter
referred to as "MRC".
Now, therefore, in consideration of each of the agreements contained herein, the
parties agree as follows:
1. Services to the City of Cape Girardeau: MRC agrees to accept,
process, and manage all material involving electronic recycling. MRC agrees to
perform said activities at no cost to the City. MRC shall provide the service of its
employees to the City of Cape Girardeau for the purpose of assisting with the
collection of electronic scrap hosted by the City including:
A. Accepting all types of electronic equipment, with the exception of
hazardous waste items including but not limited to,thermostats and smoke
detectors. MRC will provide personell for the purpose of unloading, stacking, and
securing all electronic material during the regular business hours of 9 am to 5
pm, Monday thru Friday.
B. Providing a truck to transport electronic scrap and transporting the
items to MRC's facility for recycling. All items collected become the property of
MRC.
C. Within thirty (30) days of the collection, MRC agrees to provide the City
of Cape Girardeau with a detailed summary on the amount (number of items and
pounds) of materials processed.
D. All services will be done in accordance with all Laws put forth by the
Environmental Protection Agency and Missouri Dept. of Natural Resources.
MRC agrees to follow all "Best Management Practices" with regards to Electronic
Recycling and the processes to do so.
2. City of Cape Girardeau to Supply: The City of Cape Girardeau agrees
to supply MRC with construction of a secured area with an approximate
measurement of forty eight feet by sixteen feet connected to the currently vacant
office and bathroom located in the residential drive thru area inside the recycling
center. This secured area needs to have a garage door on one end and an
access door on other next to office. There will be an attachment to show location
of secured area. The City of Cape Girardeau agrees to lease this space to MRC,
and MRC agrees to pay the City of Cape Girardeau the sum of Five Hundred
dollars per month ($500.00), on or before the first day of the month, for a period
of one year with the option to renew each year for a total of four additional years
if both parties agree to maintain the original terms of this agreement.
3. Independent Contractor: City of Cape Girardeau and MRC agree that
MRC and its employees will act as independent contractors in the performances
of its duties under this agreement. Neither the City of Cape Girardeau, nor MRC
shall have the authority to obligate or bind the other without the express written
consent of the other party.
4. Confidential Information: MRC agrees that any information received by
MRC from the City of Cape Girardeau's residents, businesses, employees and
representatives during the term of this agreement , and at any time thereafter,
concerning the personal, financial, or other affairs of a private or individual
business will be treated by MRC in full confidence and will not be revealed to any
other person, firm, or corporation without the express consent of the City of Cape
Girardeau or where otherwise required by law, regulation or legal process.
5. MRC to Hold Harmless the City of Cape Girardeau: MRC will
indemnify and hold harmless the City of Cape Girardeau from all liability and
claims of liability arising out of or incident to MRC's performance of it's
obligations under this agreement.
6. Time of Performance: MRC will provide the services described in this
agreement for the date to be determined based on the construction of agreed
upon area.
7. Consideration: In consideration for the services provided by MRC and
prearranged by the City of Cape Girardeau, the general public will pay to MRC
$20.00 for each television and $10.00 for each computer monitor collected to
cover costs associated with the proper recycling of heavy metals found in every
television and monitor. Every other electronic item that is not hazardous will be
accepted at no charge.
MRC agrees to keep accurate account of every television and monitor
and to pay the City of Cape Girardeau a fee of one dollar ($1.00) for every
television and monitor that is taken in at this facility to be recycled. Exception to
this would include school districts and non -for profit entities that MRC may decide
to offer their recycling services for free.
IN WITNESS WHEREOF, the parties have executed this agreement and year
first written above.
