RESOLUTION NO.
A RESOLUTION AUTHORIZING THE INTERIM CITY
MANAGER TO EXECUTE A MEMORANDUM OF AGREEMENT
FOR PARKING LOT MODIFICATIONS WITH THE
MISSOURI DEPARTMENT OF TRANSPORTATION FOR
CONSTRUCTION OF VETERAN'S MEMORIAL DRIVE, IN
THE CITY OF CAPE GIRARDEAU, MISSOURI
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI, AS FOLLOWS:
ARTICLE 1. The Interim City Manager, for and on behalf of
the City of Cape Girardeau, Missouri, is hereby authorized to
execute a Memorandum of Agreement for Parking Lot Modifications
with the Missouri Department of Transportation for construction
of Veteran's Memorial Drive, in the City of Cape Girardeau,
Missouri. A copy of said Agreement is attached to this
Resolution and made a part hereof.

MEMORANDUM OF AGREEMENT
FOR
PARKING LOT MODIFICATIONS

Whereas, the Office of Administration, Division of Facilities Management, Design and
Construction (DFMDC) is going to issue a construction contract for the installation of a New
Emergency Generator and Fire Lane, and
Whereas, the City of Cape Girardeau have plans to extend Veteran's Drive south across the
north west parking lot of the Cape Girardeau Veterans Home site resulting in the loss of facility
parking,
Now Therefore, in consideration of the mutual covenants and consideration recited herein, the
parties agree as follows:
1) The DFMDC shall include in the construction contract for DFMDC Project U0808-01, New
Emergency Generator and Fire Lane, Cape Girardeau Veterans Home, ten (10) additional
parking spaces and sidewalk to the south section of the northwest parking lot as shown
on plans prepared by Horner and Shifrin, Inc. 5200 Oakland Ave., St. Louis, MO 63110-
1490 (Attachment A).
2) The DFMDC shall require the contractor to identify in the second submittal bid
documents a cost breakdown for ten (10) additional parking spaces and sidewalk.
3) City of Cape Girardeau having reviewed the attached plan prepared by Horner and
Shifrin, and shall make a single payment to the contractor (contracted by the DFMDC) in
the amount indicated in the cost breakdown, but not to exceed Twenty -Nine Thousand
Two Hundred and Eighty -Two dollars ($29,282).
Other Terms and conditions:
1) Modification, amendment, or termination of this agreement, as necessary, shall be
accomplished by the signatories in the same manner as the original agreement.
2) The signatories shall resolve disputes regarding the completion of the terms of this
agreement.
3) This agreement shall be null and void if its terms are not carried out within one (1) year
from the date of its execution, unless the signatories agree in writing to an extension for
carrying out its terms. 0 vers j "i't JW
4) DFMDC shall maintain all construction -eversito nd approval of work to be carried out
under the terms of this agreement.
5) Prevailing wage rates shall be paid to all private contractors used for the work.
