H. SMITH & COMPANY, INC., IN THE CITY OF CAPE GIRARDEAU, MISSOURI BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU, MISSOURI, AS FOLLOWS: ARTICLE 1. The City Manager, for and on behalf of the City of Cape Girardeau, Missouri, is hereby authorized to execute Amendment No. 7 to the General Agreement for Engineering Services with S. H. Smith & Company, Inc., in the City of Cape Girardeau. A copy of said Agreement is attached to this Resolution and made a part hereof. PASSED AND ADOPTED THIS DAY OF 9>'( 20. Smith&Co. and The City of Cape Girardeau, Missouri Master Agreement executed on March 4, 2004 AMENDMENT NO. 7 This Amendment modifies and amends the General Agreement for Engineering Services dated March 4, 2004 between The City of Cape Girardeau, hereinafter referred to as the "City" and S.H. Smith& Co., Inc., hereinafter referred to as "Engineer". This amendment shall be for the purpose of conducting a stormwater feasibility study of the Whitener/Silver Springs — Themis/Silver Springs watershed. The project is generally to consist of studying areas in the watershed that are prone to flooding and making recommendations as to what improvements could be made to the drainage system to minimize flooding. SECTION I: SCOPE OF WORK GENERAL: The Engineer shall submit detailed design progress reports with each application for payment. Engineer shall: 1. Appoint a licensed professional engineer to serve as Project Engineer, who will be responsible for all technical aspects of the project 2. Develop a map of the watershed and identify problem areas with the city staff. 3. Conduct field observations and measurements to identify problem areas in the field. This will include looking at flow restrictions in the drainage basin and low areas susceptible to ponding. Conduct an inventory of the culverts, prepare six to ten cross sections of the drainage ditch, and perform up to three field visits of the area during heavy precipitation. 4. Compute carrying capacities of the drainage ditch based on the field study and compare them against a 25 -year storm event. This would include investigations of the storm water detention basins in the watershed. 5. Study potential improvements that could be made in the watershed and develop a list of work items. Provide feasibility estimates on the cost of the improvements. 6. Develop a Design Development Report, which will summarize our field observations, contain photographs of problem areas, and include conceptual cost estimates of solutions and reconunendations. The report will contain a conceptual drawing of improvements and a map indicating where improvements are to be made. 7. Attend City Council meetings and/or Public Hearings as required by CITY to provide project information to City Council and answer questions relating to proposed improvements. The estimated design cost includes attendance at up to two City Council/Public Hearing meetings. SECTION II: SCHEDULE The Engineer will commence work within 3 business days after receiving written Notice to Proceed. The time to complete the study shall be 60 days from Notice to Proceed to delivery of Design Development Report. Smith&Co. and The City of Cape Girardeau, Missouri Master Agreement executed on March 4, 2004 AMENDMENT No. 7 SECTION III — COMPENSATION The Basis of Payment of this Amendment shall be TIME AND MATERIALS at the rates established in Exhibit I to this Amendment. Using the procedures set forth in Section E of the Agreement, and for the scope of services outlined in Section I of this Amendment, CITY shall pay ENGINEER as follows: 1. An amount equal to the actual hours charged to the Project by each class of Engineer's employees times the standard hourly rates in Exhibit I for each applicable billing class for all services performed on the Project. 2. Actual direct reimbursable expenses incurred plus 15% of the actual expense. Reimbursable expenses shall be limited to express mailing or courier services, special copying services, legal documents or other charges requested by CITY. Reimbursable expenses are not expected to exceed $250 on this project. 3. Mileage at a rate of $0.40 per mile. 4. The total compensation for services and reimbursable expenses for this task is estimated to be $8,440. ENGINEER shall not exceed the amounts shown without prior Written by OWNER'S authorized representative. 5. ENGINEER shall not begin any work nor obligate CITY for any fee prior to the date of WRITTEN NOTICE TO PROCEED by CITY. 6. ENGINEER shall issue monthly statements during the course of the work, based on the actual hours charged to the Project during the month. CITY shall pay undisputed portions of the invoice within 30 days after the date of the invoice.
