A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE A FIRST AMENDMENT TO THE OZARK
AIRCRAFT MAINTENANCE OFFICE AND HANGAR LEASE
AT THE CAPE GIRARDEAU REGIONAL AIRPORT
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City
of Cape Girardeau, Missouri, is hereby authorized to execute a
First Amendment to the Ozark Aircraft Maintenance Office and
Hangar Lease at the Cape Girardeau Regional Airport. A copy of
said Amendment is attached to this Resolution and made a part
hereof.

FIRST AMENDMENT TO
OZARK AIRCRAFT MAINTENANCE OFFICE AND HANGAR LEASE
This First Amendment to Ozark Aircraft Maintenance Office and Hangar Lease,
hereinafter referred to as "First Amendment", is made this day of
2005, between the City of Cape Girardeau, Missouri, a Municipal Corporation,
hereinafter referred to as "Lessor", and Ozark Aircraft Maintenance, hereinafter referred
to as "Lessee".
RECITALS
On November 1, 2002, the Lessor and the Lessee entered into an Ozark Aircraft
Maintenance Office and Hangar Lease for the operation of a Federal Aviation approved
Aircraft Technician business. That Ozark Aircraft Maintenance Office and Hangar Lease
is hereinafter referred to as the "Lease".
The parties agree to amend the Ozark Aircraft Maintenance Office and Hangar Lease as
herein provided.
AGREEMENT
NOW, THEREFORE, in consideration of the premises and promises contained herein and
other good and valuable consideration, the adequacy and sufficiency of which are
hereby acknowledged, the parties hereto agree as follows:
1. Paragraph 6 of the Lease, entitled "Section 4. Rent", is hereby amended to the
following:
Lessee promises and agrees to pay rent to Lessor for the leased premises at a rate
of $653.85 monthly, or $0.65 per square foot per month for 281 square feet of
office space plus the sum of 1,178 square feet multiplied by $0.40 per square foot
per month. In consideration for lessee's cooperative effort to provide aircraft
maintenance as a department of Cape Aviation's offered services, Lessor agrees to
provide hangar space for two aircraft. The size of the hangar space shall be
equivalent in combined size of one (1) light twin -engine C-130 type aircraft and one
(1) single-engine Cessna 172 type aircraft or as approved by the Airport Manager or
his assigned designee. Any additional space used by Lessee shall be subject to
additional rental payments as a part of monthly rent, upon agreement and approval
by the Airport Manager or his assigned designee.
The rent is payable monthly and Lessee shall account for and pay to Lessor before
the 10th day of each month the rent herein before provided for the previous month.
Said payments and documentation shall be delivered to the Office of the Cape
Girardeau Regional Airport, P.O. Box 617, Cape Girardeau, MO 63702-0617.
The monthly rent shall be renegotiated prior to any extension of this lease when the
present term of this lease expires on the 30th day of September 2005.
Should the Cape Aviation FBO building be damaged in such a way as to cause
reduction or cessation of Lessee's business, the base minimum rent shall be reduced
by the same percentage as the gross receipts of Lessee are reduced during the
months of such damage, compared to the corresponding calendar months of the
immediately preceding year, provided that such damage is in no way proximately
caused by Lessee, its agents or employees.
