Home My WebLink AboutRES.2245.02-20-2007 AGREEMENT FOR ENGINEERING SERVICES THIS AGREEMENT is by and between the City of Cape Girardeau, Missouri (hereinafter called CLIENT) and Gertis, Lester, Dameron, &Assoc., Inc. (hereinafter called ENGINEER). Whereas, the CLIENT may require professional Engineering services associated with design and construction on a variety of projects, and whereas the ENGINEER agrees to provide design and construction survey services at the discretion of the CLIENT,the CLIENT and ENGINEER hereby agree that such services will be provided only at the request of the CLIENT and in accordance with the conditions set forth herein,or by mutually agreed modifications of this Contract.Nothing in this Contract shall prevent the CLIENT from retaining the services of any other ENGINEER at its sole discretion. It is mutually agreed as follows: Article 1. SCOPE OF SERVICES The ENGINEER shall perform the Services as described in Attachment A, Scope of Services. Article 2. ADDITIONAL SERVICES The CLIENT reserves the right to request additional work,and change the duties of the ENGINEER as deemed appropriate for the specific projects, including modifying this Contract. Article 3. RESPONSIBILITIES OF THE CLIENT The CLIENT shall be responsible for all matters described in Attachment B, Client's Responsibilities. Article 4. STANDARDS. All work provided under this contract will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances. No other warranty,expressed or implied,is included in this Agreement or in any drawing, specification, report or opinion produced pursuant to this agreement. Article 5. SUBLETTING, ASSIGNMENT OR TRANSFER. The CLIENT and the ENGINEER each bind themselves,their partners,successors,assigns and legal representatives of such other party in respect of all covenants of this contract.No portion of the work covered by this contract shall be sublet or transferred without the written consent of the other. A-1 Article 6. PROFESSIONAL ENDORSEMENT All applicable work performed by the ENGINEER shall be endorsed by the ENGINEER and shall reflect the name and seal of the Professional ENGINEER endorsing the work. Article 7. RETENTION OF RECORDS The ENGINEER shall maintain all records, survey notes, cost accounting records, and other data concerning the project,for three years following the completion of the project. Said records,shall be made available for inspection by authorized representatives of the CLIENT. Article 8. OWNERSHIP OF DOCUMENTS All work prepared under this contract shall remain the properiy of the ENGINEER. Copies of all work shall be given to the CLIENT upon the completion of the project. All information produced under this contract shall be available for use by the CLIENT without restriction or limitation. If the CLIENT incorporates any portion of the work into a proj ect other than that for which it was done,the CLIENT shall save the ENGINEER harmless for any claims and liabilities resulting from such use. Article 9. TERMINATION OF CONTRACT This agreement may be terminated by either party upon written notice in the event of substantial failure by the other party to perform in accordance with the terms of this Agreement. The non perfortning party shall have fifteen calendar days for the date of the termination notice to cure or to submit a plan for cure acceptable to the other party. Article 10. TERMINATION OR SUSPENSION FOR CONVENIENCE OF THE CLIENT The CLIENT may terminate or suspend this Contract at any time by giving a minimum of ten(10) days written notice to the ENGINEER. ENGINEER shall terminate or suspend performance of the Services on a schedule acceptable to CLIENT. If the termination or suspension is for the CLIENT's convenience,the CLIENT shall pay the ENGINEER for all the Services performed and termination or suspension expenses. Upon restart, an equitable adjustment shall be made to ENGINEER's compensation. Article 11. DELAY IN PERFORMANCE Neither, CLIENT nor ENGINEER shall be considered in default of this Agreement for delays in performance caused by circumstances beyond the reasonable control of the non-performing party. For purposes of this Agreement, such circumstances include, but are not limited to, abnormal weather conditions; floods; earthquakes; fire; epidemics; war; riots; and other civil disturbances; sabotage;judicial restraint; and inability to procure permits, licenses, or authorizations from any A-2 . local, state, or federal agency for any of the supplies, materials, accesses,or services required to be provided by either CLIENT or ENGINEER under this agreement Should such circumstances occur,the non-performing party shall,within a reasonable time of being prevented from performing, give written notice to the other party describing the circumstances preventing continued performance and the efforts being made to resume performance of this Agreement. Article 12. SUCCESSORS AND ASSIGNS The CLIENT and ENGINEER agree that this Contract, and all amendments entered under the provisions of this contract shall be binding upon the parties hereto and their successors and assigns. Article 13. COMPLIANCE WITH LAWS & HOLD HARMLESS The ENGINEER shall comply with all applicable laws,ordinances and codes of the State and Local Governments and the ENGINEER shall save the CLIENT harmless with respect to any damages arising from any tort due to negligent acts,errors of omission of the ENGINEER in performing any of the work embraced by this Contract. Article 14. FINDINGS CONFIDENTIAL All reports,information,data,etc.prepared or assembled by the ENGINEER under this Contract are confidential, and the ENGINEER agrees that they shall not be made available to any individual or organization without prior written approval of the CLIENT. Article 15. INSURANCE Without limiting the liability hereunder, the ENGINEER shall maintain all applicable or required insurance policies for the life of this agreement. In the event other insurance is needed on specific projects assigned to the ENGINEER,the ENGINEER shall provide said insurance and furnish the CLIENT, certificates of insurance as evidence thereo£ The certificates shall provide that cancellation of said insurance shall not be affected without thirty(30)days prior written notice to the CLIENT. The certificates shall plainly designate the name of the project for which the certificate is provided. Article 16. PERIOD OF SERVICE This contract shall remain in effect for a period of one year. Article 17. PAYMENT For services provided, the CLIENT shall compensate the ENGINEER for completion of the Work in accordance with the rates set forth in attachment C, Compensation. A-3 Article 18. Assist the CLIENT in coordinating and deciding the needs and requirements of the proj ect. 2. Conduct, reconnaissance, topographic, property and utility surveys sufficient to develop preliminary plans for the project. Review existing reports, records, and other information from Client's files. 3. Participate in informal meetings with CLIENT to review progress and exchange ideas and information. 4. Arrange for any subcontractor services the ENGINEER may require. 5. Prepare alternate designs and cost estimates, develop preliminary plans and studies, make recommendations for the best design based on the data and preliminary designs 6. Furnish two copies of the preliminary design documents to the CLIENT. 7. Consult with the CLIENT and utility service providers to establish a working dialogue at the outset of the Project. DESIGN PHASE: After authorization to proceed with the Project Design, the ENGINEER shall: 1. Assist the CLIENT in securing adequate property title information,deciding right- of-way and easements required for the successful execution of the project and provide assistance to the CLIENT in acquiring right-of-way or easements 2. Conduct topographic,property and utility surveys sufficient to develop final plans for the project. 3. Develop final design plans and documents based on available data and clients specifications. A-6 4. Insure compliance with all Federal, State, and Local specifications, laws and requirements. 5. Furnish two copies of the design documents and drawings to the CLIENT. 6. Advise the CLIENT on any changes to the estimated project cost based on any changes to the final design documents and drawings based on any changes requested by the CLIENT. BIDDING PHASE: If bidding phase services are needed by the CLIENT the ENGINEER shall: 1. Coordinate bid letting date,time,and place with CLIENT and prepare final Invitation to Bid. 2. Provide CLIENT up to ten(10)"full Size"(36"x 24")sets of construction drawings, 10 sets of complete contract documents and specifications,and one"half size"(11" x17") plan sets for bidding purposes. 3. Provide up to five (5) additional sets, completed sets of contract drawings and specifications to the successful bidder. 4. Conduct at a date and time selected and a place provided by the CLIENT a prebid conference to: • Instruct the prospective bidders and suppliers as to the types of information required by the contract documents and the format in which bids should be presented. • Review special project requirements and contract documents in general. 5. Interpret construction drawings and specifications and provide written responses to questions from bidders requiring clarification during the bidding period. Prepare and issue addenda to the construction contract documents when required. 6. Assist the CLIENT during bid opening. Answer questions during the bid opening; make preliminary tabulation of bids, and review questionnaires and bids for completeness. 7. Review and evaluate the qualifications of the apparent successful bidder and the proposed major or specialty subcontractors. A-7 8. Prepare and distribute formal bid tabulation sheets,evaluate bids,and make written recommendations to the CLIENT concerning contract award. 9. Prepare and distribute conforming copies of the construction contract documents. CONSTRUCTION PHASE: If construction phase services are needed from the ENGINEER and after written authorization to proceed, the ENGINEER shall: 1. Make periodic visits to the construction site to observe the progress of the wark and consult with the CLIENT and his Contractor concerning problems and/or progress of the work. 2. Act as the CLIENT'S agent during construction to protect the CLIENT'S interest. If requested, the engineer will furnish to the CLIENT a weekly construction progress and inspection report. 3. Shall prepare all change orders and supplemental agreements and independent cost analysis as required. After acceptance of the Construction Contract Changes by the Contractor, copies will be submitted to the CLIENT for approval and signature, or verbal approval followed up by written approval and signatures, before proceeding with the work. 4. Arrange for any sub-contractor services the ENGINEER may require. 5. Shall review and approve shop drawings. The review shall be for conformity to the construction contract drawings and specifications and shall not relieve the Contractor of any of his contractual responsibilities. 6. Interpret construction contract drawings when requested by the CLIENT of his Contractor. 7. Review and process the Contractor's monthly payment requests and forward to the CLIENT if applicable. 8. Arrange for a final inspection by applicable parties. 9. Conduct Record Survey of the completed construction. 10. Furnish two copies of the record survey data and drawings to the CLIENT. A-8 ATTACHMENT B TO AGREEMENT FOR ENGINEERING SERVICES RESPONSIBILITIES OF THE CLIENT The CLIENT will cooperate with the ENGINEER in the development of projects, and furnish, as required by the work and not at the expense of the ENGNEER, the following: 1. The CLIENT'S requirements for the work. 2. All information pertinent to the project that is in the CLIENT'S possession including maps, surveys, property descriptions, traffic studies, boring or other information required by the ENGINEER and relating to his work. 3. Make provisions for the ENGINEER to enter upon property at the proj ect site for the performance of his duties. 4. Releases to the news media concerning public hearings, prebid conferences, and preconstruction conferences and the time and location of anticipated street closings or partial closings. 5. Agree to cooperate with the ENGINEER on the approval of all plans and specifications,or should they disapprove of any part of said plans and specifications, shall make a timely decision in order that no undue expense will be caused the Engineer because of a lack of decision. If the engineer is caused to incur expenses such as additional design or drafting,due to changes ordered by the CLIENT after the completion and approval of the plans and specifications, the ENGINEER shall be equitably paid for such extra expenses and services. 6. Pay publishing costs for advertisement of notices,public hearings,the recording of deeds and easements, request for bids. And other similar items and shall pay for all permits and licenses that may be required by local,state,and federal authorities;and shall secure the necessary land easements, rights-of-way required for the project. 7. Provide plan room services as follows. • Distribute construction contract drawings and specifications to prospective bidders. • Distribute plan holders list to recipients of drawings and specifications prior to bid opening. 8. (hereinafter called ENGINEER). Whereas, the CLIENT may require professional Engineering services associated with design and construction on a variety of projects, and whereas the ENGINEER agrees to provide design and construction survey services at the discretion of the CLIENT,the CLIENT and ENGINEER hereby agree that such services will be provided only at the request of the CLIENT and in accordance with the conditions set forth herein,or by mutually agreed modifications of this Contract.Nothing in this Contract shall prevent the CLIENT from retaining the services of any other ENGINEER at its sole discretion. It is mutually agreed as follows: Article 1. SCOPE OF SERVICES The ENGINEER shall perform the Services as described in Attachment A, Scope of Services. Article 2. ADDITIONAL SERVICES The CLIENT reserves the right to request additional work,and change the duties of the ENGINEER as deemed appropriate for the specific projects, including modifying this Contract. Article 3. RESPONSIBILITIES OF THE CLIENT The CLIENT shall be responsible for all matters described in Attachment B, Client's Responsibilities. Article 4. STANDARDS. All work provided under this contract will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances. No other warranty,expressed or implied,is included in this Agreement or in any drawing, specification, report or opinion produced pursuant to this agreement. Article 5. SUBLETTING, ASSIGNMENT OR TRANSFER. The CLIENT and the ENGINEER each bind themselves,their partners,successors,assigns and legal representatives of such other party in respect of all covenants of this contract.No portion of the work covered by this contract shall be sublet or transferred without the written consent of the other. A-1 Article 6. PROFESSIONAL ENDORSEMENT All applicable work performed by the ENGINEER shall be endorsed by the ENGINEER and shall reflect the name and seal of the Professional ENGINEER endorsing the work. Article 7. RETENTION OF RECORDS The ENGINEER shall maintain all records, survey notes, cost accounting records, and other data concerning the project,for three years following the completion of the project. Said records,shall be made available for inspection by authorized representatives of the CLIENT. Article 8. OWNERSHIP OF DOCUMENTS All work prepared under this contract shall remain the property of the ENGINEER. Copies of all work shall be given to the CLIENT upon the completion of the project. All information produced under this contract shall be available for use by the CLIENT without restriction or limitation. If the CLIENT incorporates any portion of the work into a project other than that for which it was done,the CLIENT shall save the ENGINEER harmless for any claims and liabilities resulting from such use. Article 9. TERMINATION OF CONTRACT This agreement may be terminated by either party upon written notice in the event of substantial failure by the other party to perform in accordance with the terms of this Agreement. The non performing party shall have fifteen calendar days for the date of the termination notice to cure or to submit a plan for cure acceptable to the other parly. Article 10. TERMINATION OR SUSPENSION FOR CONVENIENCE OF THE CLIENT The CLIENT may terminate or suspend this Contract at any time by giving a minimum of ten(10) days written notice to the ENGINEER. ENGINEER shall terminate or suspend performance of the Services on a schedule acceptable to CLIENT. If the termination or suspension is for the CLIENT's convenience,the CLIENT shall pay the ENGINEER for all the Services performed and termination or suspension expenses. Upon restart, an equitable adjustment shall be made to ENGINEER's compensation. Article 11. DELAY IN PERFORMANCE Neither, CLIENT nor ENGINEER shall be considered in default of this Agreement for delays in performance caused by circumstances beyond the reasonable control of the non-performing party. For purposes of this Agreement, such circumstances include, but are not limited to, abnormal weather conditions; floods; earthquakes; fire; epidemics; war; riots; and other civil disturbances; sabotage;judicial restraint; and inability to procure permits, licenses, or authorizations from any A-2 local, state, or federal agency for any of the supplies,materials, accesses, or services required to be provided by either CLIENT or ENGINEER under this agreement Should such circumstances occur,the non-performing party shall,within a reasonable time of being prevented from performing, give written notice to the other party describing the circumstances preventing continued performance and the efforts being made to resume performance of this Agreement. Article 12. SUCCESSORS AND ASSIGNS The CLIENT and ENGINEER agree that this Contract, and all amendments entered under the provisions of this contract shall be binding upon the parties hereto and their successors and assigns. Article 13. COMPLIANCE WITH LAWS & HOLD HARMLESS The ENGINEER shall comply with all applicable laws,ordinances and codes of the State and Local Governments and the ENGINEER shall save the CLIENT harmless with respect to any damages arising from any tort due to negligent acts,errors of omission of the ENGINEER in performing any of the work embraced by this Contract. Article 14. FINDINGS CONFIDENTIAL All reports,information,data,etc.prepared or assembled by the ENGINEER under this Contract are confidential, and the ENGINEER agrees that they shall not be made available to any individual or organization without prior written approval of the CLIENT. Article 15. INSURANCE Without limiting the liability hereunder, the ENGINEER shall maintain all applicable or required insurance policies for the life of this agreement. In the event other insurance is needed on specific projects assigned to the ENGINEER, the ENGINEER shall provide said insurance and furnish the CLIENT, certificates of insurance as evidence thereo£ The certificates shall provide that cancellation of said insurance shall not be affected without thirty(30)days prior written notice to the CLIENT. The certificates shall plainly designate the name of the project for which the certificate is provided. Article 16. PERIOD OF SERVICE This contract shall remain in effect for a period of one year.
