A RESOLUTION AUTHORIZING THE CITY MANAGER TO
ENTER INTO A JOINT SETTLEMENT AGREEMENT WITH
HEALTH SERVICES CORPORATION OF AMERICA AND E & R
LEASING FOR SEWER EASEMENTS IN THE KAGE HILLS
SEWER PROJECT AND SOUTHWEST TRUNK SEWER PROJECT,
PHASE II
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI , AS FOLLOWS :
ARTICLE 1 . The City Manager , for and on behalf of the City of
Cape Girardeau, Missouri , is hereby authorized to enter into a
Joint Settlement Agreement with Health Services Corporation of
America and E & R Leasing for ea�ements in the Kage Hills Sewer
Project and Southwest Trunk Sewer Project , Phase II . A copy of
said Agreement is attached to 'this Resolution and made a part
hereof .

JOINT SETTLEMENT AGREEMENT
THIS AGRCEMENT, entered into tlzi.s � ay of January,
1.990, by and between the CITY OI� CAP1; GIRARD�AU, MI SSOURI ,
hereinafter referred to as "CITY" and HEALTH SERVICES
CORPORATION Or AMERICA, a Missouri. Corporati.on, and E & R
LEASING, a Missour.i General Partnership, hereinafter
col_l.ectively refer. red to as "COMPANIES" ;
WITNESSETH:
WHEREAS , COMPANIES own two tracts of real_ estate known as
the "Kage Hills Road Property" and the "Ensign Girardot
Property" and CITY desi.res to have a permanent sewer easement
located ther.eon and temporary construction easements thereon;
and
WHEREAS , COMPANIES desi_re to link their facilities at 840
S. Mt. Auburn Road and No. 11 Ensign Girardot by fi.beropti.c
cable ; and
WHEREAS , CITY owns necessary right-of-way between said
COMPANIES;
NOW, THEREFORE, in order to consummate the desi.res of the
parti.es set forth i.n the foregoi_ng r_eci tal s , whi.ch are made a
contractual part of thi.s agreement and in considerati.on of the
mutual agreements , provisions and covenants herein contained ,
the parties hereby agree as follows :
1. Health Services Corporati.on of America does hereby
grant an easement marked "Exhibit A" and incor_porated herein by

reference as if more full.y set forth, across the Kage }lil_l.s
Road property for a sewer li.ne to the Ci.ty of Cape Gi.rardeau,
Missouri al.ong with the necessary temporary constructi.on
easement to construct same.
2 . E & R Leasi.ng does hereby grant to the Ci.ty of Cape
Gi.rardeau, Missouri. a sewer easement across the Ensign Girardot
Proper.ty as evi_dencFd by "Exhibit B" incorporated herein as i.f
more fully set forth and necessary temporary constructi.on
easernents to construct same.
3 . CITY does hereby grant to COMPANIES the right and
permission to maintain an underground fiberoptic communications
cab]_e between COMPANILS ' locati.ons at 840 S. Mt . Auburn Road
and No. 11 Ensign Girardot i_n the City of Cape Girardeau,
Missouri as evi.denced by agreement marked "Exhibi.t C" attached
hereto and incorporated herei.n as if more fully set forth.
4. The CITY al.so agrees to the foll.owing conditions :
(a) The CITY will agree to repai.r_ any damage done to any
of the above-referenced properties duri.ng constructi.on of the
sewer easements ;
(b) In the event that HSCA does develop a street twenty
foot wide or wi.der on the Kage Hills Road property while said
constructi_on being at HSCA' s expense , the CITY does agree to
accept dedicati.on on same provided said street is bui.lt to
comp).y wi.th al]. Ci.ty subdi.vi si.on regulati.ons as well_ as Ci ty
standards for street construction;

(c ) CITY agrees to repair any damages done duri.ng
constr.uction of the sewer easements at the Ensign Girardot
Pl_ace property;
(d) CITY agrees to accept dedi.cation of Ensign Gi.rardot
Place and further, in the event the pumping stati.on is phased
out and E & R Leasing does construct a culdesac at its own
expense, the CITY will agr_ee to accept dedi.cation of same
provi.ded said culdesac i_s built accordi.ng to Ci.ty Standards for
street construction; and
(e ) The CITY speci.fi_cally reserves the rights to tax bill
any major improvements or repairs on the street i.f the Ci.ty
Counci]_ deems same necessary.
