A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE AN EXCAVATION AGREEMENT WITH
HILDEGARDE YOUNG TRUST FOR SOIL MATERIAL FOR
THE LANDFILL CLOSURE
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to execute an
Excavation Agreement with Hildegarde Young Trust, Dated 1/7/94, for
soil material for the landfill closure. A copy of said Excavation
Agreement is attached to this Resolution and made a part hereof.

EXCAVATION AGREEMENT
This AGREEMENT made and entered into this /��!'C day of a�
1994, by and between the Hilde�arde Young Trust, Dated 1/7/94, hereina �r called
"LESSOR" and the City of Cape Girardeau, Missouri, a Municipal Corporation, acting
by and through its City Manager, as authorized by the City Council, hereinafter
called "LESSEE".
WITNESSETH:
WHEREAS, LESSEE presently operates and maintains a sanitary landfill for the
disposal of solid wastes, and
WHEREAS, LESSEE requires quantities of soil material sufficient and suitable
for cover of solid waste deposited at that sanitary landfill, and
WHEREAS, LESSOR is owner of certain land situated North of the City of
Cape Girardeau, Missouri, along Missouri Highway 177 and located near the present
sanitary waste disposal landfill of LESSEE, and
WHEREAS, the land owned by LESSOR appears to be conveniently situated
and appropriately suited to the excavation of quantities of soil material to be used as
cover of solid waste deposited at the sanitary landfill of LESSEE, and
WHEREAS, LESSOR is willing to permit, to the extent covered herein, the
excavation of soil material by or through LESSEE for use as cover of solid waste at
the sanitary landfill of LESSEE.
NOW, THEREFORE, in consideration of the mutual covenants, terms and
conditions herein contained, the parties hereto do hereby mutually covenant and
agree as follows:
1. LESSOR leases, grants, and demises unto LESSEE, its successors and
assigns the following described real estate situated in the County of Cape Girardeau,
State of Missouri, to-wit:
Tract I:
A tract of land in Section 21, Township 31 North, Range 14 East of the
Fifth Principal Meridian, more particularly described as follows:
Commencing at G. R S. Station CGLF Monument 2, having M.S.P.C. of
N: 553,401.529 E: 1,114,718.848 (feet), thence on a Grid bearing of South
46 degrees, 35 minutes, 59 seconds West 3,199.78 feet to a stake in the
Northwest Right-of-Way of Missouri State Highway 177 at Station
609+88.37, being the point of beginning, having M.S.P.C. of N:
_. 551,202.987 E: 1,112,393.978; thence South 55 degrees, 9 minutes, 43
seconds West along the Northwest Right of-Way of Missouri State
Highway 177, 379.22 feet to a stake; thence leaving said Right-of-Way

Highway 177, 444.0 feet to a stake; thence leaving said Right-of-Way
North 32 degrees, 44 minutes, 19 seconds West, 151.0 feet to a stake;
thence North 56 degrees, 29 minutes, 11 seconds East, 398 feet to a
stake; thence South 49 degrees, 20 minutes, 53 seconds East, 161.0 feet to
the point of beginning. Containing 64,344 squaze feet, more or less.
for�the purpose of excavating and removing soil material therefrom. Said material to
be excavated and removed from locations in accordance with those plans and
specifications which are attached hereto and made a part hereof and marked "Exhibit
A". However, should rock or rock-type formations be encountered during the course
of and process of said excavations, those quantities of soil material to be removed
shall be modified accordingly by LESSEE so as to conform with existing conditions.
LESSOR agrees to provide LESSEE or any person or persons acting for or
through LESSEE with free and unrestricted access to said leased premises across and
upon all land and roadways to and from said leased premises so as to enable LESSEE
or any person or persons acting for or through LESSEE to enter on and upon said
leased premises in such a manner as to accomplish the purpose set out herein.
2. TRACT I is to be the primary site. TRACT II is to be used only upon
completion of excavation of TRACT I. Seven days notice shall be given before using
TRACT II.
3. LESSOR agrees not to use or restrict the use of the surface of said leased
premises in any way that shall interfere with fihe excavation and removal operations
of LESSEE or any person or persons acting for or through LESSEE.
4. LESSEE agrees to pay LESSOR $1.00/c.y., not to be less than a sum of
$25,000 for material excavated. It is estimated that 30,000 c.y. will be removed.
Payment of $15,000 shall be made within 15 days of execution of this AGREEMENT.
The remaining balance, as deterxnined by measurement, shall be upon completion of
the landfill cap work.
5. As provided in the Specifications, a 12" minimum of topsoil shall be
stockpiled from the borrow tracts for restoration of the borrow surface.
6. All roads, fences and other improvements shall be restored upon
completion of the excavation.
7. This lease shall become effective upon its execution and, if not terminated
because of default, violation or violations of any of the terms of this lease, or for
other reasons provided for herein, shall continue in effect for a term of eighteen
months.
8. The failure of either party to insist, in any one or more instances, on a strict
performance of any of the terms or the conditions of this AGREEMENT, or to exercise
any right herein contained, shall not be construed as a future waiver or a
relinquishment of said rights, terms or conditions, but the same shall continue and
remain in full force and effect. None of the terms or conditions of this AGREEMENT
shall be altered, waived, modified or abandoned in any matter except by written
instrument executed by both parties.

9. It is agreed between the parties to this AGREEMENT that the plans and
specifications, both general and detailed, and all resolutions and ordinances and
proceedings by the City Council pertaining in any detail whatsoever to the work
included under this AGREEMENT, shall be and constitute integral parts of this
AGREEMENT as though set out in words and figures herein.
10. LESSOR covenants that he is lawfully seized of an indefeasible estate in
fee in the premises herein leased, and that the same are free and clear of liens and
encumbrances and that he has good right to lease the same, and that he will warrant
and defend the title unto said LESSEE, its successors and assigns against the lawful
claims of any persons whomsoever.
11. This AGREEMENT is binding upon the parties hereto and their successors
and assigns.
12. LESSEE hereby binds itself to indemnify and save harmless LESSOR from
claims, demands, suits and actions of every name and description brought against
LESSOR for or on account of any injuries or damages received or sustained by any
party or parties by or from the acts of LESSEE, or its servants or agents, in
performing the excavation work provided for herein, or by or in consequence of any
negligence in guarding the same, or on account of any act of omission of LESSEE, its
servants or agents.
13. The soil removed from LESSOR'S land shall be used solely to provide
cover for solid waste for LESSEE'S landfill.
14. Access to Highway 177 shall be maintained at the location of the existing
driveway. ,

1. Cohesionless materials include gravels, gravel-sand mixtures,
sands, and gravelly sands exclusive of clayey material:
a. Free-draining.
b. Materials for which impact compaction will not produce a well-
defined, moisture-density relationship curve.
c. Maximum density by impact methods will generally be less than 2•
by vibratory methods.
d. For which generally less than 15 percent by dry weight, of soil
particles pass the No. 200 sieve.
2. Cohesive materials include silts and clays generally exclusive of
sands and gravel:
a. Materials for which impact compaction will produce a well-
defined, moisture-density relationship curve.
B. Materials unsuitable for use in embankment and fill include all
material that contains debris, roots, organic matter, frozen matter,

2.02 SOIL CAP MATERIAL:
A. It is the intent of the Owner to utilize the materials (soil) obtained
from the borrow area indicated. B•
B. A subsurface investigation for the borrow area has been performed.
Details are provided in a separate report. The report is available
from the Owner upon request. 2.04
C. Based on the state of Missouri's design requirements, and the A,
subsurface investigation, the following conditions are required for the
soil cap material:
1. Soil materials for the soil cap shall be fine grained and PART :
classified as CL or CH per the Unified Soil Classification system
described in ASTM D2487. The soil shall have a liquid limit 3.01
greater than 35 and a plasticity index greater than 10 when tested A
in accordance with ASTM D4318. The percent retained on a No• 4
sieve shall be less than S and the percent passing a No. 200 sieve
shall be greater than 50 as determined by ASTM D421 and 422.
2, The soil cap shall have hydraulic conductivity equal to or less
than 1.0 x 10-5 cm/sec when compacted within the acceptable
v placement zone as indicated on the attached Figure 1. �e
achievement of the hydraulic conductivity criteria may require that
the material be compacted to a minimum density greater than the
maximum dry density.

3. Soil cap materials shall not contain gravel or rock particles
larger than 2 inches in diameter.
4. Soil cap material shall be �ree of deleterious materials such as
sticks, vegetation, and debris.
.03 RIPRAP:
A. Riprap Material:
1. All stone shall be durable and of suitable quality to ensure
permanence in the structure and in the climate in which it is to be
used.

follows:

3. Quantity of rock with an elongation greater than 3:1 shall not
exceed 208 of the mass. No stone shall have an elongation greater
than 4:1.
4. Stone shall be free from cracks, seams, or other defects that would
tend to increase its deterioration from natural causes.
5. Ob�ectionable quantities of dirt, sand, clay, and rock fines will
not be permitted.
6. Not more than 10$ of the stone shall show splitting, crumbling, or
spalling when subjected to f�ve cycles of the sodium soundness test
as required by AASHTO T104.
7. Contractor shall furnish a Sample of stone for acceptance.
` B. Geotextile filter fabric as specified in SECTION 02760 shall be
substituted for riprap bedding material.
2.04 EROSION CONTROL MAT:
A. Erosion control mat shall be Erkamat Type 7020, manufactured by Akzo
e :,•: : Industrial Systems Company or Engineer-approved equal.

PART 3 - EXECUTION
3.01 SITE PREPARATION:
A. Clearing and Grubbing:
1. Perform clearing and grubbing as indicated or as necessary to
perform excavation, trenching, embankment, borrow� and other Work
required, and where desired by Contractor for subsidiary purposes
sub�ect to approval:
a, Clearing:
(1) Includes felling and disposal of trees, brush, and oth�r
t vegetation.
(2) Conduct Work in a manner to prevent damage to property and
to provide for the safety of employees and others.
(3) Keep operations with�in property lines as indicated.

b. Grubbing:
(1) Includes removal and disposal of tree stumps and roots
larger than 3 inches in diameter. �
(2) Remove to a depth of at least 18 inches below existing �
grade elevation. „
(3) Backfill all excavated depressions with approved material e
and grade to drain. �
B. Protection of Trees:
1. Protect tops, trunks, and roots of existing trees on Project site .
which are to remain, as follows:
a. Box fence around, or otherwise protect trees before any
construction Work is started.
b. Do not permit heavy equipment or stockpiles within branch
spread.
c. Trim or prune to obtain working space in lieu of 'complete
removal when possible. Conduct operation as follows:
(1) With experienced personnel.
(2) Conform with good horticultural practice.
(3) Preserve natural shape and character.
(4) Protect cuts with approved tree paint.
d. Grade around trees as follows:
(1) Trenching: Where trenching is required around trees which
are to remain, avoid cutting the tree roots by careful
hand tunneling under or around the roots. Avoid injury to ;x;:
or prolonged exposure of roots.
(2) Raising Grades: Where existing grade at a tree is below -
the new finished grade and fill not exceeding 16 inches is ;:.,;.
required, place 1 to 2 inches of clean, washed gravel �;-
directly around the tr�e trunk. Extend gravel out from ;t�
trunk on all sides at least 18 inches and finish 2 inches :-�
above finished grade at tree. Install gravel before earth�"
fill is placed. Do not leave new earth fill in contact
with any tree trunks.
(3) Lowering Grades: Regrade by hand to elevation required `
around existing trees in areas where new finished grade 38
to be lower. As required, cut the roots cleanly 3 inches-
below finished grade, and cover scars with tree paint.
e. Remove when damage occurs and survival is doubtful. ;?
f. Replace with similar item when damaged through carelessness .�`
so requested.
C. Stripping Within the Solid Waste Disposal Boundary:
1. Stripping will not be permitted. �
2. Dispose of vegetation by use of rotary cutter. Cut as close to:�
grade as practical. �
3. Remove vegetation by removing 1-inch maximum of existing soil `V'

4. Perform only in areas specified and indicated. �

a. Scrape areas clean of all brush, grass, weeds, roots, and other
materials.
b. Strip to depth of approximately 6 inches or to a sufficient
depth to remove excessive roots in heavy vegetation or brush
areas and as required to segregate topsoil.
c. Stockpile topsoil in areas where it will not interfere with
construction operations or existing facilities. Stockpiled
topsoil shall be reasonably free of subsoil, debris, and stones
larger than 2-inch diameter.
E. Debris:
1. Dispose of debris from clearing, grubbing, stripping, and
demolition at a location off the jobsite as arranged for by
Contractor or by burying on the site with approval from the
Engineer.
2. Place debris buried on the site a minimwn of 5 feet below� finished
grade in areas acceptable to Owner. Indicate locations of buried
debris on Contractor-furnished construction records.
3. Contractor with written suthorization from property Owner may claim
and salvage any timber which he may consider of value, but shall
not delay in any manner either this Contract or other Work with
salvaging operations.
3.02 EARTHWORK:
A. Excavation:
1. Perform excavation as indicated or as required to complete the
work.
2. All materials encountered, regardless of type, character
composition, and condition thereof, shall be unclassified.
Estimate quantity of various materials included prior to submitting
Bid Form. Rock encountered shall be handled at no additional cost
to Owner.
3. Blasting: Blasting will not be permitted.
4. Dewatering:
'�`" a. Control grading around excavations to prevent surface water
from flowing into excavation areas.
b. Drain or pump as required to continually maintain all
excavations and trenches free of water or mud from any source,
and discharge to approved drains or channels. Commence when
water first appears and continue until Work is complete to the
extent that no damage will result from hydrostatic pressure,
flotation, or other causes.
c. Use pumps of adequate capacity to ensure rapid drainage of
area, and construct and use drainage channels and subdrains
with pumps as required.
d. Remove subgrade materials rendered unsuitable by excessive
wetting and replace with approved backfill material.
5. Stockpiling:
° a. Stockpile in amounts sufficient for and in a manner to
segregate materials suitable for the following:
(1) Topsoiling.
(2) Constructing embankments and fills.
(3) Waste only. �

b. Do not obstruct or prevent access to:
(1) Roads and driveways.
(2) Utility control devices.
(3) Ditches or natural drainage channels. ;
c. Perform in a manner to avoid endangering the Work, stability of =
banks or structures, or health of trees and shrubs to be �.
saved.
d. Maintain safe distance between toe of stockpile and edge of
excavation or trench.
e. Stockpile in other areas or off site when adjacent structures,
easement limitations, or other restrictions prohibit sufficient
storage adjacent to the Work. Off-site areas shall be arranged
for by Contractor at no additional cost to Owner.
6. Waste Materials:
a. Remove waste materials from Work area as excavated.
b. Deposit such materials in locations and within areas designated
by Engineer and as indicated.
c. Material shall become property of Contractor and shall be
disposed of off site at locations arranged for by Contractor.
d. Grade waste areas and leave them free draining and with an
orderly and neat appearance.
B. Embanl�ent:
1. Construct embankments to the contours and elevations indicated,
using suitable approved material from excavations and borrow
areas:
a. Borrow:
(1) Refers to all fill materials and topsoil obtained from
approved locations on and off the jobsite. _
(2) Borrow shall include sil excavating, handling, and final
disposal of materials as specified.
(3) Borrow areas shall be:
(a) As indicated.
(b) Provided by Owner.
(4) Material removed from borrow areas shall be as approved. ,;;
(5) Leave borrow areas graded to drain and to present a neat ;
appearance.
b. Compaction:
(1) Compact embanl�ents using equipment as required to obtain
reasonable uniformity. �'
(2) Compaction shall be as obtained by normal methods and :
equipment during the placing and grading of layers and to
the minimum density specified for particular locations. ';�
(3) Moisture content shall be that required to obtain
specified compaction of the soil: �r
(a) Perform any wetting or drying of the material as
required to maintain moisture content at the time o
placement to not less than optimum or more than 48:
� above optimum as determined by AASHTO T99.
(4) Achieve minimum densities specified as referenced to: `
(a) Cohesive Soils: 90$ standard maximum density� 8S
determined by ASTM D698. <��

(b) Cohesionless Soils: 80$ relative density, as
determined by ASTM D4253 and D4254.
c. Placement;
(1) Place fill material in 4-inch to 8-inch layers in areas
requiring a high degree of compaction and the landfill cap
area, and in 8-inch to 12-inch layers in other embankment
areas.
(2) Place embankment only on subgrades approved by Engineer.
(3) Do not place snow, ice, or frozen earth in fill; do not
place fill on a frozen surface.
'' (4) Stormwater drainage terraces shall be constructed on final
� cover of landfill cap. No excavation of the final cover
shall be made to provide material for the drainage
terraces.
d. Recompaction of Existing Landfill Soil Cover: �
(1) Contractor shall use a footed drum roller to obtain a
minimal compactive effort with the goal of working the
feet out of the embankment. Contractor shall perform any
drying or wetting of material to obtain minimal
compaction.
(2) Minimal compaction is defined as a minimum of three passes
of the footed drum roller.
C. Soil Cap Placement:
1. Construct soil cap to the contours and elevations indicated, using
soil materials meeting the requirements of this specification,
Part 2.01.
2. Equipment:
a. Equipment for placing, compacting, and shaping the compacted
soil liner shall consis� of the following:
(1) A footed drum roller imparting a kneading action to the
A:,,;; clay material, with a foot length of at least 7.5 inches
'r=' or the loose lift thickness, whichever is greater and
having a minimum static weight of 25,000 pounds on one
axle.
3. The compacted soil cap shall be developed, in general, by
compacting successive 6-inch thick layers (maximum compacted lift
thickness) of approved soil material.
4. Soil cap material shall be placed in loose lifts not exceeding 8
inches in thickness and shall be processed after placement with
disc, pulver mixer, rotovator, road reclaimer, or other approved
processing equipment so that clod size does not exceed one (1) inch
in any dimension.
5. Compact each lift so that the inplace dry unit weight and moisture
content shall be within the acceptable placement zone as indicated
on the attached Figure 1.
6. Adjust moisture content of soil cap material as follows:
a. In amounts less than two (2) percent after placement but prior
to processing and compaction.
b. In amounts greater than two (2) percent:
(1) Prior to placement at a separate location.
(2) In a maximum 12-inch thick layer of material.

(3) With tilling equipment such that the soil cap material
will wet or dry evenly.
c. With a distributer bar or other approved equipment that will
distribute moisture evenly and at a constant rate.
7. Compacted soil cap not planned to receive additional lifts in the
next 14 hours shall be protected by one of the following:
a. Placing a minimum of six inches of loose clay layer material on
the surface of the compacted soil cap. Moisture content of

8. In addition, the soil cap shall be protected from the following ;

9. Contractor shall protect the compacted soil cap after placement of
the final lift so that the inplace dry unit weight and moisture
content are maintained within the acceptable placement zone until
the final lift is covered by topsoil.
10. If the soil cap is exposed to the conditions above, the Contractor
shall remove the lift (minimum 8" compacted) adjust moisture
, content if required and recompact to meet the requirements of this

D. Subgrades:
1. Remove all unsuitable material and replace with approved fill

2. Materials:
a. Those obtained from excavation which are most suitable and
stockpiles for such purpose:
(1) Topsoil shall be a fertile, friable, and loamy soil of
uniform quality, free from materials such as hard clods,
stiff clay, stone with any dimension greater than 1 inch,
and similar impurities. Relatively free from grass,
roots, weeds, and other objectionable plant material.
b. Borrow when required.
3. Subgrade Treatment:
a. Clear site of vegetation heavy enough to interfere with proper
grading and tillage operations.
b. Clear surfaces of all stones or other objects larger than 3
Inches in thickness or diameter, all roots, brush, wire, grade
stakes, or other objectionable material.
c. Loosen subgrade by discing or scarifying to a depth of 2 inches
wherever compacted by traffic or other causes to permit bonding
of the topsoil to the subgrade.

a. Distribute over required areas without compaction in upper

B. Placement of Riprap:
1. Place on the slopes within the limits as indicated.
2. Place stone for riprap on the geotextile filter fabric such a
manner as to produce a reasonably well-graded mass of rock with a
minimum practicable percentage of voids.
3. Place stone for riprap to its full course thickness in one
operation in a manner to avoid displacing, tearing, or puncturing
the geotextile filter fabric.
4. Finished riprap shall be free from objectionable pockets of small
stones and clusters of larger stones. Hand-place only if necessary
to secure the desired results.
5. Maximum deviation from slope lines and grades indicated shall not ;
exceed 3 inches. Maximum deviation shall not be continuous over an
area greater than 100 square feet.
6. Maintain the riprap until accepted and replace any� material
displaced by any cause.
3.04 EROSION CONTROL MAT:
j A. Placement:
1 1. Erosion control mat shall be tied and staked as per manufacturer's
� guidelines.
' 2. Erosion control mat shall be stapled using heavy duty staples a
minimum of 1 foot in length. �
3. After installation of erosion control mat, Contractors shall place
clean topsoil which shall be spread and lightly raked into mat so

PART 3 - EXECUTION
3.01 SOIL PREPARATION:
A. Dispose of any growth, rocks, or other obstructions which might
interfere with tilling, seeding, or later maintenance operations.
Remove stones over 1-1/2 inches in any dimension and sticks, roots,
rubbish and other extraneous matter.
B. Thoroughly loosen and pulverize topsoil.
' C. Grade areas to a smooth, even surface with loose, uniformly fine

� D. Moisten prepared areas before planting if soil is dry. Water

3.08 MAINTENANCE:
A. Mow grass to a height of 4 inches as soon as there is enough top growth
to cut with mower. Remove no more than 408 of grass leaf growth in
initial or subsequent mowings. Do not delay mowing until grass blades
bend over and become matted. ,
B. Remove weeds by pulling or chemical treatment.
C. Perform maintenance until the date of final acceptance. Acceptance
will occur after a flourishing stand is established.
D. Seeded Areas:
1. Water as required by good practice, and as necessary to. obtain a
flourishing cover.
2. Repair any portion of the seeded surface which becomes gullied or
otherwise damaged, or the seeding becomes damaged or destroyed. `�
E. Apply second fertilizer application after first mowing and when grass
is dry. Use fertilizer which will provide not less than 1.0 pounds of
actual nitrogen per 1000 square feet of seeded area.
3.09 ACCEPTANCE OF SEEDED AREAS:
A. When seeding is substantially complete, including maintenance, Engineer -
and Owner will, upon request, make an inspection to determine
acceptability:
1. Work may be inspected for acceptance in parts agreeable to Owner, _
provided Work offered for inspection is complete, including
maintenance.
B. Replant rejected Work and continue specified maintenance until
reinspected by Engineer and Owner and found to be acceptable.
C. Seeded lawns will be acceptable provided requirements, including
maintenance, have been complied with and healthy, uniform, close stand ;; •�+

3.010 CLEANUP: Promptly remove soil and debris created by lawn Work from

A. Time of Completion: Completion time for topseeding shall not apply to
provisions for liquidated damages with respect to Contract completion
time. Owner will retain monies sufficient to assure final topseeding
