A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE AN AGREEMENT WITH PIPER JAFFRAY, INC.
AS FINANCIAL ADVISOR FOR THE CITY'S STATE
REVOLVING FUND SEWERAGE SYSTEM REHABILITATION
FINANCING
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU,
MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City of
Cape Girardeau, Missouri, is hereby authorized to execute an
Agreement with Piper Jaffray, Inc. as financial advisor for the
City of Cape Girardeau, Missouri, State Revolving Fund Sewerage
System Rehabilitation Financing. A copy of said Agreement is
attached to this Resolution and made a part hereof.

Piper Jaffray Inc. is pleased to present this agreement to the City of Cape Girardeau. As your
Finaacial Advisor, we pledge all of our energy and eapertise to completing the issue on a timely
basis.
As part of our fee, we will provide you the following services. These services are based on the
City utilizing the State Revolving Fund (SRF).
1.R/e will provide input to the SRF Team concerning the term of amortization, call
provisions and other factors that are relevant to the issuance of the bonds. We will provide
maturity schedules and debt service projections to coincide with the wishes of the City in
this regard.
2. We �vill assist in the preparation of the Prelimiaary Official Stateffient, the Official
Statement and any other related documents.
3.We will serve as advocate for the City during discussions with the SRF Financing Team
concerning document preparation.
4.We will provide assistance to ensure that the terms of the financing meet the City's
objectives and comply with the engineer's estimates and reports.
5. We will provide any other financial advice related to this financing for matters which may
arise before or after the financing is complete.
6. Representatives of Piper Jaffray Inc. will attend the closiag and all other meetings deemed
necessary by the City to provide assistance in the capacity of Financial Advisor.
Our fee for Financial Advisor services shall be $.50 per $1,000 of borrowing through the SRF
program. Our fees shall include all normal expenses including local travel and office expense.
The City shall be responsible for paying the other costs of issuances.

It is understood that no compeasation is due to Piper Jaffray Inc. unless and until the bond issue is
completed. By this agreement the City of Cape Girardeau hereby appoints Piper Jaffray to
complete all details described herein related to the issuance of the SRF bonds.
This agreement will be in effect until December 31, 1995 or until the bond issue is completed,
which ever is sooner. Should this proposal be acceptable to you, please indicate by signing below.
