Amendment No 1 to the Professional Services Agreement Between Markey and Associates, Inc. and the City of Cape Girardeau dated August 22, 2008 This supplementary agreement amends the Professional Services Agreement between Markey & Associates, INC., hereinafter referred to as "Architect/Engineer", and the City of Cape Girardeau, hereinafter referred to as the "City". The Professional Services Contract between the City and the Architect/Engineer was approved on the 18th day of August 2008 by action of the City Council's Resolution No. 2380. This amendment is for professional services relating to the City's Central Pool. Whereas the City intends to renovate the Central Pool, which requires the establishment of a scope and budget for said renovations, and whereas the City will then establish the priorities and initial funding levels for the renovations, and whereas the ArchitecUEngineer agrees to provide the referenced scoping services for the fees and provisions of the revisions to the existing Agreement as enumerated below: The Architect/Engineer shall develop Phase 1 Schematic Design and Scoping services and provide detailed scope descriptions, drawings, and budgets for the immediate and future implementation. Phase II, the design of the selected improvements for immediate implementation shall be as authorized after the determination of the scope and funding following the completion of Phase I. The time from receipt of a Notice to Proceed to completion shall not exceed a time agreed upon by the Architect/Engineer and the City prior to project commencement. If conditions outside of the control of the Architect/Engineer occur, or substantial changes to the original scope of work required by the City, the Architect/Engineer reserves the right to extend the time of the completion in an amount to be agreed by the Architect/Engineer and the City. The specific amendments to the existing Agreement are as follows: Exhibit B - Article B.8.3 — Fee Basis for Authorized Additional Service Fee for the additional Service for "Central Pool Renovations Phase I": The total fee for the Phase I scoping task shall be $10,000.00. This additional fee will bring the total contract amount under this Agreement to $458,000.00 plus stipulated reimbursable expenses. Exhibit B -Article B.9.2 —Additional Services Professional Services — Central Pool Renovations Phase 1: Markey and Associates shall provide the Conceptual Planning Phase, hereafter called "Phase I - Schematic Design and Scoping Services" related to the renovations to the City's existing Central Pool. See the attached proposal letter. The services shall be provided as an Additional Service as provided for in Exhibit B of Agreement and in Section 6.4 of the Professional Services Agreement dated August 22, 2008. Brace Arena 410 Kiwanis Drive Cape Girardeau, MO 63701 Reference: Planning and design of Renovations to Central Pool Dear Mr. Muser: As discussed, we are submitting our proposal for professional services for the design of the renovations to the facilities at Central Pool. Since the total project budget has been very uncertain,and is likely to continue to be until a specific menu of options is presented, we are proposing a two-stage approach. The first will be a scope development and budget deternunation study. We are proposing a fixed fee of$10,000 for refining the project"wish-list" and menu of components, along with assigning a possible budget allocation for each major component of the work.The output of this analysis can be used for finalizing the funding commitments and support of the user-groups as we proceed with the second phase,the design of the improvements. Please be advised that 1/2 of this first-phase fee is for Mitch Malone; and I am keeping my part to the bare bones; but I also will be working with the fabric- enclosure vendor and heavily relying on him to refine that part of the scope and budget. Various discussions have put the possible total project development budget at around$1,000,000, depending on what funds finally get committed to the project. I have felt that$1,000,000 would cover the highest priorities; but I am sure the identified needs may exceed that. At a total budget of $1,000,0000, I feel certain that most of it would go to the priority of the bubble replacement and some pool items. In that case, I would need minimal input from other consultants, and our fee for the second phase design could be about 6% or 60,000. If the scope involves the bathhouse and other components, we will need a little higher fee for those aspects. We are asking for authorization for the first phase only at this time. We will perform this work as an extension to our current contract with the City. The second phase will require a separate authorization. I anticipate that we can reach some conclusions in 45 to 60 days of proceeding as long as the holidays and the responsiveness of the enclosure vendor do not impair the effort.
