The City Manager, for and on behalf of the City of Cape Girardeau, Missouri, is hereby authorized to execute an Agreement to Broadcast and Record Cape Girardeau City Council Meetings with Semo Video Productions, LLC. A copy of said Agreement is attached to this Resolution and made a part hereof. PASSED AND ADOPTED THIS C r DAY OF —4 , 20J� ( co uw'w��� - Ja Knudtson, Mayor ATTEST: E UNI EAL AGREEMENT TO BROADCAST AND RECORD CAPE GIRARDEAU CITY COUNCIL MEETINGS This Agreement to broadcast and record Cape Girardeau City Council meetings, hereinafter referred to as the "Agreement," is made this WA day of j.py, ;`` , 2W )q , between SEMO VIDEO PRODUCTIONS, LLC, hereinafter referred to as "SVP" and the CITY OF CAPE GIRARDEAU, hereinafter referred to as "City", a home rule city and political subdivision of the State of Missouri. WITNESSETH: WHEREAS, the City is a municipal government and political subdivision of the State of Missouri, which is governed by a City Council that conducts bi-monthly meetings, as well as other special meetings, for the purpose of transacting municipal business; WHEREAS, SVP is a business that performs broadcast and recording services using up- to-date facilities and employees that are trained on broadcast -quality equipment; and WHEREAS, the City desires to contract with SVP for broadcasting and recording these City Council meetings for display on Channel 5 — the City's Public and Governmental Access Channel; and WHEREAS, the parties wish to set forth their rights and obligations relative to the provision of these programming services. NOW, THEREFORE, the City and SVP agree as follows: 1. Scope of Work. SVP will provide the following services to the City: (a) Provide for the live broadcast and recording of each of the bi-monthly City Council meetings by providing live coverage in the meeting room, live editing and broadcast feed. (b) Maintain a recording of the broadcast offsite until the next City Council meeting that is available to staff upon request as a DVD or MPEG. (c) Provide the necessary video and television equipment, along with staff, to effectively produce these programs. (d) Provide set-up, trouble -shooting, preparation for special presentations, and tear - down of all equipment and cables for each meeting, on the day of the meeting. (e) Broadcast of special presentations in the meetings shall allow for the interrupt of still images, slideshows, or possible other video. (f) Provide the same broadcasting and programming services for other special City Council meetings at the request of the City Public Information Coordinator. (g) A copy of the proposal submitted by SVP is attached hereto as Exhibit "A" and is incorporated herein by reference. (h) Obtain ordinance text from website or City Clerk in advance for display during meeting when appropriate. (i) Display accurate name/title information for City leaders when appropriate. 2. SVP shall be solely responsible for the maintenance of all broadcast and video equipment, and all aspects of SVP's operating and maintenance finances. 3. In consideration of SVP's obligations as set out herein, the City agrees that it will pay SVP the sum of seven hundred fifty dollars ($750.00) per meeting on a monthly basis. An invoice must be submitted to the City Clerk by the 201h of the month in which the services are rendered. The invoice will be paid on the IOth of the following month. 4. SVP shall maintain liability insurance covering all aspects of its operations as set out herein in an amount equal to the liability limits established in Section 537.600 RSMo, et seq., and SVP acting under the terms of this Agreement be considered an employee of the City for purposes of the City's program of worker's compensation insurance. SVP shall indemnify and hold the City harmless from any claims, lawsuits, liabilities, and damages of any kind, including all attorneys fees, arising out of SVP's services herein, unless those damages were caused by the gross negligence or willful misconduct of the City. 5. This Agreement shall be in effect from and after its execution and shall remain in effect for a period of six (6) months. At that time, the City has the option to renew this agreement in writing for up to two (2) additional six (6) month periods. 6. This Agreement may be amended from time to time by mutual agreement of SVP and the City. Lou Peukert 234 Broadway #7 Cape Girardeau, MO 63701 573-382-7575 Proposal: SEMO Video Production, LLC will provide the following services to the City of Cape Girardeau: -Provide, deliver, set-up and operate all equipment and cables necessary to produce a live -switched version of the city council meeting using 4 cameras. -Provide a live -switched feed which the city will encode and use on the cable access channel. -Record and maintain DVD library through the next city council meeting. -Provide DVD copy of each meeting to the City. -Allow for the inclusion of still images or video during the proceedings. -Provide tear -down of all the equipment and cables at each meeting. Cost: SEMO Video Production, LLC will provide these services to the City of Cape Girardeau at a cost of $750.00 per meeting. This cost will include: two or more camera operators and one director, the rental of all the live production equipment necessary, including four cameras, tripods, cables, live video and audio switcher and DVD recorder in a production van. This production equipment is rented from the Cape Girardeau Career and Technology Center and is the exact same equipment that is used to produce the Cape Girardeau School Board meetings. A sample of a School Board meeting production is included for your reference. Approach: The typical production would begin by parking the production van outside the city council chambers. Four cameras will be set up inside the council chambers. The van will be connected to the cameras using the existing access panel on the side of the building. Two cameras will be manned to provide close-ups of the podium and of council members when they speak. The other cameras will provide cover shots. Live editing will occur in the van. The system is based on the NewTek Video Toaster. This live switcher allows multiple inputs, live switching, and recording to a hard disk drive, video tape recorder or DVD recorder. The director will grate the switcher. This setup was tested in the council chambers on December 11 . The existing cabling and equipment in the building, cameras and editing system worked flawlessly. Additional benefits to this proposal: A significant portion of the cost goes to the Cape Girardeau Career and Technology Center to rent the production van and equipment. This money will, in turn, be used to help support the Video Production program at the CTC. As part of the rental agreement, at least one Cape Girardeau Career and Technology Center Video Production student will participate in each City Council meeting production. These students will receive valuable production experience.
