SMITH & COMPANY, INC., FOR THE DESIGN OF THE SILVER SPRINGS ROAD AND THEMIS STREET INTERSECTION AND OTHER STORMWATER IMPROVEMENTS, IN THE CITY OF CAPE GIRARDEAU, MISSOURI BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU, MISSOURI, AS FOLLOWS: ARTICLE 1. The City Manager, for and on behalf of the City of Cape Girardeau, Missouri, is hereby authorized to execute Amendment No. 1 to the General Services Agreement with S. H. Smith & Company, Inc., for the design of the Silver Springs Road and Themis Street Intersection and other stormwater improvements, in the City of Cape Girardeau, Missouri. Smith&Co. and the City of Cape Girardeau, Missouri Agreement effective as of March 22, 2006 AMENDMENT NO. 1 The following detailed scope of services is for the design of Silver Springs Stormwater Improvements. SECTION I: SCOPE OF WORK The work shall general consist of preliminary and final engineering design, surveying, construction document preparation and inspection for portions of the stormwater improvements as described in the engineering report entitled, "Stormwater Feasibility Study Silver Springs/Whitener and Silver Springs/Themis Watershed", dated "February 2006". The improvements to be included in this work shall consist of designing replacement culverts for two existing culverts located on driveways off of Whitener Road near the intersection of Whitener and Silver Springs Roads; and design of drainage and grading improvements at the intersection of Silver Springs Road and Themis Road to adequately remove and transport stormwater from this intersection to the ditch near the existing culverts on Themis Road. TASK A — Report and Preliminary Design Phase 1. Prepare a Preliminary Engineering Report based on the proposed project portions of the existing report, conforming to the guidelines of the Missouri Department of Natural Resources including an engineer's preliminary cost estimate containing appropriate contingencies as to establish a project budget, according to the criteria and limitations set forth by the OWNER. TASK B — Final Design Phase 1. Develop a work plan and schedule for implementation of the project, including surveying, analysis and design efforts, investigations, permitting and other required tasks. 2. Appoint a licensed professional engineer to serve as Project Engineer, who will be responsible for all technical aspects of the work and who will sign and seal the final design drawings. 3. Prepare final Contract Documents for permitting and construction consisting of. 1) Final engineering drawings (plans); 2) Specifications; 3) Contract Provision. These Contract Documents shall accurately describe the character and scope of the work to be performed by contactors on the PROJECT. Contact Provisions shall include bid forms and schedules, notice to bidders, instructions to bidders, general conditions and supplementary conditions, bonding and insurance requirements, and other related documents. 4. Furnish two (2) copies of preliminary Contract Documents to OWNER for review and approval. Make necessary correction and/or revisions to preliminary versions of Contact Documents as maybe requested by OWNER. If substantive revisions are requested, submit two (2) copies of revised documents to OWNER for final review. 6. Advise the OWNER of any adjustments to his latest opinion of probably PROJECT cost caused by changes in scope, design requirements or Construction Costs and furnish a revised opinion of probable PROJECT cost based on the final Drawings and Specifications. 7. Upon authorization by OWNER, assist OWNER in obtaining bids or negotiating proposals for the contact for construction. It is anticipated that the Engineer will provide a set of reproducible contact documents to the OWNER for bidder purposes. 8. Upon receipt of bids for construction, tabulate and certify all bid results, consult with and advise OWNER as to the acceptability of bidders and submitted bids, and make recommendations of award. 9. Upon award of the Construction Contact by OWNER, assist OWNER in assembling and executing contracts. TASK C — Construction Inspection Phase 1. Once the OWNER has fully executed the Contract(s) for the proposed work, the Engineer shall conduct a pre -construction meeting with the Contractor and the OWNER and assist the OWNER with the notice to proceed. Smith&Co. and Sanborn, Inc. Agreement effective as of December 21, 2005 AMENDMENT No. 1 2. Conduct periodic on site inspections of the Work performed by the Contractor. Inspection shall be performed on all major milestones of the work and at intermittent time intervals during general Work tasks. This does not include full time resident project inspection. 3. Periodic payment requests from the Contractor shall be reviewed by the inspector. The Engineer shall make recommendations to the OWNER of full or partial payment of Contractor requests based on actual Work complete. 4. Final inspection and close out procedures shall be performed upon completion of the Word by the Contractor. The Engineer shall perform a final inspection of the work with the Inspector, Contractor and OWNER. SECTION II: SCHEDULE The time of completion of this work shall be 120 days from Notice to Proceed to delivery of Final plans and specifications to the OWNER for review. SECTION III — COMPENSATION The Basis of Payment of this Amendment shall be TIME AND MATERIALS at the rates established in Exhibit I to this Amendment. Using the procedures set forth in Section E of the Agreement, and for the scope of services outlined in Section I of this Amendment, OWNER shall pay ENGINEER as follows: An amount equal to the actual hours charged to the Project by each class of ENGINEER's employees times the standard hourly rates in Exhibit I for each applicable billing class for all services performed on the Project. 2. Actual direct reimbursable expenses incurred plus 15% of the actual expense. Reimbursable expenses shall be limited to express mailing or courier services, special copying services, legal documents or other charges requested by OWNER. Reimbursable expenses are not expected to exceed $500 on this project. 3. Mileage at a rate of $0.35 per mile. 4. The total compensation for services and reimbursable expenses for each Task is estimated to be as summarized in the following table. ENGINEER shall not exceed this amount for each Task without prior written authorization by OWNER's authorized representative. Task A Report and Preliminary Design Phase Not to Exceed $2,475 Task B Final Design Phase Not to Exceed $17,810 Task C Inspection Phase Not to Exceed $13,295 Total Not to Exceed $33,580 5. ENGINEER shall not begin any work nor obligate OWNER for any fee prior to the date of WRITTEN NOTICE TO PROCEED by OWNER. 6. ENGINEER shall issue monthly statements during the course of the work, based on the actual hours charged to the Project during the month. ONWER shall pay undisputed portions of the invoice within 30 days after the date of the invoice.
