SMITH & COMPANY, INC., FOR THE DESIGN OF LASALLE AVENUE AND OTHER IMPROVEMENTS, IN THE CITY OF CAPE GIRARDEAU, MISSOURI BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU, MISSOURI, AS FOLLOWS: ARTICLE 1. The City Manager, for and on behalf of the City of Cape Girardeau, Missouri, is hereby authorized to execute Amendment No. 2 to the General Services Agreement with S. H. Smith & Company, Inc., for the design of LaSalle Avenue and other improvements, in the City of Cape Girardeau, Missouri. Smith&Co. and the City of Cape Girardeau, Missouri Agreement effective as of March 22, 2006 AMENDMENT NO. 2 This Amendment modifies and amends the General Agreement for Engineering Services dated March 22, 2006 between the City of Cape Girardeau hereinafter referred to as the "OWNER" and S.H. Smith & Co., Inc., hereinafter referred to as "ENGINEER". This amendment shall be for the purpose of performing surveying, geotechnical and engineering services for the preliminary and final design of LaSalle Avenue, which will extend from the proposed East Main interchange on Interstate 55 and connect to Route "W", generally using the Cape County Road 618 as the basis of alignment. SECTION I: SCOPE OF WORK The work shall generally consist of preliminary and final engineering design, surveying, geotechnical exploration, construction document preparation and right of way acquisition document preparation for the LaSalle Avenue from the proposed Interstate 55 intersection to State Highway "W". The improvements to be included in this work shall consist of a "super two" roadway with provision for future expansion; horizontal and vertical road alignment and earthwork; detailed drainage improvements including culverts, ditches and stormwater detention; permanent traffic control markings and signage; intersection lighting; and road intersection and driveway tie-ins. The following tasks will be completed by the ENGINEER. TASK A — Field/Data Collection Phase 1. Consult with the OWNER to determine requirements for the Project and review available data. 2. Conduct project kick off meeting with the OWNER to discuss schedules, submittals, meetings and OWNER expectations. 3. Develop a work plan and schedule for implementation of the project, including surveying, analysis and design efforts, investigations, permitting and other required tasks. 4. Appoint a licensed professional engineer to serve as Project Engineer, who will be responsible for all technical aspects of the work and who will sign and seal the final design drawings. 5. Obtain aerial mapping and digital orthophotography of project area with topographic contours at 2 -foot intervals. 6. Establish project horizontal and vertical control using State Plane Coordinates and National Geodetic Vertical Datum. 7. Establish project control points throughout the proposed alignment. Tie project control in with the Missouri Department of Transportation (MoDOT) Project at Interstate 55. Coordinate with MoDOT to provide a smooth transition between LaSalle Avenue and the interchange project. 8. Conduct topographic ground survey of critical features including the beginning and end of project tie ins, intersecting streets, creeks, ditches, culverts, driveways and any other features as can be identified as critical based on the preliminary alignment. 9. Perform research of Cape Girardeau Courthouse records for deeds of property owners. Locate existing property corners and possession lines of all properties adjacent to the proposed alignment and affected by the Project. 10. Conduct initial geotechnical investigation in approximately fifteen locations along the proposed alignment. Samples shall be taken up to 10 feet deep and borings shall be extended to auger refusal. 11. Conduct testing on geotechnical samples taken to determine in site moisture content, plasticity, subgrade modulus and moisture -density relations, and other parameters as needed for roadway and pavement design. 12. Conduct up to two days of supplemental geotechnical investigation performing rock probes without sampling based on final alignment and data collected from initial investigation. Issue an addendum to the geotechnical report or reissue report to reflect final rock probes. 13. Prepare geotechnical report including bore logs, results of testing of existing soils and pavement design Amendment 2 LaSalle Ave Design Pagel of 4 Amendment to Agreement between S.H. TASK B — Preliminary Design Phase 14. Conduct progress meetings with the OWNER to identify potential design issues as they relate to alternative alignments, cross sections, costs, or right of way. 15. Conduct analysis of alternative road alignments and street cross sections including provisions for future expansion. 16. Prepare preliminary design drawings for recommended alternative alignment options and street cross section options. 17. Prepare preliminary cost estimate for the construction of the recommended alignment containing appropriate contingencies as to establish a project budget, according to the criteria and limitations set forth by the OWNER. 18. Prepare a preliminary engineering report based on the recommended alignment and cross sections. 19. Attend one public meeting to present the recommended alignment, collect public input, and answer questions relating to the design. TASK C — Final Design Phase 1. Prepare final Contract Documents for permitting and construction consisting of. 1) Final engineering drawings (plans); 2) Specifications; 3) Contract Provision. These Contract Documents shall accurately describe the character and scope of the work to be performed by contractors on the PROJECT. Contract Provisions shall include bid forms and schedules, notice to bidders, instructions to bidders, general conditions and supplementary conditions, bonding and insurance requirements, and other related documents. 2. Prepare and submit fifty percent (50%) and ninety percent (90%) complete design drawings to the OWNER for review to identify any potential issues and possible design changes prior to completion of final plans. 3. Conduct progress meetings with the OWNER to identify potential design issues as they relate to final design. 4. Furnish two (2) copies of preliminary Contract Documents to OWNER for review and approval. 5. Make necessary correction and/or revisions to preliminary versions of Contract Documents as may be requested by OWNER. If substantive revisions are requested, submit two (2) copies of revised documents to OWNER for final review. Once final approval has been obtained, provide one set of reproducible Contract Documents to the OWNER. 6. Advise the OWNER of any adjustments to his latest opinion of probable PROJECT cost caused by changes in scope, design requirements or Construction Costs and furnish a revised estimate of probable PROJECT cost based on the final Drawings and Specifications. 7. Upon authorization by OWNER, assist OWNER in obtaining bids or negotiating proposals for the contract for construction. 8. Upon receipt of bids for construction, tabulate and certify all bid results, consult with and advise OWNER as to the acceptability of bidders and submitted bids, and make recommendations of award. 9. Upon award of the Construction Contract by OWNER, assist OWNER in assembling and executing contracts. TASK D — Right of Way Phase 1. Prepare a preliminary right of way plan indicating locations of potentially affected properties based on and submitted with the Preliminary Design Report to the Owner. 2. Once OWNER has approved the Preliminary Design and final cross sections have been established, prepare a final Right of Way Plan indicating right of way and temporary construction easements. 3. Furnish two (2) copies of the final Right of Way Plan to the OWNER for review and approval. Amendment 2 LaSalle Ave Design Page 2 of 4 Amendment to Agreement between S.H. Prepare legal boundary descriptions for the preparation of deeds for the acquisition of right of way and temporary construction easements. 5. Submit final Right of Way Plan and deeds to the OWNER for acquisition of property and easements. 6. Assist OWNER with initial property owner meetings during the acquisition process. SECTION II: SCHEDULE The time of completion of this work shall be 240 days from Notice to Proceed to the delivery of Final plans and specifications to the OWNER for review. The target completion dates for each task below are based on a notice to proceed of June 15th: The four tasks will run concurrently. Task A Field/Data Collection Phase December 31, 2006 Task B Preliminary Design Phase September 30, 2006 Task C Final Design Phase February 28, 2007 Task D Right of Way Phase December 31, 2006 SECTION III — COMPENSATION The Basis of Payment of this Amendment shall be TIME AND MATERIALS at the rates established in Exhibit I to this Amendment. Using the procedures set forth in Section E of the Agreement, and for the scope of services outlined in Section I of this Amendment, OWNER shall pay ENGINEER as follows: 1. An amount equal to the actual hours charged to the Project by each class of ENGINEER's employee's times the standard hourly rates in Exhibit I for each applicable billing class for all services performed on the Project. 2. Actual direct reimbursable expenses incurred plus 15% of the actual expense. Reimbursable expenses shall be limited to aerial photography, express mailing or courier services, special copying services, legal documents or other charges requested by OWNER. Reimbursable expenses are not expected to exceed $5,525 on this project. 3. Mileage at a rate of $0.40 per mile. 4. Direct expenses incurred on the Project shall be charged at the standard rates in Exhibit I. 5. The total compensation for services described in Section I shall not exceed $273,190.00 without prior written authorization by OWNER's authorized representative. 6. ENGINEER shall not begin any work nor obligate OWNER for any fee prior to the date of WRITTEN NOTICE TO PROCEED by OWNER. 7. ENGINEER shall issue monthly statements during the course of the work, based on the actual hours charged to the Project during the month. OWNER shall pay undisputed portions of the invoice within 30 days after the date of the invoice. SECTION IV: SPECIAL PROVISIONS The ENGINEER has the option to subcontract services, primarily anticipated to be land surveying, electrical engineering with regards to lighting design, and /or hydrologic and hydraulic studies. These subcontracts shall not result in any increase in cost to the OWNER without written authorization of change in scope. The ENGINEER shall receive written approval from OWNER's staff for each Subcontractor(s) proposed prior to the start of any Subcontracted WORK.
