A RESOLUTION AUTHORIZING THE INTERIM CITY
MANAGER TO EXECUTE AMENDMENT NO. 8 TO THE
GENERAL AGREEMENT FOR ENGINEERING SERVICES
WITH S. H. SMITH & CO., INC., FOR THEMIS
STREET DRAINAGE IMPROVEMENTS, IN THE CITY OF
CAPE GIRARDEAU, MISSOURI
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI, AS FOLLOWS:
ARTICLE 1. The Interim City Manager, for and on behalf of
the City of Cape Girardeau, Missouri, is hereby authorized to
execute Amendment No. 8 to the General Agreement for Engineering
Services with S. H. Smith & Co., Inc., for Themis Street
Drainage Improvements, in the City of Cape Girardeau, Missouri.
A copy of said Amendment is attached to this Resolution and made
a part hereof.

AMENDMENT NO. 8 — Whitner and Themis Street Drainage Improvements
This Amendment references the General Agreement for Engineering Services dated March 22, 2006
between The City of Cape Girardeau, hereinafter referred to as the "OWNER" and S.H. Smith& Co., Inc.,
hereinafter referred to as "ENGINEER".
This amendment shall be for the purpose of designing drainage improvements in the storm water
collection system at Whitener Street and Themis Street near Silver Springs Road The design of this
project is consistent with improvements recommended in a Stormwater Feasibility Study completed by
the City of Cape in February of 2006, which recommends a number of improvements that could be made
to reduce localized flooding. Specifically this project will add two improvements to the system. First, the
2 pipe culverts under Themis Street will be replaced with a Box culvert to increase the stormwater
carrying capacity. The second feature is the addition of a stormwater collection system on Whitener
Street that removes stormwater from the street and into the ditch before it reaches the area which is most
susceptible to flooding.
SECTION I: SCOPE OF WORK
GENERAL: The Engineer shall submit detailed design progress reports with each application for
payment.
Engineer shall:
Appoint a licensed professional engineer to serve as Project Engineer, who will be responsible for
all technical aspects of the project
2. Conduct a survey of the site to establish lines and grades needed for design improvements.
Locate and identify potential utility conflicts. Gather boundary information needed for
easements.
3. Utilize the existing design of the Themis Street box culvert and make necessary modifications as
required by utility conflicts.
4. Submit letters and maps to regulatory agencies for environmental clearances. Agencies to be
contacted include Army Corp of Engineers (404 Permit) and Department of Natural Resources
(401 permit). Any additional work requested by a regulatory agency, such as an archeological
study or environmental impact study, is not included in this amendment.
5. Conduct field visit with the OWNER to identify the location and limits of construction.
6. Provide owner with a Final Draft of Plans Specification and Estimate for review and make
revisions as necessary.
7. Provide a One set of Plans and Specifications sealed by the Project Engineer for reproduction and
bidding purposes.
8. Prepare legal description and exhibit for any Right of Way acquisition that would be required.
SECTION II: SCHEDULE
The Engineer will commence work within 3 business days after receiving written Notice to Proceed.
The time to complete the design shall not be more than 45 dans from the Notice to Proceed. Permit
clearances and requests by the regulatory agencies could extend past the 45 days required to complete
design of the improvements.

SECTION III — COMPENSATION
The Basis of Payment of this Amendment shall be TIME AND MATERIALS at the rates established in
Exhibit I to this Amendment. Using the procedures set forth in Section E of the Agreement, and for the
scope of services outlined in Section I of this Amendment, OWNER shall pay ENGINEER as follows:
1. An amount equal to the actual hours charged to the Project by each class of Engineer's employees
times the standard hourly rates in Exhibit I for each applicable billing class for all services
performed on the Project.
2. Actual direct reimbursable expenses incurred plus 15% of the actual expense. Reimbursable
expenses shall be limited to express mailing or courier services, special copying services, legal
documents or other charges requested by OWNER. Reimbursable expenses are not expected to
exceed $250 on this project.
3. Mileage at a rate of $0.585 per mile.
4. The total compensation for services and reimbursable expenses for this task is estimated to be
broken down as follows:
a. Design of Whitener and Themis Street Drainage Improvement $10,040
The ENGINEER shall not exceed the amounts shown without prior written approval by
OWNER's authorized representative.
5. ENGINEER shall not begin any work nor obligate OWNER for any fee prior to the date of
WRITTEN NOTICE TO PROCEED by OWNER.
6. ENGINEER shall issue monthly statements during the course of the work, based on the actual
hours charged to the Project during the month. OWNER shall pay undisputed portions of the
invoice within 30 days after the date of the invoice.

SECTION IV: AUTHORIZATION
OWNER and ENGINEER agree to the specific work scope, schedule, and compensation described in this
Amendment to the Agreement.
