The City Manager, for and on behalf of the City of Cape Girardeau, Missouri, is hereby authorized to execute Amendment Number 9 to the General Services Agreement with Jacobs- Engineering Group, Inc. , for the Wastewater Treatment Plant Project, in the City of Cape Girardeau. The Amendment shall be in substantially the form attached hereto as Exhibit A, which document is hereby approved by the City Council, with such changes therein as shall be approved by the officers of the City executing the same. ("Consultant"), dated July 21, 2009, ("Agreement"). The Agreement is incorporated herein and forms an integral part of this Amendment. However, in case of conflict, the teens of the Amendment shall control. Services Authorized Client authorizes Consultant to perform the Services described in Exhibit A attached hereto and incorporated herein, which Exhibit A is marked with the above noted Amendment No. 9 and consists of three (3) page. Compensation To the extent and amount invoiced, Consultant will be compensated for this Amendment on the following basis of reimbursement: 1. For the salary costs of its professional, technical and supporting personnel for the time during which they are directly employed in services covered by this Task, multiplied by a factor of 2.1 for office labor and 1.9 for field labor to cover overhead and profit. a. Salary costs are defined as the salaries paid for regular time and overtime (including any premium overtime) worked. b. Included in overhead are: I. Provision for applicable annual salary related expenses, including sick leave, vacation pay, holiday pay and other ordinary and customary paid time off, bonuses, the employer's portion of social security, unemployment and other payroll taxes, Employee's Retirement and Benefit Plan contributions, employer's portion of group hospitalization and medical insurance, and the cost of worker's compensation insurance. ii. The salaries of officers, except for technical or advisory services directly applicable to the project. iii. Rent and costs of light, heat and water; equipment depreciation and maintenance cost; costs of office supplies and reproduction of data for our internal use; general communications expense, including local telephone calls and postage; taxes, insurance premiums and license fees; automotive expense and other transportation and travel expense not chargeable to specific contracts; and other miscellaneous costs. Page I of 2 City of Cape Girardeau Amendment No. 9 2 2. For the following direct costs: a. Travel, subsistence, and incidental expenses of personnel while traveling in connection with this Task. b. Transportation by passenger automobiles that Jacobs supplies intermittently in connection with this Amendment, at the prevailing federal mileage reimbursement rate. All costs of owned, leased or rented passenger vehicles assigned to this Amendment and car allowances granted to management and supervisory personnel are reimbursable. Reimbursement for the cost of special types of vehicles will be at rates to be mutually agreed upon when such vehicles are required. c. Reproduction of drawings, photographs, maps, charts and reports which are prepared for the Owner's periodic or interim review and also the cost of the reproduction which constitute the delivery of services. d. Insurance required by Owner in addition to the coverage or in excess of the limits normally carried. e. Subcontracted services such as, but not limited to, borings, surveys, testing and computing services, and safety program services, if required in the performance of this Amendment. 3. Estimate of Cost of Consultant's Services a. Consultant estimates that the total cost of the services for Amendment No. 9 will be 570,000.00. Jacobs will consult with the Owner and obtain the Owner's consent before its costs exceed this estimate. The tasks are outline below. Jacobs is currently working towards completion of the construction phase of the new wastewater treatment facility as described in Amendment No. 3, dated September 8, 2011. Task 1—Additional Design and Construction Phase Services A. The additional design and construction phase services include: 1. As a result of the City's decision to have a Dust Hazard Analysis (DHA) performed on the sludge drying system, the City needs to develop two documents for the Wastewater Treatment Facility (WWTF) based on the recommendations in the DHA report, dated November 16, 2017. 2. The first document is a Confined Space Entry Program for the WWTF to establish procedures to protect the employees of the City's Public Works Department from the hazards of entry into confined spaces. To develop this program, Jacobs with the help of its subcontractor, Haztek; Inc. will revise the City's existing Confined Space Entry Program to include all the confined space structures and equipment at the WWTF, and to be compliant with all the requirements of OSHA 29 CFR 1910.146. The list of these structures and equipment will be developed with the help of the City staff. In addition to this list, a list of confined space structures in the City's wastewater collection system including manholes, valve vaults, and lift station wet wells and dry wells that is developed by the City staff will be incorporated into this program. We anticipate the cost of this effort to be $6,300, The scope of services under this task does not include training of the City's employees by the Jacobs' staff. The City will obtain any training required from the equipment suppliers and from other outside entities. 3. The second document is a Dust Hazard Mitigation Program for the WWTF, emphasis being on the sludge drying system in the Biosolids Building. This program will also be developed with the help of Haztek, Inc., and will include the following recommendations and considerations in the final DHA report of November 16, 2017, and as discussed with the City staff. a. Development of Contractor Safety Program that specifies the requirements for outside contractors who perform any work at the biosollds facility. This item is per recommendation 29 in the DHA report. b. Development of an Emergency Response Plan for the biosolids facility as described in recommendation 35 in the DHA report. City of Cape Girardeau Amendment No. 9— Exhibit A Page 1 of 3 c. Development of a Fire Prevention Plan for the blosollds facility as described in recommendation 36 in the DHA report. d. Development of requirements for employees and outside contractors who perform any work in the biosolids facility as described in recommendation 38 in the DHA report. e. Development of recommendations for the Personnel Protective Equipment (PPE) hazard assessments for the biosollds facility as stated in recommendation 39 in the DHA report. f. Development of a Hazard Communication Program as described in recommendation 40 in the DHA report. g. Development of procedures for documenting the Safety Data Sheets developed per Item f above and as stated in recommendation 41 in the DHA report. h. Development of a Hot Work Program for the facility as described in recommendation 43 in the DHA report. I. Development of a Chemical Spill Plan as described in recommendation 45 in the DHA report. j. Development of procedures for sweeping combustible dust accumulations from surfaces and floor areas as described in recommendation 47 in the DHA report. k. Development of Management of Change Procedures as stated in recommendation 49 In the DHA report. I. Development of a Confined Space Entry Program as stated in recommendation 51 in the DHA report. This program is the document developed per task No. 2 above and will be referenced in the Dust Hazard Mitigation Program. We anticipate the cost of this effort to be $30,000. The scope of work does not Include any training of the City employees by the Jacobs' staff or its subconsultant's staff. The City will obtain any training required from the equipment suppliers and from other outside entities. 4. As stated in Amendment No. 8, we anticipated 20 hours of effort to coordinate and review the Dust Hazard Analysis study and report. The assumption was, as the City itself envisioned, that one field visit by the Jacobs project manager when Lewellyn Technology performed the field work, and performing a review and comment on the draft DHA report would suffice. However, about 90 hours have been spent so far and we anticipate another 40 hours of effort to finalize this task including review of submittals from Andritz on the modifications to the system, which correlates to 110 hours of work above the 20 hours included In Amendment No. 8. A total of 110 hours of additional work for a cost of $18,500 Is requested under this amendment No. 9. 5. Additional construction phase services are also required due to the schedule pushing out as a result of the DHA work including the effort by our Resident Project Representative I(evin Elbert to coordinate with KCI Construction Co, to complete the work in the work deficiency list (punchlist) including verification of work completed at the site. We anticipate an additional 90 hours for this task for a cost of $15,200 including travel related expenses under this amendment. The total work on the items described above correlates to $70,000. The total cost is broken down for each task is: $6,300 for the Confined Space Entry Program, $30,000 for the Dust Hazard Mitigation Program, $18,500 for the Dust Hazard Analysis coordination, and $15,200 for the punchlist coordination. City of Cape Girardeau Amendment No. 9— Exhibit A Page 2 of 3 The basic construction phase services including revising and finalizing the hard copy and electronic operations guide, construction closeout services including finalizing the record drawings, coordination with MDNR on the pre -sampling and analysis and final sampling and analysis of the dryer system exhausts, and post construction follow up activities and project management through the end of 2018 remain as described in Amendment No. 3.
