A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE A CONTRACT FOR CONSULTING AND ENGINEERING SERVICES WITH FEDERAL ENGINEERING, INC. , FOR RADIO SYSTEM UPGRADES, IN THE CITY OF CAPE GIRARDEAU, MISSOURI BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE GIRARDEAU, MISSOURI, AS FOLLOWS : ARTICLE 1 . The City Manager, for and on behalf of the City of Cape, Girardeau, Missouri, is hereby authorized to execute a Contract for Consulting and Engineering Services with Federal Engineering, Inc . , for radio system upgrades, in the City of Cape Girardeau, Missouri . The Agreement shall be in substantially the form attached hereto as Exhibit A, which document is hereby approved by the City Council, and incorporated herein by reference, with such changes therein as shall be approved by the officers of the City executing the same . THIS CONTRACT is between City of Cape Girardeau, Missouri, hereinafter referred to as the "City". and Federal Engineering, Inc., 10600 Arrowhead Drive, Fairfax, VA 22030, hereinafter referred to as the "Consultant". INASMUCH as funds have been made available by the City through various sources, the City intends to upgrade to an Association of Public-Safety Communications Officials (APCO) Project 25 (P25_ "Phase I trunked ' radio system and requires professional telecommunications, information technology, and management consulting services. The Consultant, upon the City's request through written Task Orders. will provide the City with any and all professional services hereinafter detailed for the planning, design and/or construction inspection of the desired improvements and the City will pay the Consultant•as provided in this contract and subsequent Task Orders. It is mutually agreed as follows: ARTICLE I - SCOPE OF SERVICES The consultant shall complete Phase I (Develop the Vendor RFP), Phase II (Provide Vendor Proposal Evaluation Services), and Phase III (Provide Implementation Services) in accordance with Consultant's Qualifications for Professional Consulting Services for a Consultant for the Procurement of a l,Public Radio System for Police and Fire Services dated March 11. 2016 and Consultant's Pricing Model for Professional Consulting Services for a Consultant for the Procurement of a Public Radio System for Police and Fire Services dated March I I. 2016 attached hereto and are hereby made part of this contract. ARTICLE II - ADDITIONAL SERVICES The City reserves the right to request additional work; changed or unforeseen conditions may require changes and work beyond the scope of this contract. In this event, a supplement to this agreement shall be executed and submitted by the Consultant for the approval of City prior to performing the additional or changed work or incurring any additional cost thereof. Any change in compensation will be covered in the supplement. ARTICLE III- RESPONSIBILITIES OF CITY The City will cooperate fully with the Consultant in the development of the project, including the following: A. make available all information pertaining to the project which may be in the possession of the City; - 1 - B. provide the consultant with the City's requirements for the project; C. make provisions for the Consultant to enter upon property at the project site(s) for the performance of his duties; D. examine all studies and layouts developed by the Consultant and render decisions thereon in a prompt manner so as not to delay the Consultant; E. designate a,City's employee to act as City's representative under this contract, such person shall have authority to transmit instructions, interpret the City's policies and render decisions with respect to matters covered by this agreement; F. perform appraisals and appraisal review, negotiate with property owners and otherwise provide all services in connection with acquiring all right-of-way and easements needed to construct this project. ARTICLE IV- PERIOD OF SERVICE The Consultant will commence work within two weeks after receiving signed Task Order and notice to proceed from the City. The phases of work shall be completed in accordance with the associated Task Order. The times are exclusive of review time by other agencies. The City will grant time extensions for unavoidable delays beyond the control of the Consultant. Requests for extensions of time should be requested in writing by the Consultant, stating fully the reasons for the request. ARTICLE V—PROPRIETARY INFORMATION Consultant hereby agrees that at all times both during the term of this Agreement and three (3) years after termination thereof, Consultant will hold inviolate and keep secret all knowledge, information, data, trade secrets, inventions, and customer lists that have been clearly marked "PROPRIETARY" by the City. Consultant under the terms of this agreement will not disclose such information to any competitor, or other individual, corporation, or firm except when authorized to do so by the City, in writing. Nothing herein shall be construed as to preclude Consultant in engaging in any occupation or endeavor which;will not directly or indirectly involve the proprietary information of the City. Consultant obligations with respect to handling and using proprietary information as set forth in this agreement are not applicable to: (1) Information that at the time of disclosure under this agreement is either known to Consultant or disclosed in existing literature or patents or is in any other way in the public domain; (2) Information that after disclosure under this agreement becomes known to Consultant by independent discovery or by casual observation or analysis of information provided by a third party; (3) Information that after disclosure under this agreement becomes known to Consultant from a source other than the City without breach of any obligation by the disclosing party; (4) Information that is or has been furnished by the disclosing party to the Government with "unlimited" rights,land (5) Information available in the public domain. 2 ARTICLE VI - COMPENSATION For fixed price Task Orders, Consultant will submit invoices in accordance with the agreed upon milestone schedule showing the tasks that have been completed. For time and materials Task Orders, Consultant will submit invoices in accordance with the rates and terms indicated in the Consultant's Pricing Model for P,r ofessional Consulting Services for a Consultant for the Procurement of a Public Radio System for Police and Fire Services dated March II, 2016 attached hereto and made part of this Agreement indicating the number of days or hours worked and an itemized breakdown of other costs incurred. Unless stated othenvise in any Task Order, payment of all invoices shall be due within thirty (30) days of the invoice date. Late balances are subject to a finance charge of 1.5 percent per month or fraction thereof Any and all taxes, except income taxes. imposed or assessed by reason of this Agreement or its performance, including but not limited to sales or use taxes, will be in addition to the invoiced amounts and shall be paid by the Client. For services provided under this contract, the City iwill compensate the Consultant as determined in the Task Order based on Consultant's Charge Out Rates as determined below: METHOD OF PAYMENT — Unless otherwise stated in the Task Order, partial payments will be made to the Consultant for work satisfactorily completed upon receipt of itemized invoices by the City. I. Invoices will be submitted monthly. Invoices submitted on or before the 20th day of any month shall become due and payable on the 10th day of the following month. Invoices for each Task Order shall be submitted separately. 2. City's Right to Withhold Payment. In the event City becomes informed that any representations of Consultant provided in its monthly billing, are wholly or partially inaccurate, City may withhold payment of sums then or in the future othenvise due to Consultant until the inaccuracy and the cause thereof, is corrected to City's reasonable satisfaction. Consultant shall correct or revise any errors or deficiencies in its designs, drawings or specifications without additional compensation when due solely to Consultant's negligent acts, errors, or omissions. PROPERTY ACCOUNTABILITY - If it becomes necessary to acquire any specialized equipment for the performance of this contract, appropriate credit will be given for any residual value of said equipment after completion of usage of the equipment. ARTICLE VII - COVENANT AGAINST CONTINGENT FEES The Consultant warrants that he has not employed or retained any company or person, other than a bona fide employee working for the Consultant, to solicit or secure this agreement, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award or making of this contract. For breach or violation of this warranty, the City shall have the right to annul this agreement without liability, or in its discretion to deduct from the contract price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift, or contingent fee, plus reasonable attorney's fees. -3 - ARTICLE VIII - SUBLETTING, ASSIGNMENT OR TRANSFER No portion of the work covered by this contract, the contract itself, or any Task Order, except as provided herein, shall be assigned, sublet or transferred without the written consent of the City. The subletting of the work shall not relieve the Consultant of his primary responsibility for the quality and performance of the Work. The Consultant may engage subcontractors for the purposes of: foundation borings and tests, abstracts of title, archaeological studies and environmental studies, if required and approved by the City. ARTICLE IX - PROFESSIONAL ENDORSEMENT Any review or approval by City of any documents prepared by the Consultant and/or its consultants including but not limited to the plans and specifications, shall be solely for the purpose of determining whether such documents are consistent with City's construction program and intent and shall not be construed as approval of same by City. No review of such documents shall relieve Consultant of its responsibility for the accuracy, adequacy, fitness, suitability and coordination of its work product. Consultant shall assign only qualified personnel to perform any service concerning the Project. At the time of execution of the Task Order, the parties will agree on the Project Manager for the Task. This person shall be the primary contact with the City's Project Manager and shall have authority to bind Consultant. ARTICLE X -RETENTION OF RECORDS The Consultant shall maintain all records, survey notes, design documents, cost and accounting records, construction records and other records pertaining to this contract and to the project covered by this contract, for a period of not less than three years following final payment by City. Said records shall be made available for inspection by authorized representatives of the City during regular working hours at the Consultant's place of business. ARTICLE XI - OWNERSHIP OF DOCUMENTS Plans, tracings, maps and specifications prepared under this contract shall be delivered to and become the property of the City upon termination or completion of work. Basic survey notes, design computations and other data prepared under this contract shall be made available to the City upon request. All such information produced under this contract shall be available for use by the City without restrictionor limitation on its use. If the City incorporates any portion of the work into a project other than that for which it was performed, the City shall save the Consultant harmless from any claims and liabilities resulting from such use. ARTICLE XII -TERMINATION The City may terminate the contract at any time by giving written notice. If the contract is terminated because the project is abandoned or postponed by the City, the Consultant will be paid for actual time and covered expenses incurred up to the date of termination, plus a pro-rated portion of any fixed fee. 4 - If the contract is terminated due to the Consultant's services being unsatisfactory in the judgment of the City, or if the Consultant fails to prosecute the work with due diligence, the City may procure completion of the work in such manner as it deems to be in the best interest of the City. A Notice of Termination will be sent to the Consultant and the Consultant shall have a period of ten (10) days to remedy the cause for termination. The Consultant will be responsible for any excess cost in addition to that provided for in this contract or any damages the City may sustain by reason of the termination of this contract due to unsatisfactory performances or prosecution. When Consultant services have been so terminated', such termination shall not affect any rights or remedies of the City against Consultant then existing or which may later accrue. Similarly, any retention or payment of monies due the Consultant shall not release the Consultant from liability. ARTICLE XIII- DECISIONS UNDER THIS CONTRACT The City will determine the acceptability of work performed under this contract, and will decide all questions which may arise concerning the project. The City's decision shall be final and conclusive. ARTICLE XIV- SUCCESSORS AND ASSIGNS Subject to the restrictions on assignments in Article VIII above, the City and the Consultant agree that this contract and all contracts entered into under the provisions of this contract shall be binding upon the parties hereto and their successors and assigns. • ARTICLE XV- COMPLIANCE WITH LAWS The Consultant shall comply with all federal, state, and local laws, ordinances, and regulations applicable to the work, including Title VI of the Civil Rights Act of 1964 and non-discrimination clauses incorporated herein, and shall procure all licenses and permits necessary for the fulfillment of obligations under this contract. Consultant shall further comply with the following state law requirements: Work Authorization Program. If the Contract is for services expected to cost more than $5,000.00, the Consultant shall comply with of Section 285.530 RSMo., pertaining to enrollment and participation in a: federal work authorization program (as defined therein) and shall provide verification through an affidavit (attached as Attachment C) that the Consultant (1) does not knowingly employ any person who is an unauthorized alien in connection with the Contract and (2) is enrolled in a federal work authorization program and provide documentary proof thereof. The affidavit shall contain the notarized signature of the registered agent, legal representative or corporate officer of the Consultant including but not limited to the human resources director or their equivalent. Proof of Lcnifui Presence. Section 208.009 RSMo., requires that all applicants at the time of application for any contract provided by a local government provide "affirmative proof that the applicant is a citizen or a permanent resident of the United States or is lawfully present in the United States." Consultant's affirmative proof must be established through (i) a Missouri driver's license, (ii) any "documentary evidence recognized by the department of revenue when processing an application for a driver's license," or (iii) "any document issued by the federal government that confirms an alien's lawful presence in the United States." §208.009.3 - 5 - ARTICLE XVI -RESPONSIBILITY FOR CLAIMS AND LIABILITY The Consultant agrees to save harmless the City from all claims and liability due to his negligent acts or the negligent acts of his employees, agents or subcontractors. Either party shall be entitled to recover its reasonable attorneys' fees from the losing party for legal actions necessary to enforce of this Agreement. ARTICLE XVII -INSURANCE The Consultant shall maintain commercial general liability, automobile liability, and worker's compensation and employer's liability insurance in Ml force and effect to protect the Consultant from claims under ,Worker's Compensation Acts, claims for damages for personal injury or death, and for damages to property arising from the negligent acts, errors, or omissions of the Consultant and its employees, agents and Sub consultants in the performance of the services covered by this Agreement, including, without limitation, risks insured against in commercial general liability policies. The Consultant shall also maintain professional liability insurance to protect the City against the negligent acts, errors, or omissions, of the Consultant and those for whom it is legally responsible, arising out of the performance of professional services under this Agreement. Unless another amount is agreed to by the City Engineer based on the circumstances, the Consultant and his Subconsultants shall procure and maintain during the life of this Agreement insurance of the types and minimum amounts as follows: Insurance Type Amount Worker's Compensation: In full compliance with statutory requirements of Federal and State of Missouri Comprehensive General Liability: $410,185 each person $2,734,567 each occurrence Comprehensive Automobile Liability: $410,185 each person $2,734,567 each occurrence Employer Liability: $410,185 each person $2,734,567 each occurrence City's Protective Bodily Injury Including Death: $410,185 each person $2,734,567 each occurrence City's Protective Property Damage: 5410,185 each person $2,734,567 each occurrence -6 - The City's Protective policy shall name the City as the Insured. Certificates evidencing such insurance shall be furnished the City prior to Consultant commencing the work on this project. The certificates must state. "The CITY OF CAPE GIRARDEAU is an additional insured". The City reserves the right to adjust the limit coverage requirements in accordance with changes in the statutory sovereign immunity limits over the life of this contract to reflect any changes in the limits as published by the Missouri Department of Insurance in the state register pursuant to RSMo. §537.610. The Consultant shall, upon request at any time, provide the City with certificates of insurance evidencing the Consultant's commercial general or professional liability policies and evidencing that they and all other required insurance is in effect, as to the services under this Contract. Any insurance policy required as specified in this Article shall be written by a company that is incorporated in the United States of America or is based in the United States of America. Each insurance policy must by issued by a company authorized to issue such insurance in the State of Missouri. ARTICLE XVIII = FINDINGS CONFIDENTIAL To the fullest extent permitted by law, all reports; information, data, etc. prepared or assembled by the Consultant under this contract are confidential, and the Consultant agrees they shall not be made available to any individual or organization without the prior written approval of the City. ARTICLE XIX - NONDISCRIMINATION The Consultant, with regard to the work performed by it after award and prior to completion of the contract work, will not discriminate on the ground of race, color or national origin in the selection and retention of subcontractors. The Consultant will comply with Title VI of the Civil Rights Act of 1964, as amended. In all'solicitations either by competitive bidding or negotiation made by the Consultant for work to be performed under a subcontract, including procurements of materials or equipment, each potential subcontractor or supplier shall be notified by the Consultant's obligations under this contract and the regulations relative to non-discrimination on the ground of color, race or national origin. ARTICLE XIX—PERIOD OF SERVICE This contract shall remain in effect for five years from the date accepted by the City of Cape Girardeau City Council. (FE) is the City of Cape Girardeau's best choice to fulfill the requirements defined in the City's RFQ for Professional Consulting Services for the Procurement of a Public Safety Radio System for Police and Fire Services as amended and clarified by Addendum 1 dated February 19, 2016. We understand that the City's goal is to create a public safety radio system that supports all of the City's current and longer term public safety radio and non-public safety requirements, as well as enabling interoperable communications for any emergency service providers including regional partners. FE's industry-leading 32 years of providing public safety radio system consulting services confirms our superior ability to support the City in achieving this goal. Federal Engineering offers Cape Girardeau a combination of qualifications and experience unmatched by any other firm. FE has earned the reputation as a premier public safety communications consulting firm—acting as the prime consulting vendor on more than 95% of our projects. Our vast experience will enable the City to successfully and affordably meet its communications needs; FE's demonstrated knowledge will result in low-risk and high user satisfaction for Cape Girardeau's police and fire services. Our team exceeds the stated qualification criteria in the RFQ. We have consulted with government agencies similar in size providing VHF/UHF/700/800MHz P25 conventional, simulcast, and trunked radio system planning, design, procurement, and implementation services since the inception of the APCO Project 25 specificiation to hundreds of agencies across the country. Described in detail within this statement of qualifications is FE's underlying philosophy for, and solid, knowledgeable approach to, executing each of the tasks required by the project scope. We also demonstrate our corporate experience, financial stability, exemplary references, and the highly skilled project team. In addition, the City maintains critical infrastructure along and across the Mississippi River and must work closely with the Southeast Missouri State University P „p".... public safety divisions to protect students, faculty, administration, and 's(f F;;jt pa: ,-S n q pi visitors. �!jLY!6 -_ Jrff. - The City's 2-site analog VHF system provides communication for law enforcement, fire departments, utilities, and other public services that support the City's 38,000 residents. System users experience poor audio quality and coverage issues, particularly along the Mississippi River; there are other noted "dead spots"throughout the coverage area as well. FE understands that the existing network does not provide adequate capacity, in-building coverage, or interoperability among neighboring jurisdictions, state agencies and others. The City of Cape Girardeau would like to investigate alternatives for the upgrade or replacement of the existing land mobile radio (LMR) network. Alternatives include procuring a stand-alone, City- owned replacement trunked P25 700/800 MHz system or joining the Missouri Statewide Interoperability Network (MOSWIN). Information gathered from users and stakeholders and a comprehensive system audit will provide a snapshot of the City's communications environment. With thislinformation organized and analyzed, the City will then be able to determine a best-fit solution to pursue from appropriate alternatives. FE also understands that the City is interested in assessing the potential for consolidating, at some level, the City, Cape Girardeau County, and Jackson City public safety answering points (PSAP). The City's police department receives approximately 150 service calls per day. Consolidating PSAPs may benefit coordination efforts between the three PSAPs. County sheriffs office dispatchers currently provide assistance to, and serve as the primary backup for, both the Cape Girardeau and Jackson 9-1-1 communications centers. Since the County's center currently supports a maximum of two call takers/dispatchers and one dedicated call taker, this could result in longer response times during an emergency event that causes high call volume for any of the three locations. Of note, the PSAPs currently share a records management system (RMS), so they are already working together. The City also realizes that a funding assessment of available grants and other sources will be beneficial to understand potential means of procuring services and equipment associated with these initiatives. The City of Cape Girardeau will immediately benefit from FEs broad experience. We have had the singular experience of assessing communications systems immediately after catastrophic events. For example, we were able to assess system performance during a tornado that hit the City of Lakeland, Florida during an air show and while our project there was on-going. • No RFP written by Federal Engineering has ever been challenged. We provide proven system specifications that result in user satisfaction and contract negotiations that save our clients millions of dollars. • We can assist with the identification and application of grant funding, such as the Missouri Statewide Communications Assistance Program (MoSCAP) grant, should Cape Girardeau elect to join MOSWIN, as well as other sustainable lifecycle funding sources. We offer the City the ability to procure our services via our General Services Administration (GSA) Schedule 70 (contract number GS-35F-0159Y), thus avoiding a long and costly competitive solicitation process. The City has already identified many technical specifications and requirements for the future system, most notably that it will be an APCO P25 Phase 1 system. Other pre-defined needs for the system include 95% in-building coverage within the City, consideration to be given for use of open standards technology, allow for inter-municipality mutual aid, be compatible with MOSWIN, have capability to expand to include other City departments (i.e. public works, parks and recreation, etc.), and must be able to seamlessly handle at a minimum the current number of users, high call count per minute, and airtime seconds. Our services cover each phase of a system's lifecycle from needs assessment and strategic planning, through implementation support and independent validation and verification of an installed system. We will work closely with the City of Cape Girardeau to establish requirements and specifications that reflect identified needs, such as assessing the overall communications environment, recommending the upgrade or replacement of the City's current radio system with an APCO P25 Phase 1 trunked system, deliver an RFP for system vendors, and assisting in the evaluation of received proposals. We recognize that these requirements and specifications should be complemented with effective design review, implementation oversight and component testing, system testing, and system acceptance support activities with validation of requirements throughout. Provide a full and complete description of the service being offered. 3.2.1 Phase 1—Develop the Vendor RFP The consultant shall(RFQ 2.2): 1. : Evaluate the land mobile radio market trends and top tier vendors. 2. Identify, assess and define the needs of all radio system stakeholders. Phase 1 of the City's project requires the evaluation of current LMR trends and top-tier vendors, the identification, assessment, and definition of the needs of all radio system stakeholders, investigating the use of available grant funding, and creating a functional, performance-based RFP to distribute to radio system vendors. 3.2.1.1 Project Initiation FE will initiate the project with the City of Cape Girardeau on a mutually agreed-upon date following contract signing and schedule a project initiation meeting within 14 calendar days of contract signing. This time will allow for coordination with the participants of the City. Our project initiation meeting will establish a common understanding of the project goals, objectives, and vision; items best understood through a close working relationship between our respective management teams and staffs. Based on the outcome of the meeting, FE will deliver a project timetable that will serve as guiding timeline for the project. FE understands the importance to the City of expeditiously establishing a course of action for your communications equipment strategy in order to plan and budget for equipment upgrade and prepare solicitation documents. 3.2.1.2 LMR Market Trends FE consultants are heavily involved in PTIG, P25 Phase 2 industry roundtables and best practices workshops,the Telecommunications Industry Association (TIA)wideband and LMR standards activities,the National Public Safety Telecommunications Council (NPSTC), and the Federal Partnership for Interoperable Communications (FPIC). Most recently, FE consultants have been appointed by RadioResource Media Group to the MissionCritical Communications magazine editorial advisory board, and by APCO to their International's Commercial Advisory Council. Several of our team members have chaired national technical committees and have had papers published by many professional organizations. This investment of time and energy by our staff into monitoring the current land mobile radio trends allows us to stay abreast of and anticipate upcoming developments in radio system technologies. Having always maintained a position of vendor-neutrality, we have had experience working with projects involving virtually every system vendor. Shortly after the completion of the project initiation, FE will provide to the City a brief white paper evaluating these LMR trends and top-tier vendors. Copyright Protected Do Not Duplicate 5 r` City of Cape Girardeau Consulting Services for the Procurement of a Public Safety Radio System 3.2.1.3 Existing Documentation Review FE will request and review system documentation supplied by the City, including previous studies, FCC licenses, as-built documentation, facility information, tower infrastructure information, inventories, procedures for use, and other relevant documents to begin assessing the existing system. Performing a detailed review of the current documentation provides us with a common starting point and a foundation for a complete understanding of the current status of the City's existing system and its usage. 3.2.1.4 Existing System Analysis Leveraging our experience from analyzing the condition of thousands of radio sites across the country, FE will review the status of each of the City's radio sites. In order to provide a cost effective plan, FE will rely on data collected during the existing documentation review and the needs assessment interviews(described below) to develop an assessment of the conditions and equipment at each of the City's radio sites. As an option, FE can provide physical site surveys that will confirm the coordinates of each site including latitude, longitude, and elevation and will collect information about the sites, typically including the following: • Access road conditions • Transmission line support structures • General site conditions • Waveguide and dry air systems • HVAC (i.e., environmental) • AC and/or DC power • Antennas and mounts • Emergency power • Physical availability of surrounding land • Electronics, both radio and microwave • Perimeter security • Service history • Equipment shelter • Grounding/variances from standards • Nearby obstructions that may impact paths or coverage 3.2.1.5 Needs Assessment and Requirements Discovery Federal Engineering's requirements discovery methodology places considerable emphasis on consensus building and accurately determining the needs of the system owners and system users, both for the City and participating agencies. FE will identify, assess, and define the needs of all radio system stakeholders. Our approach to achieving this can be summarized as follows: • Work with the City's project manager to identify the participants to be interviewed from the following users: • Primary users: Cape Girardeau Police Department, Cape Girardeau Fire Department • 'Secondary users: Southeast Missouri State University Police,Jackson Police and Fire, Cape Girardeau County Sheriffs Office, Missouri State Highway Patrol, other surrounding region law enforcement/fire agencies • Allow time during the interview session to discuss each agency's issues and requirements as well,as their comments on a new system Y�� Copyright Protected Do Not Duplicate 6 r City of Cape Girardeau Consulting Services for the Procurement of a Public Safety Radio System • Request agencies categorize their priorities so that commonalities and differences are easily identified across the agencies • Define a prioritized set of needs and requirements to highlight stakeholders' 'must-haves' • Based on the collected needs, explore what resources can be shared among agencies and what assets can be reused to achieve cost savings for the City FE proposes coriducting a needs assessment interview with system users, stakeholders, and local agency technical representatives. We have proposed that the interview, to be conducted immediately following the project initiation meeting, includes the technical representatives in the same sessions as users and stakeholders to promote synergy among the disciplines and help achieve consensus. This combined session will adequately collect the current concerns and future requirements, as well as identify any issues affecting the modification and continued use of equipment sites FE will meet with the designated personnel to discover and document any issues, concerns, and expectations for'the future these users may have. FE will catalog the collected information and conduct follow-up discussions with participants as necessary to complete the assessments. Raw data collected during these interviews will be included in the City of Cape Girardeau Land Mobile Radio System Plan. In-building Coverage Modeling The City has indicated that in-building coverage is a critical component of the proposed system requirements. FE will work with the City to identify specifications for in-building coverage that will be included in the system RFP. As an option, and in order to help the City understand the challenges that a vendor may face in providing in-building coverage in a cost-effective manner, FE can analyze the current in-building coverage for portable radios throughout the City. Based on the outdoor coverage prediction and, using calculated signal losses(related to a mutually agreeable number of building types)that effectively simulate the signal attenuation that occurs when radio signals pass through walls, windows, or other building characteristics, we can generate a coverage map detailing areas where a user can expect to successfully communicate using their portable radio within the building. This proven methodology has been developed over numerous similar projects and accurately reflects expected performance. Exhibit 2 depicts a map that FE created for Yadkin County, North Carolina. The orange in the map shows predicted portable coverage within buildings that create a 10db signal loss. We can change the signal loss according to the City's requirements to show the coverage impact. FE will develop a set of high-level requirements based on the needs assessment meetings and assumptions agreed upon with the City. FE will review and validate with the City these high-level requirements for an upgraded land mobile radio system, so that we may gain consensus and acceptance before preparing upgrade plans. Interoperability,Analysis As an output of the user and stakeholder interviews, FE will document the City's desired levels of regional interoperability. FE's analysis and recommendations for the City's future radio system will ensure inter-municipality mutual aid, including possible integration with Cape Girardeau County, Southeast Missouri State University(SEMO) police, the City of Jackson, Missouri State Highway Patrol, other regional law enforcement and fire agencies. Additionally, FE will evaluate the compatibility of the future system with MOSWIN and for providing mutual aid to agencies not part of the Cape Girardeau public safety communications radio system. Critical aspects of these interoperability requirements, including spectrum, capacity, and access permission/administration, will be documented. To achieve these goals, FE will use the SAFECOM Continuum and the SAFECOM Interoperable Statement of Requirements (SoR)as guides to attain the highest SAFECOM level possible at the most economical cost. We will also conform to the National Emergency Communications Plan (NECP)to assure that the system is aligned with nationwide communications plans and requirements. FE is currently providing consulting services to the U.S. Department of Homeland Security(OHS) Office of Emergency Communications (OEC)and will leverage the knowledge gained working with DHS to provide recent, comprehensive interoperability guidance to Cape Girardeau. 3.2.1.6 Grant,Funding 3. Investigate the use of available grant funding for this project. FE will assist the City of Cape Girardeau in identifying grant funding sources available to help fund purchase and implementation of the recommended radio system solution. We will leverage our knowledge and background researching funding sources for other clients and from our recent engagements with the DHS OEC. Although we cannot guarantee success in obtaining funds or receiving grants for the system,we do have an understanding of the various funding agencies objectives and can assist in focusing the City's project plans and appropriate funding avenues. FE will investigate grants available for public safety and public service communications such as the following FEMA grants that include radio equipment in the Approved Equipment List. • Emergency Management Performance Grants (EMPG) • Homeland Security Grant Program (HSGP) • Intercity Bus Security Grant Program (IBSGP) • Operation Stonegarden (OPSG), Port Security Grant Program (PSGP) • State Homeland Security Program (SHSP) • Tribal Homeland Security Grant Program (THSGP) • Transit Security Grant Program (TSGP) • Urban Areas Security Initiative Program (UASI) Grants are cyclic in nature. Grant appropriations and application deadlines vary from cycle to cycle. FE can assist the City with the application process and communication with their SAA, and we cab advise the City regarding the project timeline to best take advantage of grant opportunity cycles. We also have knowledge of non-grant revenue sources that have been successful for state and local public safety agencies, and will provide a brief summary of those that we believe may be most applicable. 3.2.1.7 Development of Technical Specifications and RFP 4. Create an RFP to cover the design. development, procurement, construction and implementation of a standards based, interoperable land mobile and portable radio communications system (upgraded or new) that will support the current and future needs for Police, Fire, Public Safety Communications, other nonpublic safety city departments and Cape Girardeau's public safety regional partners. The RFP shall be functional and performance-based rather than dictate a specific system design approach. Thus. the RFP will define the functions that need to be supported, the I services required, and the overall radio system performance that must be achieved. The City has specified that the future system be an APCO P25 Phase 1 radio system and must provide at least 95°k in-building coverage within the City. Additionally, FE will ensure the remaining City-approved requirements for the future system, as detailed in the RFQ, and any other solutions as selected by the City, are incorporated into the vendor RFP. These specifications will define the radio system functions that need to be supported, services required, and the overall system performance that must be achieved. These details will allow vendors to submit consistent proposals,will be verifiable through future acceptance testing, and will stress the use of existing investments wherever possible. The detailed design of the system will be left to the radio system vendor to allow for innovative approaches and to ensure the vendor remains responsible for system performance in accordance with the specifications. Finally,these specifications will be the foundation for vendor proposal evaluation and as acceptance criteria. FE's designs are properly crafted to tightly define performance and at the same time encourage competition and innovation. FE's past and current clients have expressed satisfaction and given prompt approval of the RFPs we have written. We have received feedback from system vendors that RFPs developed by FE are fair and allow them to prepare comprehensive, clear responses. In addition, no procurement with which FE has been involved has ever been protested by a vendor; this is a testament to our outstanding project management methodologies and team. FE will develop a complete City of Cape Girardeau P25 Radio System RFP incorporating the technical specifications and requirements, boilerplate terms and conditions, and any other local purchasing requirements. We will submit the draft RFP to the City for review and comment, update based on the City's review, then submit a final RFP to be released for vendor response. 3.2.2 Phase 2—Provide Vendor Proposal Evaluation Services The consultant shall assist in evaluating the proposals for both the upgraded or new systems. This work will include assisting in the selection of the best overall system, the appropriate services, software and components to achieve the required system functionality and negotiation of the final contract between the chosen vendor and the City. FE will support Phase 2 of the City's project by providing expert technical recommendations and advice to the City during the entire competitive solicitation. An independent, unbiased evaluation of up to two radio system vendor's proposal will be conducted, researching the proposals for compliance to the technical and other specifications as set forth in the RFP. We will perform an item-by-item comparison of all specifications and requirements, documenting compliance or non-compliance to each, with concise assessments of non-compliance, and relative strengths and weaknesses of each response. We will provide a summary of our findings to the City, and provide support throughout the entire procurement process, including assisting with making the final selection of a qualified vendor. Once a vendor has been selected, FE will supply the City with experienced contract negotiations support. The proposed project team has considerable expertise in negotiating public safety radio systems, equipment, and services with a proven track record of saving millions of dollars for our clients. Because of their dealings with radio system vendors on a regular basis, they have insights into vendors' negotiation methods and practices and can assist the City in resolving disputes. Copyright Protected Do Not Duplicate 2 City of Cape Girardeau Consulting Services for the Procurement of a Public Safety Radio System 1.3 Basis of our Proposal 1. This proposal assumes Federal Engineering, Inc. will perform all of the tasks as called out in the technical proposal (excluding optional tasks). The deletion of a task, a significant change in scope,of one or more tasks, or use of a phased implementation approach may affect the overall price. 2. FE will provide draft and final deliverables electronically to Cape Girardeau. 3. Any optional or additional tasking will be authorized by mutual agreement of the City and FE. Such tasking will be performed on a time and materials basis in accordance with the rates in Schedule A or on a fixed price basis as mutually agreed up in a task order by the City and FE. 4. FE's ability to fulfill this task depends, in part, on the willingness and ability of Cape Girardeau, City participants, equipment vendors, service providers, third parties, and others to provide information in a timely manner, and upon the accuracy of the information as supplied. The accuracy of input data,whether provided in electronic or hard copy form, and the recommendations, actions, system designs, software, and license filings resulting therefrom cannot, therefore, be warranted by FE nor can the performance, suitability, or reliability of said systems be warranted by FE. 5. FE will review up to two radio system vendor proposals. If additional hours are required, a mutually agreeable amendment to this SOW will be executed by both parties. 6. The level of effort for contract negotiation support in Phase 2 can vary greatly depending upon the winning system vendor and the City's procurement practices. FE will provide 32 hours of negotiation support, including 16 of on-site support,to the City during the vendor contract negotiation process. If additional hours are required, a mutually agreeable amendment to the scope of work will be executed by both parties. 7. This proposal assumes a mutually agreeable invoicing schedule for work completed. 8.
