A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE AMENDMENT NUMBER 6 TO THE GENERAL
SERVICES AGREEMENT WITH JACOBS ENGINEERING
GROUP, INC , FOR THE WASTEWATER TREATMENT
PLANT PROJECT, IN THE CITY OF CAPE
GIRARDEAU, MISSOURI
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI, AS FOLLOWS
ARTICLE 1 The City Manager, for and on behalf of the
City of Cape Girardeau, Missouri, is hereby authorized to
execute Amendment Number 6 to the General Services Agreement
with Jacobs Engineering Group, Inc , for the Wastewater
Treatment Plant Project, in the City of Cape Girardeau The
Amendment shall be in substantially the form attached hereto as
Exhibit A, which document is hereby approved by the City
Council, and incorporated herein by reference, with such changes
therein as shall be approved by the officers of the City
executing the same

This Amendment is entered into on the effective date noted above pursuant to the "General
Servcies Agreement" between CITY OF CAPE GIRARDEAU, MISSOURI ("ClienY') and
JACOBS ENGINEERING GROUP INC. ("Consultant"), dated July 21, 2009, ("Agreement").
The Agreement is incorporated herein and forms an integral part of this Amendment. However,
in case of conflict,the terms of the Amendment shall control.
Services Authorized
Client authorizes Consultant to perform the Services described in Exhibit A attached hereto and
incorporated herein, which Exhibit A is marked with the above noted Amendment No. 6 and
consists of one(1)page.
Compensation
To the extent and amount invoiced, Consultant will be compensated for this Amendment on the
following basis of reimbursement:
1. For the salary costs of its professional, technical and supporting personnel for the time
during which they are directly employed in services covered by this Task,multiplied by a
factor of 2.1 for office labor and 1.9 for field labor to cover overhead and profit.
a. Salary costs are defined as the salaries paid for regular time and overtime
(including any premium overtime)worked.
b. Included in overhead are:
i. Provision for applicable annual salary related expenses, including sick
leave, vacation pay, holiday pay and other ordinary and customary paid
time off, bonuses, the employer's portion of social security,
unemployment and other payroll taxes, Employee's Retirement and
Benefit Plan contributions, employer's portion of group hospitalization
and medical insurance, and the cost of worker's compensation insurance.
ii. T'he salaries of officers, except for technical or advisory services directly
applicable to the project.
iu. Rent and costs of light, heat and water; equipment depreciation and
maintenance cost; costs of office supplies and reproduction of data for our
internal use; general communications expense, including local telephone
calls and postage; taxes, insurance premiums and license fees; automotive
expense and other transportation and travel expense not chargeable to
specific contracts; and other miscellaneous costs.

2. For the following direct costs:
a. Travel, subsistence, and incidental expenses of personnel while traveling in
connection with this Task.
b. Transportation by passenger automobiles that Jacobs supplies intermittently in
connection with this Amendment, at the prevailing federal mileage reimbursement
rate. All costs of owned, leased or rented passenger vehicles assigned to this
Amendment and car allowances granted to management and supervisory
personnel are reimbursable. Reimbursement for the cost of special types of
vehicles will be at rates to be mutually agreed upon when such vehicles are
required.
c. Reproduction of drawings, photographs, maps, charts and reports which are
prepared for the Owner's periodic or interim review and also the cost of the
reproduction which constitute the delivery of services.
d. Insurance required by Owner in addition to the coverage or in excess of thc limits
normally carried.
e. Subcontracted services such as, but not limited to, borings, surveys, testing and
computing services, if required in the performance of this Amendment.
3. Estimate of Cost of Consultant's Services
a. Consultant estimates that the total cost of the services for Amendment No. 6 will
be $43,100. Jacobs will consult with the Owner and obtain the Owner's consent
before its costs exceed this estimate. Jacobs does not guarantee,however, that the
cost of thc scrvices required by this Agreement will not exceed the estimated
amount.

EXHIBIT A—SCOPE OF SERVICES
AMENDMENT NO. 6
Between City of Cape Girardeau(City) and Jacobs En ing eering Group Inc. (Jac�bs)
The scope of services under this Amendment includes additional construction phase services
including resident project representative services and project management services for the new
wastewater treatment facility. The tasks are outlined below.
Jacobs is currently working towards completion of the construction phase of the new wastewater
treatment facility as described in Amendment No. 3, dated September 8,201 l.
Task 1 —Additional Design and Resident Project Representative Services
A. The additional design and resident project representative(RPR)services include:
1. There are three areas that require additional effort in completing the construction
phase of the new wastewater treatment facility. The first area is rclated to the
handling of the belt dryer condenser unit and the associated odor control unit. The
testing and startup of the dryer system had to be delayed until the condensate and
particulate matter in the condenser exhaust could be removed before passing
through the odor control unit. We have also been working with MDNR for the
last several months to resolve the conditions in the draft air permit issued by
MDNR. Sampling and analysis of the exhausts from the condenser, wet scrubber
and dust collector are required before a final air permit is issued by MDNR. The
work on the condenser/odor control unit will continue for an additional 2—3
months.
2. The second area is regarding the turbo blowers supplied by Atlas Copco. It has
taken a lot of effort on our part to deal with Atlas Copco in their finally agreeing
to remove and modify the three blowers in the factory and reinstall them, and the
warranty issues associated with it. The modified blowers have been installed and
they will go throuf;h one to two months of testing and trouble-free operation
before final acceptance by the City.
3. The third area is the unusual deposits in the strainers of both the automatic and
manual filters of the service water system that caused the filters to fail and become
inoperable. Sampling and testing of the service water to identify the agents of
deposits and for the recommendation of the proper chemical addition to alleviate
the problem have been proposed by an expert in this field. This work and
engineering the chemical addition system will continue for 2—3 months.
4. The additional work on the three items described above is estimated to be 320
hours,which correlates to $43,100. This includes 80 hours of construction
inspection and 100 hours of project management.
The basic construction phase services including preparation of the hard copy and electronic
operations guide, construction closeout services including preparation of the record drawings,
and post construction follow-up activities remain as described in Amendment No. 3.
