A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE A THIRD ADDENDUM TO THE
PROFESSIONAL SERVICE AGREEMENT WITH ALLIANCE
WATER RESOURCES, INC., FOR OPERATION OF THE
CITY OF CAPE GIRARDEAU'S WATER SYSTEM
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the City
of Cape Girardeau, Missouri, is hereby authorized to execute a
Third Addendum to the Professional Service Agreement with
Alliance Water Resources, Inc., for operation of the City of
Cape Girardeau's water system. A copy of said Addendum to
Agreement is attached to this Resolution and made a part hereof.

THIRD ADDENDUM TO AGREEMENT
This Addendum to Agreement has been entered into this /.51 day of umxc_
2014, by and between the City of Cape Girardeau, a municipal corporation of the State of Missouri
(hereinafter referred to as"Owner") and Alliance Water Resources, Inc. a corporation organized
and existing under the laws of the state of Missouri (hereinafter referred to as"Alliance")
WHEREAS, Owner and Alliance entered into a Service Agreement on March 14, 2007 for
operation and maintenance services for public water supply and distribution systems, and
WHEREAS, Owner and Alliance amended said agreement to transfer Alliance employees to the
City for 2-inch main replacement with an Addendum to Agreement executed by both parties in
January 2011, and
WHEREAS, Owner and Alliance extended said agreement through June 30, 2014 with an
Addendum to Agreement executed by both parties in January 2012, and
WHEREAS, Owner and Alliance wish to further extend said Service Agreement through June 30,
2017, and, thereafter, the Agreement shall be renewed automatically for additional two year terms
unless cancelled by either party in writing no less than ninety (90) days prior to the expiration date
of that term.
WHEREAS, it is understood Owner and Alliance are desirous of a revision to the scope of services
provided by Alliance as follows:
Section 4.1.1 (revision) Provide Geographic Information System ("GIS") Management
including further expansion and development of GIS for City infrastructure under the
direction of the City's Director of Development Services.
Section 4.1.aa (replacement of previously deleted section on 2-inch main replacement)
Provide planning for and supervision of the City's water main replacement crew excluding
safety requirements which remain the responsibility of the City.
Section 4.1.bb(addition) Provide assistance to the City with"Operation Clean Sweep"
including litter removal and upkeep of City rights-of-way.
Section 4.1.cc(addition) Provide aid to the City in emergency situations such as snow
plowing, flooding, natural disasters, etc.
WHEREAS, Owner and Alliance agree to replace Alliance's compensation as described in Section
5.1 with the following:
Section 5.1.a (revision) Alliance's Base Fee compensation under this Agreement for
its services excluding Section 4.1.1 (GIS services) shall be $2,283,706.00 for the first year of
service.
Section 5.1.b (new) Alliance Base Fee compensation under Section 4.1.1 of this
Agreement(GIS services) shall be$100,000.00 for the first year of service.

NOW THEREFORE, the term of said Agreement is hereby extended to June 30, 2017, and,
thereafter, the Agreement shall be renewed automatically for additional two year terms unless
cancelled by either party in writing no less than ninety (90) days prior to the expiration date of that
term, and the scope of services and compensation are amended as listed above.
