A RESOLUTION AUTHORIZING THE CITY MANAGER
TO EXECUTE AMENDMENT NUMBER 4 TO THE GENERAL
SERVICES AGREEMENT WITH JACOBS ENGINEERING
GROUP, INC., FOR THE WASTEWATER TREATMENT
PLANT PROJECT, IN THE CITY OF CAPE
GIRARDEAU, MISSOURI
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF CAPE
GIRARDEAU, MISSOURI, AS FOLLOWS:
ARTICLE 1. The City Manager, for and on behalf of the
City of Cape Girardeau, Missouri, is hereby authorized to
execute Amendment Number 4 to the General Services Agreement
with Jacobs Engineering Group, Inc., for the Wastewater
Treatment Plant Project, in the City of Cape Girardeau. The
Amendment shall be in substantially the form attached hereto as
Exhibit A, which document is hereby approved by the City
Council, with such changes therein as shall be approved by the
officers of the City executing the same.

Amendment Number 4
Effective Date Amendment No. 4
This Amendment is entered into on the effective date noted above pursuant to the "General
Serveics Agreement" between CITY OF CAPE GIRARDEAU, MISSOURI ("Client") and
JACOBS ENGINEERING GROUP INC. ("Consultant"), dated July 21, 2009, (`Agreement").
The Agreement is incorporated herein and forms an integral part of this Amendment. However,
in case of conflict, the terms of the Amendment shall control.
Services Authorized
Client authorizes Consultant to perform the Services described in Exhibit A attached hereto and
incorporated herein, which Exhibit A is marked with the above noted Amendment No. 4 and
consists of two (2) pages.
Compensation
To the extent and amount invoiced, Consultant will be compensated for this Amendment on the
following basis of reimbursement:
1. For the salary costs of its professional, technical and supporting personnel for the time
during which they are directly employed in services covered by this Task, multiplied by a
factor of 2.1 for office labor and 1.9 for field labor to cover overhead and profit.
a. Salary costs are defined as the salaries paid for regular time and overtime
(including any premium overtime) worked.
b. Included in overhead are:
L Provision for applicable annual salary related expenses, including sick
leave, vacation pay, holiday pay and other ordinary and customary paid
time off, bonuses, the employer's portion of social security,
unemployment and other payroll taxes, Employee's Retirement and
Benefit Plan contributions, employer's portion of group hospitalization
and medical insurance, and the cost of worker's compensation insurance.
ii. The salaries of officers, except for technical or advisory services directly
applicable to the project.
iii. Rent and costs of light, heat and water; equipment depreciation and
maintenance cost; costs of office supplies and reproduction of data for our
internal use; general communications expense, including local telephone
calls and postage; taxes, insurance premiums and license fees; automotive
expense and other transportation and travel expense not chargeable to
specific contracts; and other miscellaneous costs.

2. For the following direct costs:
a. Travel, subsistence, and incidental expenses of personnel while traveling in
connection with this Task.
b. Transportation by passenger automobiles that Jacobs supplies intermittently in
connection with this Amendment, at the prevailing federal mileage reimbursement
rate. All costs of owned, leased or rented passenger vehicles assigned to this
Amendment and car allowances granted to management and supervisory
personnel are reimbursable. Reimbursement for the cost of special types of
vehicles will be at rates to be mutually agreed upon when such vehicles are
required.
c. Reproduction of drawings, photographs, maps, charts and reports which arc
prepared for the Owner's periodic or interim review and also the cost of the
reproduction which constitute the delivery of services.
d. Insurance required by Owner in addition to the coverage or in excess of the limits
normally carried.
e. Subcontracted services such as, but not limited to, borings, surveys, testing and
computing services,if required in the performance of this Amendment.
3. Estimate of Cost of Consultant's Services
a. Consultant estimates that the total cost of the services for Amendment No. 4 will
be$377,200. Jacobs will consult with the Owner and obtain the Owner's consent
before its costs exceed this estimate. Jacobs does not guarantee,however,that the
cost of the services required by this Agreement will not exceed the estimated
amou.nt.

EXHIBIT A — SCOPE OF SERVICES
AMENDMENT NO. 4
Between City of Canc Girardeau (Citv) and Jacobs Erit ineeiing Group Inc. (Jacobs)
The scope of services under this Amendment includes additional design phase services,
additional construction phase services including shop drawing review, and revision to the user
charge rate study for the new wastewater treatment facility. The tasks are outlined below.
Jacobs is currently working towards completion of the construction phase of the new wastewater
treatment facility as described in Amendment No.3, dated September 8, 2011.
Task 1 —Additional Design Phase Services for the Wastewater Treatment Facility
A. The additional design phase services include:
During the design phase of the wastewater treatment facility project, the City
asked Jacobs to request statement of qualifications from system integrator
contractors, evaluate the qualifications and select a contractor as the base -bid
subcontractor for the system integration work for the project. The selected
subcontractor was also then to perform SCADA upgrade to the approximately 20
wastewater lift stations spread throughout the City's collection system. The
selection of the system integrator was an out of scope task in our contract with the
City and it was performed with the understanding that the cost of it would be
added to the contract later. The task has been completed and has resulted in 225
extra hours of work at a fee of $32,000.
Task 2 — Additional Construction Phase Services
A. The additional construction phase services include:
1. During the early stages of construction of the plant, the Contractor proposed and
Jacobs with the consent of the City accepted a value engineering proposal to
substitute the pipe piles with drilled displacement concrete piles. The pile
installation work with the drilled displacement concrete piles has been completed
and it has resulted in a construction cost saving of about $262,000. However,
Jacobs incurred additional design efforts in working with Morris -Shea Bridge Co.,
the pile subcontractor, on the design of the piles. This work together with the
work on evaluating the pile driving data for the adequacy of the foundations of the
structures has resulted in about 200 hours, or $29,500.
2. Another item that resulted in additional work is the unforeseen subsurface
conditions at the UV/Effluent structure, SBR, and Influent Pump Station. The rock
profile at the UV/Effluent structure was found to be quite different than the one
investigated as part of the geotechnical investigation during the design phase of
the project. Therefore the foundation was redesigned to stabilize the subsurface
with a subsurface structural slab anchored to the rock ledge and backfilled with

low strength concrete. The unexpected excess groundwater at the SBR needed
additional work in recommending the work to stabilize the ground under the base
slab and to direct groundwater away from the subsurface. The rock profile under
the Influent Pump Station is also different than what was anticipated and a revised
subsurface foundation design is being performed to stabilize the ground. All of
this work is expected to be about 120 hours, or $21,500.
3. As the construction of the project has progressed, there are two areas that are
requiring significantly more efforts than originally anticipated.
a. The first area is related to the efforts on the belt dryer system submittals
provided by the manufacturer and Contractor. Amendment No. 3, dated
September 8, 2011 to our contract included additional compensation for
procurement assistance and design of the new dryer system. However, the
number of submittals received has been much more than our anticipation.
To date, we have received twelve shop drawing submittals directly related
to this system. The additional work on the dryer system is about 560
hours, which correlates to a fee of $94,200.
b. The second area is underestimating the work associated with reviewing the
electrical submittals, especially the conduit coordination drawings from the
electrical subcontractor that are not normally required on a project.
Because of the complexity of the electrical and control systems on this
project, from our discussions, it was determined that the electrical
subcontractor should prepare these additional submittals for our review.
The number of submittals for this and the effort to review them has far
exceeded our expectation. The work on the electrical conduit coordination
drawings is 855 hours, which correlates to a fee of $89,700.
c. Because of these additional submittals, the project management and
coordination efforts with the dryer system manufacturer have also been
much more than our expectation. The effort on project management and
coordination work is in the order of about 570 hours, which correlates to a
fee of $97,200.
Task 3 — Additional User Charge Rate Study Services
A. The additional user charge rate services include:
1. Jacobs revised the user charge rate study per City's request as described in our
email communication to City, dated March 4, 2013. The effort on this has been
120 hours for a fee of $13,100.
In summary, the total additional work described above is 2,650 hours for the total fee of
$377,200.
The basic construction phase services including preparation of the hard copy and electronic
operations guide and computerized maintenance system (CMMS) implementation, resident
project representative services, construction closeout services, and post construction follow-up
activities remain as described in Amendment No. 3.
